END USER LICENSE AGREEMENT (EULA)
PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE THE SOFTWARE.
1. License Grant NUE GAMES ("Licensor") hereby grants you ("Licensee") a personal, non-transferable, non-exclusive license to use the software ("Software") on your devices in accordance with the terms of this Agreement.
2. Restrictions You agree not to, and you will not permit others to:
a. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software.
b. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
c. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of NUE GAMES or its affiliates, partners, suppliers, or licensors.
3. Ownership The Software is licensed, not sold. NUE GAMES retains all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, patents, and other intellectual property rights. This Agreement does not grant you any ownership interest in the Software.
4. Updates NUE GAMES may provide updates, patches, or new versions of the Software from time to time. These updates may be provided automatically or require your manual installation. The terms of this Agreement will apply to any updates unless the update is accompanied by a separate license agreement.
5. Termination This Agreement is effective from the date you first use the Software and will continue until terminated. You may terminate it at any time by destroying all copies of the Software in your possession. This Agreement will terminate immediately, without notice, if you fail to comply with any term or condition of this Agreement. Upon termination, you must destroy all copies of the Software.
6. Disclaimer of Warranties THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NUE GAMES DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
7. Limitation of Liability IN NO EVENT SHALL NUE GAMES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF THE SOFTWARE, (B) YOUR INABILITY TO USE THE SOFTWARE, OR (C) ANY UNAUTHORIZED ACCESS TO OR USE OF THE SOFTWARE.
8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law principles.
9. Entire Agreement This Agreement constitutes the entire agreement between you and NUE GAMES regarding the use of the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Software.
10. Changes to this Agreement NUE GAMES reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Software after any revisions become effective, you agree to be bound by the revised terms.
