This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Dizzy Labs Ltd ("Publisher" or "We" or "Us"), governing your use of the game "Valorwood" ("Game"). By installing, copying, or otherwise using the Game, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Game.
1. LICENSE GRANT
Dizzy Labs Ltd grants you a non-exclusive, non-transferable, revocable license to use the Game for your personal, non-commercial use, subject to the terms and conditions set forth in this Agreement.
2. OWNERSHIP
The Game is licensed, not sold. Dizzy Labs Ltd retains all right, title, and interest in and to the Game, including but not limited to all copyrights, trademarks, trade secrets, trade names, proprietary rights, patents, titles, computer codes, audio visual effects, themes, characters, character names, stories, dialog, settings, artwork, sounds, musical compositions, and moral rights.
3. RESTRICTIONS
You agree not to:
3a. Copy, modify, or distribute the Game or any part of it.
3b. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Game.
3c. Create derivative works based on the Game.
3d. Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on the Game.
3e. Use the Game for any commercial purpose without prior written consent from Dizzy Labs Ltd.
4. TERMINATION
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Game and destroy all copies of the Game in your possession or control.
5. DISCLAIMER OF WARRANTIES
The Game is provided "as is" without warranty of any kind. Dizzy Labs Ltd expressly disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Dizzy Labs Ltd does not warrant that the Game will be uninterrupted or error-free, that defects will be corrected, or that the Game is free of viruses or other harmful components.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall Dizzy Labs Ltd be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in connection with the use of or inability to use the Game, even if Dizzy Labs Ltd has been advised of the possibility of such damages.
7. INDEMNITY
You agree to indemnify, defend, and hold harmless Dizzy Labs Ltd, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Game or any violation of this Agreement.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in the United Kingdom to resolve any legal matter arising from this Agreement.
9. MISCELLANEOUS
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. This Agreement constitutes the entire agreement between you and Dizzy Labs Ltd regarding your use of the Game and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
By installing or using the Game, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
