● This End User License Agreement (“EULA,” or "Agreement") is a legal agreement between you ("End user," “user,” or "you") and Taiwan Computer Graphics Manufacturing Co., Ltd.("Taiwan Computer Graphics Manufacturing," or “Company,” or "we," "us," or "our") for the use of this video game software ("Software").
● By installing and utilizing this Software, the end user acknowledges and agrees to be legally bound by the terms and conditions set forth in this Agreement. If you do not agree to the terms of this Agreement, please uninstall and discontinue use of the Software.
● Individuals under the legal age of majority in their country of residence or those with limited legal capacity must obtain explicit consent from a parent or legal guardian, who must also agree to the terms herein.
1. Grant of License
(1) The Company grants the end user a non-exclusive, non-transferable license to install and operate the Software solely for personal entertainment purposes on a personal computer.
(2) The end user shall not, under any circumstances, sublicense, assign, or transfer the rights conferred by this license to any third party.
2. Software Modifications and Updates
(1) The Company reserves the right to release updates, modifications, patches, or additional content for the Software, which shall be governed by this EULA.
(2) Such updates shall be provided free of charge unless the Company elects to impose a fee.
(3) The Company is under no obligation to provide any updates or modifications to the end user.
3. Authentication and Third-Party Services
(1) The Software may require authentication through third-party platforms (e.g., STEAM) for activation and continued use.
(2) The end user must adhere to all applicable terms, conditions, and policies imposed by such third-party service providers.
(3) The Company assumes no responsibility for disputes or technical issues arising from the use of third-party platforms.
(4) The Software’s activation may be subject to regional restrictions, and the end user may be required to use it within the territory where it was originally purchased.
4. Intellectual Property Rights
(1) All intellectual property rights associated with the Software are owned exclusively by the Company or its licensors.
(2) Such rights are protected under applicable copyright, trademark, and other intellectual property laws.
(3) This EULA does not confer any ownership rights to the end user, but rather a limited right to use the Software in accordance with these terms.
5. Prohibited Conduct
The end user is expressly prohibited from:
a. Copying, modifying, translating, reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Software, except as expressly permitted by applicable law.
b. Analyzing or extracting communication protocols or other data from the Software for unauthorized purposes.
c. Engaging in commercial exploitation of the Software (e.g., operating it in internet cafes, gaming arcades, or similar venues) without prior written authorization from the Company.
d. Organizing, hosting, or participating in commercial gaming events or tournaments utilizing the Software without prior written approval from the Company, except for private, non-commercial gatherings among family or friends or any other similar limited groups.
e. Exploiting software vulnerabilities, errors, or glitches to gain an unfair advantage or manipulate the Software’s functionality.
f. Disrupting, interfering with, or otherwise compromising the integrity of the Software or its online features.
g. Engaging in any other conduct that may be detrimental to the Company or its interests.
6. Termination
(1) The end user may terminate this EULA at any time by uninstalling the Software from their personal computer.
(2) The Company reserves the right to terminate this EULA without prior notice in the event of any breach of its provisions, at which point the end user must immediately cease use and uninstall the Software.
7. Export Compliance
The end user shall not distribute, transmit, or otherwise make the Software available in any jurisdiction subject to export restrictions or embargoes.
8. Disclaimers and Limitations of Liability
(1) The Software is provided "as is" without warranties of any kind, either express or implied, except as otherwise stipulated in writing by the Company.
(2) The Company disclaims all implied warranties, including but not limited to those of merchantability, fitness for a particular purpose, and non-infringement.
(3) The Company shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Software, except in cases of intentional misconduct or gross negligence.
(4) Where liability cannot be fully disclaimed under applicable law, the Company's maximum liability shall not exceed the amount paid by the end user for the Software.
9. Amendments to the EULA
(1) The Company reserves the right to amend this EULA at its sole discretion by posting revised terms on its official website, within the Software, or on third-party platforms.
(2) If any amendments impose material adverse effects on the end user, reasonable prior notice shall be provided through appropriate channels.
10. Governing Law and Jurisdiction
(1) Any disputes arising from or in connection with this EULA shall be governed by the laws of the jurisdiction in which the Company is headquartered.
(2) Legal proceedings shall be brought exclusively before the competent courts in the designated jurisdiction.
(3) If any provision of this EULA is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
