End User License Agreement for "After Midnight"
This End User License Agreement ("Agreement") is a legal agreement between you and Digital Forge for the software product "After Midnight" ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.
1. Definitions
Software: Refers to the game "After Midnight," developed by Digital Forge.
User: Refers to the individual installing or using the Software.
Digital Forge: Refers to Digital Forge, the creator and owner of the Software.
2. License Grant
Digital Forge grants you a perpetual, non-exclusive, non-transferable license to install and use the Software on a single device linked to your Steam account. This license permits use for personal or commercial purposes as outlined in this Agreement. Family sharing or borrowing is not permitted under this license.
3. Restrictions
You may not:
Copy, distribute, modify, reverse engineer, create derivative works from, rent, lease, lend, sublicense, decompile, or disassemble the Software, except as expressly permitted by law.
Use the Software for any unlawful purpose or in a manner prohibited by this Agreement.
4. Ownership
The Software is licensed, not sold, and remains the exclusive property of Digital Forge, including all updates, patches, and expansions. All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, remain with Digital Forge.
5. Limitations of Liability
To the maximum extent permitted by law, Digital Forge and its employees, agents, and affiliates are not liable for any damages arising from the use or inability to use the Software. This includes, but is not limited to, direct, indirect, incidental, punitive, and consequential damages, such as loss of data, loss of profits, or loss of business opportunities.
6. Warranty Disclaimer
The Software is provided "as is" without any warranties of any kind, express or implied. Digital Forge disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Digital Forge does not warrant that the Software will meet your requirements or be uninterrupted, secure, or error-free. This disclaimer extends to third-party components included in the Software.
7. Health Disclaimer
The Software may contain intense scenes, flashing lights, and sudden scares. It is not suitable for individuals with certain medical conditions, such as epilepsy or heart conditions. Consult a medical professional before using the Software, especially if you have pre-existing health concerns. Digital Forge is not responsible for any psychological or physical issues that may result from the use of the Software.
8. Termination
This Agreement will terminate automatically if you fail to comply with any term of this Agreement. Upon termination, you must immediately cease all use of the Software, delete any copies in your possession, and uninstall the Software from your devices. Digital Forge reserves the right to terminate this Agreement and your access to the Software at any time, with or without cause.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Chile. Any disputes arising out of or relating to this Agreement or the Software will be resolved in the courts of Digital Forge's choosing.
10. Miscellaneous
Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of the Agreement will remain in full force and effect.
Entire Agreement: This Agreement constitutes the entire agreement between you and Digital Forge regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
Dispute Resolution: Any disputes arising from this Agreement will first be attempted to be resolved through good faith negotiations. If these negotiations do not result in a resolution, the dispute will be submitted to binding arbitration at Digital Forge’s preferred location.
Amendments: Digital Forge reserves the right to amend this Agreement at any time. If such amendments are made, Digital Forge will notify you. By continuing to use the Software, you accept any revised terms.
