This End User License Agreement (hereinafter referred to as the “License Agreement”) sets forth the terms and conditions for the distribution of the game software program produced by Arc System Works Co., Ltd., and for users installation and use thereof. Please be sure to read the entire text of this End User License Agreement before use.
Furthermore, certain game software programs may be subject to separate terms of use (hereinafter referred to as “Separate Terms”). Before purchasing, downloading, or installing this game software program, please also review and agree to the Separate Terms.
The users are not permitted to download or install the Game Software Program If the users do not agree to the terms of this License Agreement and the Separate Terms (if applicable).

Those users between the ages of 13 and 18 (or between 13 and the age of legal majority in end the users country of residence) or a person with limited capacity shall install the Program only after obtaining approval from its parent or legal guardian who agrees to be bound by these provisions of EULA.

“Game Software Program” means all video games, game software, and all components thereof (including, without limitation, characters, scenarios, worlds, computer code, images, animations, videos, music, text, etc.), downloadable content for such games (including but not limited to DLC, expansion packs, battle passes, add-ons, add-on software, and other game expansion content), and all related documentation.

“Seller” refers to the business entity from which the users purchased the Game Software Program. The terms applicable between the Seller and the users under the sales contract for the Game Software Program, particularly those concerning legal warranties of conformity, warranties against hidden defects, the right of withdrawal, and updates, must be communicated to the users by the Seller.

“Intellectual Property Rights” means all intellectual property rights and industrial property rights, or any thereof, related to the Game Software Program, including but not limited to all copyrights, neighboring rights, patents, patent applications, database rights, designs, trademarks, domain names, know-how, trade secrets, and other elements listed below.
(1) All content of the Game Software Program (specifically, themes, objects, characters, character names, storylines, text, dialogue, engaging elements, locations, illustrations, concepts, graphics, animations, sounds, musical works, recordings, audiovisual effects, etc.).
(2) All data and communications generated by the Game Software Program.
(3) All software, computer code (source code and object code), titles, operating methods, related documentation, applications, integrated interfaces, and works of creative expression contained within and integrated into the Game Software Program.
The Game Software Program is protected by intellectual property rights, particularly copyright, and is the exclusive property of Arc System Works, as well as property sold by Arc System Works, its subsidiaries, or suppliers (hereinafter referred to as “Arc System Works”). Use of the Game Software Program is subject to the terms of this License Agreement.

1. Limited License
(1) Arc System Works grants the users a non-exclusive license to install the Game Software Program on end the users gaming device and use it solely for personal gameplay purposes, provided that the users comply with the terms of this Agreement.
(2) The users may not sublicense the rights granted pursuant to the preceding paragraph to any third party.
(3) The rights under paragraph 1 are exclusive to the users as the person who purchased the license to use the Game Software Program, and the users may not transfer such rights to any third party. Furthermore, this License Agreement is strictly limited to the Game Software Program and does not include any remastered, remake, reboot, sequel (e.g., prequel, sequel, spin-off), port, or other version of the Game Software Program.

2. Provision of Additional Programs and Modifications
(1) Notwithstanding paragraph 3 of the preceding Article, Arc System Works may provide additional programs and modifications to the Game Software Program for the purpose of changing the content, expanding functions, adding content, fixing bugs, etc., and the provisions of this Agreement shall also apply to such additional programs and modifications.
(2) Additional programs and modifications will generally be provided free of charge, but if Arc System Works separately decides to provide them for a fee, they will be provided for a fee.
(3) The provision of additional programs and modifications, including the decision as to whether to provide them free of charge or for a fee as set forth in the preceding paragraph, will be at the discretion of Arc System Works, and Arc System Works is under no obligation to provide additional programs and modifications to customers.

3. Authentication
(1) When using a game software program, the users may be required to log in to a game platform provided by a third party other than Arc System Works (e.g., the STEAM platform provided by Valve Corporation, hereinafter referred to as a "Third-Party PF") each time users launch the program. In such cases, users shall use the Third-Party Platform in accordance with the terms of use and other terms and conditions established by the third party.
(2) Arc System Works is not involved in and assumes no responsibility for users use of a Third-Party PF. Users shall direct any inquiries regarding a Third-Party PF to the service provider that provides it, except in cases directly related to users use of the Game Software Program.
(3) If users are required to log in to a Third-Party PF to use the Game Software Program, the Game Software Program may not be able to be launched outside the country or region specified at the time of purchase of the Game Software Program license. In such cases, users shall use the Game Software Program in the country or region specified at the time of purchase.

4. Intellectual Property Rights
Arc System Works owns all rights, title, and interests in and to the Game Software Program, as well as all intellectual property rights related to or connected with the Game Software Program and its features and components.

5. Prohibited Acts
(1) Users may not copy, replicate, translate, reverse engineer, reverse compile, modify, adapt, merge, convert, disassemble, or decompile the Game Software Program, in whole or in part, or attempt to derive the source code of, extract or use the source code from, or create derivative works based on, the Game Software Program, without Arc System Works' prior written consent. Furthermore, users may not remove any notices or references to intellectual property rights in the Game Software Program without Arc System Works' prior written consent.
(2) The Game Software Program is licensed to users as a single product. Separating the program's component parts for use on multiple computers is not permitted.
Pursuant to the terms of the license granted to users, users may use the Game Software Program for personal, non-commercial use. Therefore, users are not permitted to do the following:
(3) Selling, distributing, or transferring copies or counterfeits of the Game Software Program to third parties in any way, or renting, leasing, or sublicensing the Game Software Program to third parties without Arc System Works' prior written consent.
(4) Exploiting all or part of the Game Software Program for commercial or promotional purposes, or in any way.
(5) Using the Game Software Program for illegal or immoral purposes.
(6) Using the Game Software Program for purposes other than those specified by Arc System Works under this License Agreement.
(7) Using or enabling the Game Software Program to be used simultaneously on multiple computers, game consoles, small devices, mobile devices, or personal digital assistants without an additional license (which may be provided by an authorized third party such as a seller if users agree to the terms of sale or service).
(8) Using or making available the Game Software Program for use over a network (including online use), including a multi-users system or a remote access system, unless expressly specified otherwise by Arc System Works and users have agreed to the Game Software Program 's terms of use.
(9) Using third-party software not expressly permitted by Arc System Works in conjunction with the Game Software Program for any purpose.
(10) Removing, disabling, or circumventing any proprietary notices or references contained in the Game Software Program, or copying protected software included in the Game Software Program.
(11) Exporting or re-exporting the Game Software Program, its copies, or adaptations in violation of applicable laws and regulations.
(12) Creating executable data or Game Software Program s that imitate the data or functions of the Game Software Program.
The Game Software Program may only be downloaded from authorized sources. The Game Software Program may not be made available over a network from which others can download it.

6. Termination
This License Agreement is effective until terminated. Users may terminate this License Agreement at any time by deleting or uninstalling the Game Software Program from the media and destroying all copies of the Game Software Program in users possession.
If users fail to comply with the terms of this License Agreement, Arc System Works may terminate this License Agreement depending on whether the breach is minor (a breach of legal or regulatory obligations or not constituting a material breach) or major (Article 5 (Prohibited Acts) and Article 5 (Third-Party Intellectual Property Rights, Third-Party Software and Tools) of this License Agreement).
In the event of a material breach, Arc System Works may terminate this License Agreement immediately and automatically by notifying users in writing (possibly by email).

7. Export Restrictions ⇒ Is this redundant with Article 11?
Users shall comply with all laws and regulations of Japan and other countries, and shall not export, transmit via the Internet, or otherwise export the Game Software Program to any country subject to a trade embargo by Japan pursuant to the Foreign Exchange and Foreign Trade Act and the Export Trade Control Order.

8. Disclaimer
To the maximum extent permitted by applicable law, Arc System Works does not warrant the continuous or error-free operation of the Game Software Program, or that any errors in the Game Software Program will be corrected. The Game Software Program is provided without any warranty whatsoever, except as expressly set forth in this License, to the extent permitted by applicable law. The warranty set forth below defines the scope of Arc System Works' liability and warranty and users remedies.
To the maximum extent permitted by applicable law, Arc System Works specifically disclaims any warranty regarding the Game Software Program. The Game Software Program is provided "as is" without warranty of any kind, whether express or implied. This includes, but is not limited to, any implied warranties and/or conditions of merchantability, fitness for a particular purpose, satisfactory quality, performance, or non-infringement of intellectual property rights with respect to the Game Software Program.
All risks associated with use or performance of the Game Software Program (including in-game communications) is at users own risk.

9. Changes to this Agreement
Arc System Works may change this License Agreement at its discretion if it deems it necessary for any of the following reasons: (i) to take into account technological evolution of the Game Software Program or the media on which it is used; (ii) for legal, regulatory, technical, or security reasons; or (iii) if the changes do not disadvantage customers and respect the original contractual balance.
Changes to core obligations of this License Agreement that may alter the purpose of Article 1 are not subject to Arc System Works' unilateral right of change.
Changes to this License Agreement will be notified to users via the website provided by the seller at the time of purchase of the Game Software Program or by other appropriate means.

10. Miscellaneous
(1) This Agreement shall be governed by and construed in accordance with the laws of Japan.
(2) Any legal dispute arising from this Agreement shall be resolved by court proceedings, and the Tokyo District Court shall have exclusive jurisdiction in the first instance.
(3) If any provision of this Agreement is invalid under applicable law, only that provision shall be invalid, and the other provisions of this Agreement shall remain in full force and effect.
(4) The original language of this Agreement is in English; any translations are provided for reference purposes only. To the maximum extent permitted by applicable law, you waive any right you may have under the law of your country to have this Agreement written or construed in any other language.
