SHADOWBOX: Mausoleum of Natural History End User License Agreement (EULA)
1. INTRODUCTION
Any reference to “The Parent-Teacher Guide to Paleontology”, “PTPALEO LLC”, “we”, or “us” is meant to be represent ptpaleo LLC, under the jurisdiction of the laws of the State of Arizona and the United States of America. If you need or want to contact us, email us at ptpaleo@proton.me.
2. AGREEMENT
This EULA represents the legal agreement between you (an individual or legal entity), the end user, and us regarding use of the video game software and all subsequent updates (the “Mausoleum”). You must be of legal age of majority in your jurisdiction to enter into this agreement. If you are not of legal age of majority, you must have a parent or guardian agree on your behalf. You agree to this EULA and the EULA goes into effect upon your initial install, download, or use of the Mausoleum, whichever occurs first. If you do not agree to the terms and conditions of this EULA, you shall not install, download, or use the Mausoleum.
3. OWNERSHIP
We own all rights to the Mausoleum in whole and in part including but not limited to all original code, images, models, text, audio, sculptures, architecture, designs, modifications, updates, and additions, unless otherwise specified.
4. WARRANTY
We grant you a revocable, non-exclusive, non-transferable, non-sublicensable limited right and license to install, download, and use the Mausoleum. You shall not without our written consent profit from, sell, rent, lease, lend, loan, sublicense, copy, transfer, modify, reproduce, distribute, publish, decompile, disassemble, reverse engineer, or train any machine learning or artificial intelligence software on the Mausoleum.
5. INDEMNITY
You agree to indemnify and hold us harmless from all claims, demands, actions, losses, damages, liabilities, and expenses (including all legal fees) incurred in connection with any breach of this EULA, illegal or disallowed use of the Mausoleum, or infringement upon our intellectual property rights.
6. TERMINATION
Any breach of this EULA, illegal or disallowed use of the Mausoleum, or infringement upon our intellectual property rights will cause immediate termination of the agreement. You may terminate this EULA by contacting us via email stating in writing your intent to do so. Upon termination, you will uninstall, delete, remove, and destroy all of your copies of the Mausoleum.
7. RESOLUTION, GOVERNANCE, & JURISDICTION
In the event of any claim, dispute, harm, controversy, or disagreement over this EULA or use of the Mausoleum, you agree to first attempt to settle, negotiate, or resolve with us through email in good faith. This EULA shall be governed, construed, and interpreted under and in accordance with the laws of the State of Arizona and the United States of America. Both parties irrevocably submit to the exclusive jurisdiction of, and venue in, the state courts of the State of Arizona or the federal courts of the United States of America. Any suit, action, or proceeding brought against either party shall be brought only to the state courts of the State of Arizona or the federal courts of the United States of America.
8. SEVERABILITY
If any section or portion of this EULA is found to be illegal, invalid, or unenforceable, the offending sections may be struck and removed by the minimal amount to bring the EULA in compliance. Doing so will not affect and leave intact all remaining sections or portions without affecting their applicability, validity, and enforceability.
9. UPDATES
This EULA may be amended and updated by us at any time without notice. Any such amendment or update will be published in a manner to be accessible publicly prior to download, install, or use of the Mausoleum. By continuing to use the Mausoleum, you agree to all amendments and updates.
