END USER LICENSE AGREEMENT (EULA) FOR BOX DOG
This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Friend Castle LLC ("Owner" or "we" or "us" or "our"), governing your use of the game software titled "Box Dog" (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. GRANT OF LICENSE
Friend Castle LLC grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software on your personal computer (PC or Mac) solely for your personal, non-commercial purposes and subject to the terms of this EULA.
2. OWNERSHIP
The Software is licensed, not sold. This EULA does not grant you any ownership interest in the Software. All rights, titles, and interests in and to the Software, including all intellectual property rights, are owned by Friend Castle LLC and its licensors.
3. RESTRICTIONS
You agree not to, and you will not permit others to:
a. Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
b. Create derivative works based on the Software.
c. Use the Software for any commercial purpose without prior written consent from Friend Castle LLC.
d. Remove, alter, or obscure any proprietary notices (including copyright or trademark notices) on the Software.
e. Use the Software in any manner that could damage, disable, overburden, or impair the Software or interfere with any other party's use and enjoyment of the Software.
4. UPDATES AND MODIFICATIONS
Friend Castle LLC may provide updates, patches, and other modifications to the Software at its discretion. Any updates or modifications provided to you shall be subject to the terms of this EULA.
5. TERMINATION
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Friend Castle LLC if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.
6. DISCLAIMER OF WARRANTIES
The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Friend Castle LLC does not warrant that the Software will be uninterrupted or error-free, that defects will be corrected, or that the Software is free of viruses or other harmful components.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall Friend Castle LLC or its licensors be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, business interruption, personal injury, or loss of privacy) arising out of or in any way related to the use of or inability to use the Software, even if Friend Castle LLC has been advised of the possibility of such damages.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Friend Castle LLC, its licensors, and their respective officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of the Software, violation of this EULA, or violation of any rights of a third party.
9. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under this EULA will be brought exclusively in the federal or state courts located in the United States of America, California, and the parties hereby consent to the personal jurisdiction and venue therein.
10. MISCELLANEOUS
a. This EULA constitutes the entire agreement between you and Friend Castle LLC regarding the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
b. If any provision of this EULA is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the other provisions of this EULA shall remain in full force and effect.
c. No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term.
