Terms of Service and License Agreement

This Terms of Service and License Agreement (“Terms” or “Agreement”), together with the Catly Creation Tools Content Agreement and our Privacy Policy, governs your use of Catly, including the website feature that enables users (“Users”) to post user-generated content (“User Content,” as defined in Section 6) and interact with such content (including, without limitation, viewing, commenting on, and downloading it). This platform is referred to herein as the “Creation Tools.”

These Terms apply to and govern your use of:

the video game software (the “Game Software”);

any associated media;

any software related to the Game’s online functionality (if applicable and subject to separate terms of service governing such mode);

all copies of the above (collectively, the “Game”); and

any written, printed, online, or electronic documentation related to the Game, including manuals and other materials, and all copies thereof (collectively, the “Documentation”).

These Terms also apply to all services provided by SUPERAUTHENTI, Inc. (“Company,” “we,” “us,” or “our”) that support or are otherwise related to the Game (collectively, the “Services”).

“You,” “your,” “User,” or “Player” refers to any individual who uses the Game, Documentation, or Services by:
(i) installing, accessing, or using the Game Software;
(ii) installing, accessing, or using the Game; or
(iii) accessing or using the Documentation or Services.

If you are a minor (i.e., below the legal age of consent in your jurisdiction), you may only use the Game, Documentation, or Services with the consent and supervision of a parent or legal guardian. We may require verifiable consent from such guardian as a condition of access.

If you have a SUPERAUTHENTI ID, the use of which is governed by its own terms (the “SUPERAUTHENTI ID Terms”), these Terms shall apply in addition to those terms. In the event of any conflict between these Terms and the SUPERAUTHENTI ID Terms, these Terms shall prevail with respect to your use of the Game, Documentation, and Services.

BY CLICKING “ACCEPT,” YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS, THE CATLY CREATION TOOLS CONTENT AGREEMENT, AND OUR PRIVACY POLICY.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK “ACCEPT” AND DO NOT USE THE GAME, DOCUMENTATION, OR SERVICES.

PLEASE BE AWARE OF THE ARBITRATION AGREEMENT IN SECTION 12 AND THE CLASS ACTION WAIVER IN SECTION 15.
These provisions require that, except as prohibited by applicable law, any disputes or claims between you and the Company or the Game’s licensors must be resolved through individual arbitration.
This means:

You waive the right to have your claims decided by a judge or jury.

You waive the right to participate in any class, collective, or representative action.

Furthermore, depending on the platform or device you use to access the Game, Documentation, or Services, you may be required to agree to and comply with third-party platform rules, including their terms of service and privacy policies.
In the event of any conflict between the terms or policies of such third-party platforms and these Terms, these Terms shall prevail to the maximum extent permitted by applicable law.

1. Limited License
Subject to your acceptance of and ongoing compliance with these Terms, SUPERAUTHENTI, Inc. (the “Company”) and, where applicable, its licensors, hereby grant you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to download, install, and use one (1) copy of the Game on a single computer, console, mobile device, or other similar device, whether currently existing or developed in the future (each, a “Device”), solely for your personal, non-commercial use (the “License”). Except as expressly permitted in Section 3(f) (regarding account transfers with consent), this License is non-transferable.

All rights not expressly granted herein are reserved by the Company and, where applicable, its licensors. You acknowledge that the Game is licensed, not sold, and that this License does not confer upon you any title, ownership, or other rights in or to the Game. This License shall not be interpreted as a sale or transfer of any intellectual property or other proprietary rights.

The License will automatically terminate if you breach these Terms. Upon termination for any reason, you must promptly uninstall and delete all copies of the Game and Game Software from all of your Devices. You may also voluntarily terminate this License at any time by uninstalling the Game Software, including any backup or archival copies, from your Devices.

Subject to your compliance with these Terms and any platform-specific restrictions, the Company and, as applicable, its licensors also grant you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to:

i. create live or recorded videos using in-game assets (such as images, video, sound effects, voice recordings, and music) for the purpose of showcasing gameplay (“Gameplay Videos”); and
ii. distribute such Gameplay Videos on publicly accessible websites that do not charge viewers any form of fee.

For clarity, you may not license or sublicense any Gameplay Video for a fee or use it for other commercial purposes without prior written authorization from the Company. You must not include any prohibited content as outlined in these Terms within, adjacent to, or on the same webpage as the Gameplay Video. Additionally, each Gameplay Video must contain the following clear and conspicuous disclaimer—either at the beginning of the video or, if live-streamed, near the video in a clearly visible font:

“This video is subject to the Game’s Terms of Service and was not endorsed or sponsored by SUPERAUTHENTI, Inc.”

The Company reserves the right, at its sole discretion and without notice or liability to you, to revoke the limited license to create, distribute, or otherwise make available Gameplay Videos.

2. Amendments, Updates, and Patches
a) The Company may, at its sole discretion and at any time, amend or update these Terms in a manner consistent with applicable laws and regulations.

b) In the event of material changes to these Terms, the Company will provide notice in a manner it deems appropriate in its sole discretion. If you do not accept such changes, or if they render you non-compliant with these Terms, you may terminate your agreement pursuant to Section 10 (Term and Termination), after which you must cease using the Game, Documentation, and Services. You are responsible for regularly reviewing these Terms for updates. Continued use of the Game, Documentation, or Services after changes have been posted constitutes your acceptance of the revised Terms.

c) The Company may provide software updates, patches, or other modifications that are required for continued access to or proper functioning of the Game. You acknowledge and agree that the Company may remotely update, patch, or otherwise modify the Game Software residing on your Device. By using the Game, you grant the Company the right to deploy and install such updates, patches, and modifications. Any reference in these Terms to the “Game” includes all such updates, patches, and modifications.

d) The Company reserves the right to upgrade, alter, suspend, or discontinue the Game, the Game Software, the Documentation, or any part of the Services at any time, with or without notice.

3. Prohibited Uses
The Company provides the Game, the Documentation, and the Services solely for your personal, non-commercial entertainment purposes, as limited and defined by these Terms. You agree not to engage in any conduct that violates these Terms unless such conduct is expressly permitted in writing by the Company. Any breach of these Terms may result in the temporary or permanent suspension of your account associated with the Game, the Documentation, or the Services (each, an “Account”), and/or termination of your access thereto. In certain cases, the Company may conduct an investigation into suspected violations (though it is under no obligation to monitor usage or conduct such investigations).

You agree to use the Game, the Documentation, and the Services only in a manner consistent with these Terms. You SHALL NOT, and SHALL NOT ATTEMPT to:

a) use, promote, or exploit the Game, the Documentation, or the Services (in whole or in part) for any non-personal or commercial purpose without the Company’s prior written consent;
b) access or use the Game, the Documentation, or the Services with any unauthorized software, applications, services, or devices that may be illegal, void warranties, or breach these Terms, unless expressly permitted by the Company;
c) use the Game on more than one Device without obtaining a separate, additional license from the Company;
d) use the Game in any networked, multi-user, or remote access environment—including any online use—except where such use is a normal part of the Game’s intended functionality or is explicitly permitted in writing by the Company;
e) make any copies of the Game, the Documentation, or the Services (in whole or in part);
f) sell, rent, lease, license, distribute, upload to the Internet, or otherwise transfer or make available any part or copy of the Game, the Documentation, or the Services without the Company’s prior written consent, which may require payment of additional fees; nor use any automated means (e.g., spiders, bots, crawlers, data mining tools) to search, access, or download content from the Game, the Documentation, or the Services, except with a standard third-party web browser or Company-provided tools;
g) reverse engineer, decompile, disassemble, derive source code from, or otherwise modify the Game, the Documentation, or the Services (in whole or in part), or create derivative works thereof, except to the extent permitted by applicable law. Any such lawful derivative works shall be deemed automatically and exclusively assigned to the Company or its licensors, and any associated moral rights shall be deemed irrevocably waived;
h) disable, bypass, tamper with, or circumvent any security measures or technical access controls; or probe, scan, or test the vulnerability of any Company system or network;
i) upload or distribute files containing viruses, malware, or code intended to disrupt or impair any Device or system functionality;
j) alter, remove, or obscure any proprietary notices or labels within the Game, the Documentation, or the Services;

m) collect, disclose, or publish others’ information—including personal data or payment details—without proper authorization or legal basis;
n) impersonate any person or entity, including Company employees, representatives, licensors, affiliates, or partners;
o) damage or harm the reputation of the Company, its affiliates, service providers, licensors, the Game, the Documentation, or the Services;
p) post, promote, or link to any content relating to the Game, the Documentation, or the Services that is unlawful, harmful, offensive, defamatory, obscene, pornographic, racist, ethnically offensive, or otherwise objectionable, or that encourages gambling, money laundering, or harm to minors;
q) deceive, mislead, exploit, or take unfair advantage of others (as determined in the Company’s sole discretion);
r) use the Game, the Documentation, or the Services in connection with illegal activities or in any manner that disrupts, interferes with, or diminishes the provision of these services;
s) exploit bugs, glitches, or errors in the Game, the Documentation, or the Services to gain unfair advantages;
t) violate any applicable law, regulation, or rule in connection with your use of the Game, the Documentation, or the Services;
u) access or use the Game, the Documentation, or the Services in ways beyond their intended scope or purpose, including tampering with non-public systems or backend infrastructure;
v) use, develop, promote, or distribute unauthorized software or devices that intercept or alter communication between the Game and servers (e.g., cheats, bots, macros, memory readers, trainers, or automation tools);
w) use vulgar, hateful, racist, sexist, or otherwise offensive language or symbols when interacting with others, as determined in the Company’s sole discretion;
x) use inappropriate or offensive nicknames that provoke negative sentiment or imagery;
y) manipulate gameplay or service functions in any way that creates an unfair advantage or disadvantage for yourself or other users;
z) use another person’s Account (or any other platform account) to access the Game, the Documentation, or the Services;
aa) use IP spoofing, proxies, or similar methods to mask your location or otherwise circumvent geographic restrictions or terms of access;
ab) use, display, mirror, or frame the Game, the Services, or any individual elements (including Company trademarks, logos, or proprietary content) without express written consent;
ac) post or share repetitive content that constitutes spam;
ad) sell, transfer, or otherwise exchange game data (including accounts, characters, or items) for real-world money or value;
ae) solicit or promote the sale or transfer of game data for financial gain;
af) abuse payment systems or refund policies to receive unjust benefits;
ag) engage in conduct prohibited by applicable law or that violates accepted social norms;
ah) encourage or assist others in engaging in any of the above-prohibited conduct;
ai) engage in abusive behavior—including the use of violent, profane, or harassing language—towards customer service representatives. Such conduct may result in loss of access to support services.

The above list is not exhaustive. Any conduct not specifically listed herein but which, in the Company’s judgment, negatively affects the Game, the Documentation, the Services, or the experience of other users may be subject to warnings, penalties, or termination of the License granted to you.

In addition, you agree to comply with all safety notices, technical updates, and other official communications made available through the Game’s official website (“Official Site”), in-game messages, manuals, or otherwise distributed by the Company in relation to the Game, the Documentation, or the Services.

aj) You may not use any content provided by the Company, or derived from the Game’s intellectual property (including but not limited to text, images, videos, or metadata), for the purpose of training, developing, or enhancing any artificial intelligence or machine learning model without the Company’s express prior written consent.

4. Accessing the Game and Services

Access to the Game, the Documentation, and the Services may be temporarily or permanently interrupted, suspended, or restricted by the Company, in whole or in part, for any duration deemed appropriate by the Company for purposes including, but not limited to, updates, maintenance, or other technical or operational reasons, at the Company’s sole discretion. Availability may also vary based on geographic location or jurisdictional restrictions.

The Company reserves the right, at its sole discretion and without notice, to modify, suspend, restrict, or terminate access to the Game, the Documentation, or the Services (including, without limitation, cancellation, deactivation, or alteration of a User’s Account or License), either generally or with respect to specific Users.

The Game and Services, including Canvas and other multiplayer features, may incorporate functionality that discloses certain information (e.g., rankings, performance data) to other Users as part of normal operation. By using such features, you acknowledge and consent to the display and sharing of such information with other Users as necessary for proper functioning of the Game or Services.

5. Ownership

The License granted herein does not confer upon you any ownership or proprietary rights in the Game, any in-game items, the Documentation, or the Services. Nothing in these Terms shall be construed as a sale or transfer of any rights, title, or interest in and to the Game, the Documentation, or the Services.

You acknowledge and agree that all rights, title, and interest, including all intellectual property rights, in and to the Game, the Documentation, the Services, and all copies and derivative works thereof (including but not limited to titles, source and object code, themes, characters, names, stories, dialogue, phrases, locations, concepts, artwork, graphics, animations, music, audio-visual effects, text, methods of operation, moral rights, and applets) (collectively, the “Game IP”), are and shall remain the sole and exclusive property of the Company or, as applicable, its licensors.

You are not permitted to reproduce, modify, distribute, transmit, create derivative works of, or otherwise exploit the Game IP except as expressly authorized by the Company in writing. Any unauthorized use or modification of the Game IP shall result in the Company owning all right, title, and interest in such unauthorized derivative works, or, in the alternative, the Company shall be deemed to hold a perpetual, irrevocable, royalty-free, worldwide license to use and exploit such works for any purpose.

6. User Content

a) The Company permits Users to create, upload, publish, transmit, and store content (including, without limitation, images, sounds, and videos) using features of the Game and/or Services (“User Content”). Such content may be created using tools and materials provided by the Company within the Game or Services, including but not limited to costumes, furniture, skins, characters, and other assets (“Basic Content”). Certain materials may be designated by the Company as non-modifiable (“Non-Modifiable Content”), and you are expressly prohibited from altering or modifying such materials in whole or in part.

Unless otherwise provided in a separate agreement, Users retain the copyright and intellectual property rights in their original User Content, subject to the following license grant. You hereby grant the Company a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, transferable, and sublicensable license to use, reproduce, modify, adapt, distribute, publish, broadcast, perform, translate, create derivative works of, and otherwise exploit your User Content in connection with the Game, Services, and their marketing and promotion, in any format now known or later developed, for any purpose, whether commercial or non-commercial.

You further agree that the Company may monetize your User Content (including, for example, by placing advertising or charging access fees) without any obligation to compensate you, and you irrevocably waive any rights of attribution, moral rights, or rights to object to derogatory treatment, to the fullest extent permitted by applicable law.

You are solely responsible for all User Content you contribute to the Services and for any consequences thereof. The Company makes no guarantees regarding the accuracy, integrity, or quality of User Content. You acknowledge and agree that:

(a) Unless explicitly agreed in writing by the Company, submission of User Content does not entitle you to any form of compensation;

(b) The Company cannot guarantee confidentiality of User Content, nor that similar ideas or content are not already in development or may not later be developed by the Company or others;

(c) The Company may retain server copies of deleted or removed User Content, but is under no obligation to provide such copies to you;

(d) You may not exploit User Content in third-party games or platforms without express written authorization from the Company.

All User Content must include appropriate intellectual property notices and comply with applicable copyright and trademark laws. Unauthorized use of third-party intellectual property is strictly prohibited.

User Content must not include, link to, or promote any content involving cheats, exploits, unauthorized virtual currency farming, illegal activities, or materials deemed inappropriate based on the Services’ content ratings or community standards.

The Company does not undertake to monitor all User Content but reserves the right to screen, edit, block, or remove content (including User Content and comments) at its discretion if deemed to violate these Terms, cause harm, or as otherwise required by law.

By submitting User Content, you agree to be bound by these Terms, the Catly Canvas Content Agreement, and the Privacy Policy, and to indemnify the Company against any claims or liabilities arising from your User Content.

The Services and all related content (excluding User Content) are protected by applicable copyright laws, international treaties, and trademark laws. All rights are reserved worldwide. Portions of the Services may include materials licensed to the Company, and both the Company and its licensors reserve the right to enforce their rights in case of any infringement.

b) You also hereby grant to each other User of the Services a non-exclusive, worldwide, royalty-free license to access and use your User Content within the Services in accordance with these Terms and applicable law. You understand and agree that other Users may use, record, or redistribute your User Content without compensation or liability to you, and the Company disclaims any and all responsibility for such use.

c) Except for User Content, all rights in and to the Services, including all content therein, are owned or licensed by the Company or its licensors. You have a limited right to use certain data within the Services in accordance with these Terms. You may not sell, trade, transfer, or otherwise dispose of any in-game data (including accounts, characters, or virtual items) outside the Services without prior written approval from the Company.

7. Use of AI

a) The Company provides an Artificial Intelligence service ("AI") designed to assist you in the creation of creative content, including but not limited to in-game texture generation. The use of the AI is governed by these Terms as well as the Catly AI-based Tools Terms of Use and Disclaimer, which supplements and forms an integral part of this Agreement.

The AI is provided "as is." Except to the extent prohibited by applicable law, the Company and its affiliates make no warranties—express, implied, statutory, or otherwise—regarding the AI. All warranties, including but not limited to those of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, quiet enjoyment, or any arising from course of dealing or trade usage, are expressly disclaimed.

We do not warrant that the AI or associated services will operate uninterrupted, be error-free, accurate, secure, or that content will not be lost or altered.

You may provide User Content for use with the AI and receive outputs such as in-game textures and 3D assets ("Suggestions"). Subject to these Terms, the Company hereby assigns to you all of its right, title, and interest in and to such Suggestions. The Company may use both Suggestions and User Content for purposes including the provision and maintenance of the Game, the Canvas, and the AI, as well as for compliance with applicable laws and enforcement of Company policies.

You are solely responsible for ensuring that both User Content and Suggestions comply with applicable laws and these Terms. Due to the nature of machine learning, Suggestions are not guaranteed to be unique and may be identical or substantially similar to those generated for other users. Outputs generated for other users are not considered your User Content.

b) You are strictly prohibited from using, or attempting to use, prompts or results from the AI to generate content that:

Violates any applicable law or regulation;

Exploits or harms minors in any manner;

Contains or seeks personal information;

Defames, harasses, or otherwise targets individuals;

Discriminates against or harms individuals or groups based on real or inferred personal traits;

Exploits vulnerabilities based on age, social, physical, or mental attributes in a manner likely to cause harm;

Infringes upon the rights of others, including intellectual property rights;

Is illegal, invasive, harmful, threatening, abusive, defamatory, obscene, pornographic, or otherwise offensive or prohibited under Section 3 of these Terms and the Canvas Content Agreement.

c) If your use of the AI results in the infringement of a third party’s rights—such as intellectual property rights—the affected party may report the issue to the Company in accordance with the procedures set forth in Section 16 of these Terms.

d) If you violate the prohibitions outlined in Paragraph b or Section 3 while using the AI, the Company disclaims any and all warranties, indemnities, or liabilities arising from such use.

e) All Suggestions, outputs, responses, and other content generated by the AI are the product of algorithmic computation. Any resemblance to real-world events, persons (living or deceased), or situations is purely coincidental and unintentional. The AI does not possess awareness of real-world events beyond its last training data cut-off and is incapable of intentionally referencing such events. Users must not interpret AI-generated content as reflecting the views, opinions, or beliefs of the Company. The Company and its affiliates expressly disclaim all liability for any interpretations, uses, or actions taken in reliance on such Suggestions or outputs.

8. Disclaimers

Except as otherwise provided in Section 9 (Limitation of Liability; Indemnification), neither the Company nor its licensors shall be responsible or liable for:

a) Interruptions to the Game or Services, or termination of an Account, arising from User actions or device failure;

b) Discontinuation or service failure by telecommunications providers;

c) Service disruptions caused by maintenance, inspections, replacements, or upgrades, except where such disruption is due to the Company’s intentional misconduct or gross negligence;

d) Issues stemming from the User’s device or internet/network environment;

e) The content, accuracy, reliability, legality, or quality of any information, links, or materials posted or transmitted by Users or third parties through the Game, Services, or the Company’s official websites;

f) User interactions or disputes with other Users or third parties (although the Company may, at its sole discretion, offer to mediate, it is under no obligation to do so);

g) Matters that fall under the responsibility of third parties not under the Company’s direction or control;

h) Any loss resulting from the User’s choices or use of the Game, Documentation, or Services, particularly where expected results are not achieved;

i) To the fullest extent permitted by law, any loss of in-game assets (such as items or downloadable content);

j) Restrictions on use of the Game or Services imposed by applicable law or government policy;

k) Fees, damages, or losses resulting from your use of internet service providers (ISPs), including hotspot operators, to access the Game or Services. You should review your ISP’s user agreement, terms of service, and privacy policy before connecting to the Internet.

The Company and, as applicable, its licensors provide the Game, Documentation, and Services strictly on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, non-infringement, or any arising from course of dealing, usage, or trade.

You acknowledge that your use of the Game, Documentation, and Services is solely at your own risk. The Company makes no guarantee that the Services will operate continuously, without interruption, securely, or free from viruses or errors.

Certain jurisdictions may not allow the exclusion of certain warranties; therefore, these disclaimers may not apply to you depending on your place of residence.

The Game or Services may contain links to third-party websites or services. These are provided solely as a convenience, and the Company is not responsible for their content, products, or services. You assume full responsibility and all risks arising from your use of any such third-party websites or services.

9. Limitation of Liability; Indemnification
To the maximum extent permitted by applicable law, the Company, its affiliates, subsidiaries, and, where applicable, their respective licensors shall not be liable for any damage or loss suffered by you that was not reasonably foreseeable at the time you accepted these Terms or commenced use of the Game, the Documentation, or the Services, including any such damage or loss resulting from a breach of these Terms.

The Game, Documentation, and Services may be modified, suspended, or discontinued temporarily or permanently without notice for any reason, including but not limited to Company’s decision to cease operations of all or part of the Game, Documentation, or Services, system failure, maintenance, repairs, or events beyond our reasonable control. Except as otherwise provided in these Terms, the Company and its affiliates shall not be liable to you or any third party for any unavailability, discontinuation, modification, or change in the Game, Documentation, or Services.

The Company, its affiliates, subsidiaries, and, where applicable, their licensors shall not be responsible for:

a) any damage or loss suffered by you if you are not a consumer or a User as defined by applicable law;

b) any failure, suspension, or termination of access to the Game, the Documentation, or Services resulting from a force majeure event. “Force majeure” includes, without limitation, labor disputes, natural disasters, war, terrorism, riots, pandemics, civil unrest, compliance with government mandates, equipment or infrastructure failures, fires, floods, storms, or failures of suppliers, or any other circumstances beyond our reasonable control;

c) any claims brought against you by third parties, except as expressly set forth in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, SUBSIDIARIES, AND THEIR LICENSORS SHALL NOT BE LIABLE FOR:
(i) LOSS OF PROFITS;
(ii) LOST REVENUE;
(iii) LOST SAVINGS;
(iv) LOSS OR EXPOSURE OF DATA; OR
(v) ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES—ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE GAME, THE DOCUMENTATION, OR THE SERVICES—WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, INDEMNITY, BREACH OF WARRANTY, OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF THE COMPANY, ITS AFFILIATES, SUBSIDIARIES, AND LICENSORS EXCEED FIFTY U.S. DOLLARS (USD $50), REGARDLESS OF THE FORM OF ACTION.

You agree to indemnify, defend, and hold harmless the Company, its affiliates, subsidiaries, partners, licensors, officers, directors, employees, and contractors (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
(A) your access to or use, or misuse, of the Game, the Documentation, or Services;
(B) your creation or use of any User Content; or
(C) your violation of these Terms.
The Company reserves the right to assume exclusive control over any matter subject to indemnification by you.

10. Period and Termination
These Terms shall remain in effect unless and until terminated by either you or the Company. Either party may terminate the license or access to the Game, Documentation, or Services at any time, for any reason or no reason, without prior notice.

Termination by the Company shall be effective:
i) immediately upon termination or deletion of your Account; or
ii) upon issuance of notice by the Company.

Deletion of the Game Software shall also automatically terminate this Agreement and any associated license. Except as required by law or permitted under our Refund Policy (see Section 17), the Company is not obligated to refund any purchases made for the Game, downloadable content, or other in-game items lost due to termination, whether such termination is voluntary or involuntary. You acknowledge that no refunds will be provided upon your termination of these Terms.

You are solely responsible for any issues arising from inaccurate or false information provided during account registration. The Company reserves the right to terminate your Account if such information is found to be incorrect.

The following provisions shall survive the termination of these Terms: Sections 2 (Amendments, Updates, and Patches), 3 (Prohibited Uses), 5 (Ownership), 6 (User Content), 7 (Use of AI), 8 (Disclaimers), 9 (Limitation of Liability; Indemnification), 10 (Period and Termination), 12 (Grievance Handling and Dispute Resolution; Arbitration Agreement), 13 (Inadequacy of Damages), 14 (Governing Law and Disputes), 15 (Class Action Waiver), 17 (Refund Policy), 18 (Other Policies), and 19 (Miscellaneous).

11. Transfer of Terms and Conditions
Your license to access and use the Game is non-transferable, except as explicitly permitted under these Terms.

12. Grievance Handling and Dispute Resolution; Arbitration Agreement
a) If a dispute arises between you and the Company, we aim to resolve it in a neutral and cost-effective manner. Before initiating formal legal action, you agree to first contact us in writing with a description of your dispute, relevant documentation, and your proposed resolution. If the dispute is not resolved within thirty (30) days, you agree to proceed with arbitration or, where applicable, small claims court. Dispute notices should be sent to:
SUPERAUTHENTI, Inc. – Attn:

b) Subject to paragraph (a), all disputes arising out of or in connection with these Terms shall be finally resolved by binding arbitration in San Ramon, California, administered by JAMS or its successor. The arbitration shall be conducted in English and in accordance with applicable federal and California state law. Either party may also elect to bring qualifying claims in small claims court. The prevailing party in any arbitration or legal action shall be entitled to recover its reasonable legal fees and costs.
ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS. YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Rights normally available in court (such as discovery or appeal) may be limited in arbitration.

If a dispute arises, the Company shall demonstrate that its measures—including usage restrictions—were reasonably and fairly applied, and shall abide by any binding arbitration result.

c) The Company retains sole discretion regarding whether or how to enforce its rights or take action as provided in these Terms, without obligation to do so.

d) This arbitration clause applies to all claims or disputes arising from your relationship with the Company and its affiliates, subsidiaries, predecessors, successors, licensors, or assigns, including but not limited to those relating to the Game, the Documentation, or the Services—whether based on contract, tort, statute, fraud, or any other legal theory.

13. Inadequacy of Damages
Without prejudice to any other rights or remedies available to the Company under these Terms or applicable law, you acknowledge and agree that monetary damages alone would be an insufficient remedy for any actual or threatened breach of these Terms by you. The Company would suffer irreparable harm as a result of such a breach. Accordingly, the Company, and where applicable, its licensors, shall be entitled to seek injunctive relief, specific performance, or any other equitable remedies, in addition to any legal or monetary remedies to which it may be entitled.

For the avoidance of doubt, the Company and, where applicable, its licensors shall be entitled to such equitable relief without the requirement of posting bond, other security, or proof of actual damages.

14. Governing Law and Disputes
These Terms shall be governed by, and construed in accordance with, the laws of the State of California, without regard to its conflict of law provisions. Any dispute, claim, or cause of action arising out of or relating to these Terms, the Game, the Documentation, or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the County of Contra Costa, California, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

If you access or use the Game outside of the United States, other laws may apply to you. In such cases, these Terms shall be interpreted to give effect to their original intent to the maximum extent permitted by applicable local law. You are solely responsible for complying with all local laws applicable to your use of the Game, the Documentation, or the Services.

15. Class Action Waiver
To the fullest extent permitted by applicable law and consistent with the arbitration agreement set forth in Section 12, you agree that any and all disputes or claims arising out of or relating to these Terms, the Game, the Documentation, or the Services must be brought solely in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

You further agree not to participate in or seek to combine any such dispute or arbitration with those of any other party, without the express written consent of all parties involved in each respective proceeding.

16. Copyright Notice
If you believe that any material or content available in the Game, Game Software, Services, or on any associated platforms (including but not limited to Canvas) infringes upon your copyright-protected work, you may submit a notice of alleged copyright infringement to the Company’s designated copyright agent.

b) Your name, address, email address, and any other contact information reasonably necessary to reach you;
c) A statement that you have a good faith belief that the disputed use of the material is not authorized by the copyright owner, its agent, or the law;

17. Refund Policy
Except as otherwise provided in these Terms, all sales of paid content related to the Game, the Documentation, or Services, including in-game items, are final. The Company is not obligated to provide refunds for any paid content, except as required by applicable law or as allowed under the refund policy of a third-party platform. Refund requests for any paid content must be submitted directly to the third-party platform in accordance with that platform's refund policy. If required by the third-party platform, the Company will review and process your refund request in compliance with applicable laws and the platform's refund policy. In the event of termination due to your breach of these Terms, you will not be entitled to any refund.

18. Other Policies
a) Any violation of your obligations under this Agreement, including the Catly Canvas Content Agreement, may result in the termination of the License granted to you, your Account, or your access to the Game, the Documentation, or Services.

b) You must be of the legal age of majority (i.e., the age at which you can legally provide consent under the laws of your jurisdiction) to play the Game. If you are under the legal age of majority, you and your parent or guardian must review and agree to these Terms together.

19. Miscellaneous
These Terms constitute the entire agreement between you and the Company regarding the Game, the Documentation, and Services, superseding all prior and contemporaneous agreements, understandings, inducements, or conditions, whether written, oral, express, or implied. If any provision of these Terms is found to be unenforceable, it will be modified only to the extent necessary to make it enforceable, and the remaining provisions of these Terms will remain in full force and effect. The Company’s failure to enforce any right or provision hereunder shall not be construed as a waiver of such right or provision. Any waiver of a right or provision will be effective only if in writing and signed by the Company.
