End User License Agreement (EULA)

Developed by Obnoxious Genius Games, LLC
1. Definitions
1.1 "Game" refers to the software application "Solarpunk Tactics," including all associated files, updates, and modifications.
1.2 "Licensor" refers to Obnoxious Genius Games, LLC.
1.3 "User" refers to the individual accessing or using the Game under this agreement.
1.4 "Confidential Release" refers to the restricted distribution of the Game for testing, evaluation, or demonstration purposes.
2. Term
2.1 This agreement begins upon the User's acceptance and remains in effect until terminated by the Licensor or User.
2.2 Licensor reserves the right to terminate this agreement at any time for breach of terms.
3. Licence
3.1 Licensor grants the User a limited, non-exclusive, non-transferable licence to use the Game solely for personal evaluation, testing, or demonstration purposes during the Confidential Release period.
3.2 License Limitations: The Game may not be shared, distributed, copied, broadcast, or modified without the express written consent of the Licensor.
3.3 Licence Prohibitions: The User may not reverse-engineer, decompile, or disassemble the Game or bypass any security measures.
3.4 Activation Code: Access to the Game may require an activation code provided by the Licensor.
3.5 Third-Party Licences: Use of the Game may be subject to additional third-party licence agreements.
4. Online Services
4.1 The Game may include online features requiring an internet connection. The User is responsible for ensuring adequate connectivity.
4.2 Licensor is not responsible for any charges incurred through online services.
4.3 Online services are provided at Licensor’s discretion and may be modified or discontinued at any time.
4.4 User must adhere to acceptable use policies for online services. Excessive use or misuse may result in suspension.
5. Acceptable Use
5.1 The User may not exploit the Game for commercial purposes without prior consent.
5.2 Cheating, hacking, or use of third-party software to gain unfair advantages is strictly prohibited.
5.3 Licensor reserves the right to detect and prevent cheating through automated tools. Breach may result in account suspension or termination.
6. User Content
6.1 Users retain ownership of content created within the Game but grant Licensor a non-exclusive, worldwide licence to use such content.
6.2 User content must comply with applicable laws, age suitability, and community standards.
6.3 Licensor reserves the right to remove or restrict content deemed inappropriate.
7. Updates
7.1 Licensor may provide updates or patches to improve the Game.
7.2 The User agrees to apply updates to continue accessing the Game. Failure to apply updates may restrict functionality.
8. Support Services
8.1 Support services are provided at Licensor’s discretion and may be offered remotely.
8.2 Licensor does not guarantee uninterrupted support or resolution of all issues.
9. Distribution Platforms
9.1 Use of the Game on distribution platforms (e.g., Steam) is subject to the platform’s terms of service.
9.2 In the event of a conflict, the platform’s terms shall take precedence.
10. Intellectual Property Rights
10.1 All intellectual property rights in the Game are owned by Licensor. This agreement does not transfer ownership of such rights.
10.2 All rights not explicitly granted are reserved by the Licensor.
11. Warranties
11.1 The Game is provided "as is" without warranties of any kind, express or implied.
11.2 Licensor does not guarantee that the Game is free of errors or will function without interruptions.
12. Acknowledgements and Warranty Limitations
12.1 User acknowledges that the Game is a work in progress and may contain bugs or incomplete features.
12.2 Licensor is not liable for issues arising from the Game’s unfinished state.
13. User Indemnity
13.1 The User agrees to indemnify and hold harmless the Licensor from any claims arising from misuse of the Game.
14. Limitations and Exclusions of Liability
14.1 Licensor is not liable for data loss, software conflicts, or consequential damages.
14.2 Liability for direct damages is capped at the amount paid (if any) for the Game.
15. Termination
15.1 This agreement terminates automatically if the User breaches its terms.
15.2 Upon termination, the User must delete all copies of the Game in their possession.
16. Equitable Relief
16.1 Licensor reserves the right to seek injunctive or equitable relief for breaches of this agreement.
17. General
17.1 This agreement constitutes the entire agreement between the parties concerning the Game.
17.2 This agreement is governed by the laws of the State of Michigan, USA. Any disputes shall be resolved exclusively in Michigan courts.
