End User License Agreement ("EULA")
This End User License Agreement ("Agreement") is a legal agreement between Long Trip VR (the “Licensor”), and the individual or entity acquiring the license to use the Software (the "Licensee"). By installing, copying, or otherwise using the Software, the Licensee agrees to be bound by the terms and conditions of this Agreement.
Grant of License
Subject to the terms and conditions of this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for personal, noncommercial purposes on a single compatible device owned or lawfully possessed by Licensee. Any attempt to transfer, sublicense, or assign this Agreement without prior written consent from the Licensor shall constitute a breach of this Agreement.
Ownership
The Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. The Software is protected by copyright laws and international treaties. The licensee acknowledges that no title or ownership rights are transferred to Licensee according to this Agreement. Licensee agrees not to remove, alter, or obscure any proprietary notices, identification numbers, or serial numbers contained in or on the Software.
Restrictions
Except as expressly permitted in this Agreement, Licensee may not modify, reverse engineer, decompile, disassemble, create derivative works based upon, or distribute the Software, either in whole or in part, except as allowed by applicable laws, regulations, or authorizations from Licensor. Licensee shall not rent, lease, lend, sell, redistribute, or sublicense the Software to third parties.
Termination
This Agreement shall commence on the date of acceptance of its terms by the Licensee and shall continue until terminated by either party upon notice to the other. Immediately upon termination, Licensee must destroy all copies of the Software and cease all use of the Software.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to this Agreement or the use of the Software, even if the Licensor has been advised of the possibility of such damages. The foregoing limitation shall apply regardless of the form of action, whether in contract, tort, or otherwise.
Miscellaneous
This Agreement contains the entire understanding between the Parties concerning the subject matter hereof and supersedes all previous agreements, negotiations, and understandings, whether oral or written, relating thereto. No waiver by any Party of any breach of any provision of this Agreement shall be deemed a waiver of any subsequent breach of the same or any other provisions. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining portions of this Agreement shall remain in full force and effect.
