END USER LICENSE AGREEMENT (EULA)
IMPORTANT - PLEASE READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.
This End User License Agreement ("EULA") is a legal agreement between you (the "User") and SMIRKSMILEGRIN GAMES, LLC ("SMIRKSMILEGRIN GAMES") for the software product identified as [GAME TITLE] (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms and conditions of this EULA. If you do not agree to the terms of this EULA, you are not permitted to use the Software.
1. LICENSE
Subject to your compliance with the terms and conditions of this EULA, SMIRKSMILEGRIN GAMES grants you a non-exclusive, non-transferable, limited license to install and use the Software for your personal, non-commercial entertainment purposes. The license is limited to use on a single personal computer or other compatible device, as permitted by the platform you obtained the Software for (e.g., Steam).
2. INTELLECTUAL PROPERTY
The Software, including all content, design, code, graphics, and text, is the exclusive property of SMIRKSMILEGRIN GAMES and is protected by intellectual property laws and international copyright treaties. You acknowledge and agree that you do not acquire any ownership rights in the Software.
3. RESTRICTIONS
You may not:
a. Modify, decompile, reverse engineer, disassemble, or attempt to extract the source code of the Software, except as expressly permitted by applicable law.
b. Rent, lease, loan, sublicense, distribute, or transfer the Software to any third party.
c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Software or its documentation.
d. Use the Software for any unlawful or fraudulent purpose.
e. Use the Software to develop any software or other technology with similar functionality to the Software.
f. Use the Software in a manner that may disrupt, damage, or interfere with the functionality of the Software or the services it provides.
4. USER CONTENT
You may have the option to create or upload content within the Software. By doing so, you represent and warrant that your content does not infringe on any third-party rights and that you have all necessary rights to distribute such content.
5. UPDATES
SMIRKSMILEGRIN GAMES may provide updates, patches, or modifications to the Software. These updates may be necessary for continued use or enhanced functionality. By installing such updates, you agree to be bound by any additional terms and conditions associated with the updates.
6. TERMINATION
This license is effective until terminated by you or SMIRKSMILEGRIN GAMES. Your rights under this license will terminate automatically without notice from SMIRKSMILEGRIN GAMES if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.
7. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH THE USER.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMIRKSMILEGRIN GAMES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF SMIRKSMILEGRIN GAMES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SMIRKSMILEGRIN GAMES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.
9. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which SMIRKSMILEGRIN GAMES is located. Any legal action or proceeding arising under this EULA shall be brought exclusively in the federal or state courts located in that jurisdiction.
10. ENTIRE AGREEMENT
This EULA represents the entire agreement between you and SMIRKSMILEGRIN GAMES regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
By installing or using the Software, you acknowledge that you have read and understood this EULA and agree to be bound by its terms and conditions.
