Terms and Conditions of the Meta Soulmate App License Agreement

1. Subject

Subject to the terms and conditions of this License Agreement is the Meta Soulmate app for Windows, subsequently called “the software” or “the app”.

2. License usage

ONEUNIVERSE will license the software to you only if you accept all of the terms contained in this License Agreement. Therefore, you should read this agreement carefully.
By downloading, copying and/or installing the software, you accept all the terms in this License Agreement.

2.1 Personal License

This applies to you if you are a person (as opposed to a company). You may use Meta Soulmate for any purpose, as long as you follow the terms of this agreement.
You may use your avatar and/or your User Content on YouTube, Soop (AfreecaTV), CHZZK, Twitch, and other similar streaming services. You are permitted to generate revenue through the platforms’ monetization features, such as channel membership earnings, Super Chats, user donations transmitted through the platforms, and advertising revenue derived from ads displayed on your videos or livestreams (including paid promotions that are part of your videos or livestreams).
We remind you that these third-party streaming platforms have their own terms of service, and we encourage you to review them carefully. You understand and agree that we shall not be liable for any losses, liabilities, damages, costs, or expenses to you or a third party in connection with your use of these third-party streaming platforms.
If you use Meta Soulmate without the watermark (for example, by cropping it out in OBS), you are required to purchase a membership. However, this does not mean that licensing rights are exclusive to membership users; free users are equally granted the same licensing rights, as long as they comply with the terms of this agreement. This ensures that inappropriate circumvention of membership features is prevented.
Any secondary creation may be used without restriction if creation by Meta Soulmate is credited. This is in accordance with creative commons licensing terms. https://creativecommons.org/licenses/by/4.0/

2.2 Company License

Company Licenses are required for companies with a total income in the previous fiscal year above the equivalent of $500 000 US dollars. If you have paid the license fee for a COMPANY LICENSE you can define a company that becomes the license holder. ONEUNIVERSE grants that company a perpetual, non-exclusive and non-transferable license for the software. The company, represented by all members of the company, can install and use the software. Even if the company installs the app on multiple devices, only one COMPANY LICENSE is needed. However, the app must be downloaded separately on each device through Steam, and a membership subscription is necessary.
Special case: VTuber Agencies. For VTuber Agencies with a total income in the previous fiscal year above the equivalent of $500,000 US dollars, a subscription-based COMPANY LICENSE has to be purchased. In this document, a VTuber Agency refers to a company that, as its main business model, manages one or multiple VTubers that participate in activities aimed to generate revenue directly or indirectly. If this applies to you, please state this clearly in your license request.
Additionally, agencies are required to download the app separately through Steam for each VTuber’s device and ensure a membership subscription is completed. The license will be provided as a PDF document. No software keys or extended functionality will be provided. By purchasing a COMPANY LICENSE, you grant ONEUNIVERSE the right to publicly advertise the fact that your company is using Meta Soulmate on any social media channels. This includes the right to display your company logo on the ONEUNIVERSE website in the “Partners” section. If you do not wish to grant this right to ONEUNIVERSE, please state this clearly before making a purchase as this will result in an increased license fee.

3. Patches and Updates

ONEUNIVERSE may (but is not required to) deploy or provide patches, updates and modifications to the software that must be installed for the Licensee to continue to use the software. ONEUNIVERSE may update the software remotely over the Steam Store. Updates may break compatibility with runtime Meta Soulmate. ONEUNIVERSE is not responsible for any broken files that may result from software updates. The Licensee is required to create safety copies for all files used in Meta Soulmate to prevent data loss.

4. Permitted Use for the Audio and Video Content created with the Software

By using the software you can create audio and video content, featuring Avatars, Backgrounds and/or Accessories. This audio and video content may be kept private or made public without any restrictions. This includes but is not restricted to commercial usage in YouTube videos, livestreams, TV commercials, broadcasts or public events (event booths). However, corporate users must adhere to the existing guidelines.

5. You acknowledge to

The Software is copyrighted and you have only the rights granted to you by the licenses above. Unless it is not allowed by applicable law, you may not modify, decompile or reverse engineer the Software. You may not, under any circumstances:

distribute or publish copies of the Software or resell, lease, rent, transfer, sublicense, or transfer rights to the Software at any other way
Creating derivative software based on the Software(Plugins and other additional features are excluded.)
Create license files for the Software or attempt to modify the license file and/or or bypass the license verification procedure of the Software.
Use Meta Soulmate or any of its included assets to advertise cryptocurrencies, NFTs or AI "art" projects.

6. Disclaimer of warranties

You agree that ONEUNIVERSE has made no warranties either express or implied, regarding the software, including any functionality, warranties of merchantability, fitness for a particular purpose and error free operation. You accept the software "as it is".

7. Limitation of liability

Except it is prohibited by law, in no event ONEUNIVERSE will be liable for any lost profit, lost revenue, lost data, lost opportunities or indirect, consequential, incidental, punitive damages arising out of or related to the use of the software regardless of whether or not ONEUNIVERSE has been advised of the possibility of such damages. In no event will ONEUNIVERSE's liability to you, exceed the amount paid by you for the software under this Agreement.

8. License Agreement termination

This License Agreement is effective until terminated. You may terminate this Agreement at any time by deleting and removing all copies of the software. If you violate any of the terms of this License Agreement, your license will terminate. You agree to remove all copies of the software from your computer if your license terminates.
If any provision of this Agreement is found invalid, the invalidity shall not affect the validity of the remaining provisions.

9. Meta Soulmate Plugins

Meta Soulmate allows 3rd party developers to create their own plugins that can be used to control certain things inside of the app. Developers may distribute and sell these plugins however they want. No permission, license or payment to ONEUNIVERSE is required.
If you choose to download/use any 3rd party plugins for Meta Soulmate, you agree that ONEUNIVERSE is not responsible for any damage caused by these plugins as they are not controlled, developed or tested by ONEUNIVERSE. Please only use plugins from developers you trust.

10. Branding

If you would like to use the Meta Soulmate logo and other branding in your videos, please do not modify them. You may use them, but please only do so in a way that does not make it appear as if your project/stream is officially related to or partnered with Meta Soulmate.

11. Supplemental Terms for Users in South Korea

If you are using the Services in South Korea, the following additional terms apply. In the event of any inconsistency between these Supplemental Terms and the provisions in the main body of the Terms, the following Supplemental Terms shall prevail.

Notice Regarding Amended Terms: Should the Company make amendments to the Terms, we will provide you with notice of the amended Terms, alongside the current Terms, indicating the effective date and reason for the changes. We will provide notification from 7 days before the amended Terms take effect until the day prior to the new effective date. However, if the change is material, we will announce it 30 days ahead of the new effective date, and individually notify you of such significant changes via email or other means. If you do not express your intention to reject the amendment within 7 or 30 days, you will be regarded as having consented to the amendment.
