This End-User License Agreement (EULA) is a legal agreement between you (either an individual or an entity) and JCM Design of North Carolina, Incorporated for the software product identified above (the "Software"). By installing, copying, or using the Software, you agree to be bound by the terms of this EULA.
1. Grant of License. Subject to the terms and conditions of this EULA, JCM Design of North Carolina, Incorporated grants you a non-exclusive, non-transferable, limited license to use the Software for your own personal or internal business purposes. You may not rent, lease, lend, sell, distribute, or modify the Software.**
2. Restrictions. You may not: (a) reverse engineer, decompile, or disassemble the Software; (b) remove or modify any copyright, trademark, or other proprietary notices from the Software; or (c) use the Software in any way that is unlawful or prohibited by this EULA.**
3. Term and Termination. This EULA is effective until terminated by either party. You may terminate this EULA by uninstalling the Software and destroying all copies of the Software. JCM Design of North Carolina, Incorporated may terminate this EULA if you fail to comply with any of its terms. Upon termination, you must uninstall the Software and destroy all copies of the Software.**
4. Limited Warranty. JCM Design of North Carolina, Incorporated warrants that the Software will perform substantially in accordance with the accompanying documentation for a period of 30 days from the date of purchase. If the Software fails to perform substantially in accordance with the documentation during the warranty period, JCM Design of North Carolina, Incorporated will, at its option, either repair or replace the Software.**
5. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JCM Design of North Carolina, Incorporated DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL JCM Design of North Carolina, Incorporated BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF JCM Design of North Carolina, Incorporated HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.**
6. Governing Law. This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.**
7. Entire Agreement. This EULA constitutes the entire agreement between you and JCM Design of North Carolina, Incorporated with respect to the Software and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.**
8. Severability. If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck from this EULA and the remaining provisions shall remain in full force and effect.**
9. Waiver. No waiver of any provision of this EULA shall be effective unless in writing and signed by both parties.**
10. Notices. All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:**

11. Headings. The headings in this EULA are for convenience only and shall not affect its interpretation.**
12. Counterparts. This EULA may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.**
