End-User License Agreement (EULA) for Bakkal Simulator Game Software
PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING BAKKAL SIMULATOR GAME SOFTWARE. BY INSTALLING, ACCESSING, OR OTHERWISE USING THE BAKKAL SIMULATOR GAME SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL, ACCESS, OR USE THE BAKKAL SIMULATOR GAME SOFTWARE.
License Grant:
Subject to your compliance with the terms of this EULA, Lorindol Games ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Bakkal Simulator game software and any related documentation (collectively referred to as the "Game Software") solely for your personal, non-commercial entertainment purposes.
Ownership:
All rights, title, and interest in and to the Bakkal Simulator Game Software, including any intellectual property rights therein, are owned by Licensor or its licensors. The Bakkal Simulator Game Software is protected by copyright laws and international copyright treaties.
Restrictions:
You shall not:
a) Modify, distribute, transmit, display, perform, reproduce, duplicate, copy, sell, trade, resell, exploit, or create derivative works based on the Bakkal Simulator Game Software, in whole or in part, except as expressly authorized by Licensor;
b) Reverse engineer, decompile, or disassemble the Bakkal Simulator Game Software, except to the extent expressly permitted by applicable law;
c) Remove, alter, or obscure any copyright, trademark, or other proprietary notices included in the Bakkal Simulator Game Software;
d) Use the Bakkal Simulator Game Software for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the functionality of the Game Software or interfere with any other party's use and enjoyment of the Game Software;
e) Use cheats, exploits, automation software, or any unauthorized third-party software that modifies or interacts with the Bakkal Simulator Game Software; or
f) Use the Bakkal Simulator Game Software in violation of any applicable laws or regulations.
User Content:
a) The Bakkal Simulator Game Software may allow you to create, upload, or share content, including but not limited to user-generated characters, items, or environments ("User Content"). You retain all intellectual property rights in your User Content. By uploading or sharing User Content, you grant Licensor a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Bakkal Simulator Game Software.
b) You represent and warrant that your User Content does not infringe any third-party intellectual property rights, and you shall be solely responsible for any User Content you upload or share.
Termination:
This EULA is effective until terminated by either party. You may terminate this EULA by uninstalling and ceasing to use the Bakkal Simulator Game Software. Licensor may terminate this EULA if you fail to comply with its terms. Upon termination, you shall cease all use of the Bakkal Simulator Game Software and destroy any copies in your possession.
Disclaimer of Warranty:
THE BAKKAL SIMULATOR GAME SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE BAKKAL SIMULATOR GAME SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. USE OF THE BAKKAL SIMULATOR GAME SOFTWARE IS AT YOUR OWN RISK.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE BAKKAL SIMULATOR GAME SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification:
You agree to indemnify, defend, and hold harmless Licensor, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Bakkal Simulator Game Software or your breach of this EULA.
Governing Law and Dispute Resolution:
This EULA shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any dispute arising out of or in connection with this EULA shall be submitted to the exclusive jurisdiction of the courts of [Jurisdiction].
Entire Agreement:
This EULA constitutes the entire agreement between you and Licensor concerning the Bakkal Simulator Game Software and supersedes all prior or contemporaneous representations, understandings, or agreements, whether written or oral, regarding the subject matter of this EULA.
Severability:
If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Updates and Amendments:
Licensor may update or amend this EULA from time to time at its sole discretion. Continued use of the Bakkal Simulator Game Software after any such updates or amendments shall constitute your acceptance of the revised EULA.
By installing, accessing, or using the Bakkal Simulator Game Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA.
