END-USER LICENSE AGREEMENT (EULA) FOR Volumiq Community Edition
IMPORTANT: PLEASE READ THIS EULA CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE Volumiq Community Edition SOFTWARE. BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
GRANT OF LICENSE. Subject to the terms and conditions of this EULA, Volumiq Software SAS grants you a limited, non-exclusive, non-transferable, and revocable license to use the Volumiq Community Edition software (the "Software") solely for your personal, non-commercial use.
RESTRICTIONS ON USE. You may not: (a) copy, modify, or create derivative works based on the Software; (b) reverse engineer, decompile, or disassemble the Software; (c) sell, rent, lease, or distribute the Software to any third party; (d) use the Software for any illegal or unauthorized purpose; (e) remove any copyright or other proprietary notices from the Software; (f) use the Software to violate any applicable laws or regulations; or (g) use the Software to harm, threaten, or harass any person or entity.
OWNERSHIP. The Software is owned by Volumiq Software SAS and its licensors, and is protected by copyright and other intellectual property laws. Volumiq Software SAS retains all rights, title, and interest in and to the Software, including all intellectual property rights.
WARRANTY DISCLAIMER. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Volumiq Software SAS DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
LIMITATION OF LIABILITY. IN NO EVENT SHALL Volumiq Software SAS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
TERMINATION. This EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Software and destroy all copies of the Software in your possession or control.
GOVERNING LAW AND JURISDICTION. This EULA shall be governed by and construed in accordance with the laws of France, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or in connection with this EULA shall be brought in the courts of France, and each party hereby submits to the jurisdiction and venue of such courts.
ENTIRE AGREEMENT. This EULA constitutes the entire agreement between you and Volumiq Software SAS with respect to the Software, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Volumiq Software SAS with respect to the Software.
MODIFICATIONS TO THIS EULA. Volumiq Software SAS reserves the right to modify this EULA at any time, in its sole discretion. Your continued use of the Software after any such modification shall constitute your acceptance of the modified EULA.
