End User License Agreement (EULA) for ParkerSpace
This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, referred to as "You" or "Licensee") and GowerNotch ("Licensor" or "We") regarding the use of the ParkerSpace software ("Software") and any related documentation, updates, or additional content provided by Licensor (collectively, the "Product").
By installing, copying, or otherwise using the Product, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not install or use the Product.
License Grant
Subject to your compliance with the terms of this EULA, Licensor grants You a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Product for personal, non-commercial purposes on compatible devices that You own or control.
Restrictions
You may not:
a) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Product;
b) rent, lease, sublicense, sell, distribute, or transfer the Product to third parties;
c) modify, alter, or create derivative works based on the Product;
d) remove or alter any copyright, trademark, or other proprietary notices on the Product;
e) use the Product for any commercial purposes, including but not limited to, charging others for access to the Product or using it as part of a commercial product or service; or
f) use the Product in any manner that violates applicable laws, regulations, or the rights of others.
Ownership
All rights, title, and interest in and to the Product, including all intellectual property rights therein, are owned by Licensor or its licensors. The Product is licensed, not sold, to You under this EULA.
Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Licensor if You fail to comply with any term(s) of this EULA. Upon termination, You shall cease all use of the Product and destroy all copies of the Product in your possession or control.
Disclaimer of Warranties
The Product is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor does not warrant that the Product will meet your requirements, that it will be error-free or uninterrupted, or that defects in the Product will be corrected.
Limitation of Liability
In no event shall Licensor or its licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, loss of data, or business interruption) arising out of or in connection with your use of or inability to use the Product, even if advised of the possibility of such damages.
Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of California, United States. Any disputes arising from or relating to this EULA shall be subject to the exclusive jurisdiction of the courts of California, United States.
Entire Agreement
This EULA constitutes the entire agreement between You and Licensor concerning the subject matter hereof andsupersedes any prior or contemporaneous agreements, whether written or oral, with respect to the subject matter. No amendment, modification, or waiver of any provision of this EULA will be effective unless in writing and signed by both parties.
Severability
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed replaced by a valid, enforceable provision that most closely matches the intent of the original provision.
Updates and Changes to EULA
Licensor reserves the right to modify this EULA at any time, in its sole discretion, by providing notice to You, either by posting the updated EULA on the relevant website or through other appropriate means. Your continued use of the Product after any such modification constitutes your acceptance of the modified EULA. If You do not agree to the modified EULA, You must cease using the Product.
