Please note that this End-User License Agreement (referred to as "Agreement" below) is a legal agreement between You (an individual or an entity) and Us (referred to as "Developer" or "We" below), which governs the conditions and rules for your use of the software products, services and related materials ("Software") provided by us. By installing, copying, downloading, or using the Software and any associated services, you indicate that you have read and understood this Agreement and agree to be bound by its terms and conditions.

Grant of License
Subject to the terms and conditions set forth in this Agreement, Developer hereby grants to You a limited, non-exclusive, non-transferable license to use the Software solely for Your own personal or commercial purposes. This license does not grant You any right to redistribute, sell, rent or transfer the Software.

Intellectual Property
All intellectual property rights in the Software including without limitation all files, images, data, text, program code and other information that may be contained therein are either owned by Developer or licensed to Developer. You shall not copy, modify or publish such content without the prior written consent of Developer or relevant third party owning such rights.

Services Terms
You agree to abide by all applicable laws, regulations, and policies while using the Software and warrant that you will not use the Software to engage in any illegal or unethical activities that infringe upon the lawful rights of others. If You violate any term of this Agreement while using the Software, Developer reserves the right to terminate the license granted hereunder and pursue all available legal remedies against You under applicable law.

Representations and Warranties
Developer represents and warrants that it has the lawful authority to grant You this license to use the Software, and You have the authority to operate the Software as directed. However, Developer specifically disclaims any and all other express or implied representations, warranties and conditions, including without limitation any warranties of merchantability, fitness for a particular purpose, and non-infringement.

Disclaimer of Liability
In no event shall Developer be liable to You for any direct or indirect damages, lost profits or business, goodwill or reputation loss, or a loss of data or an illegal transmission caused by the use or inability to use the Software.

Termination
If You violate any term of this Agreement, the license granted hereunder will automatically terminate. Upon termination, You must discontinue use of the Software and destroy all copies of the Software and any associated documents or material in Your possession.

Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China without regard to its conflict of law provisions. Any dispute arising from this Agreement shall be resolved through negotiation by the Parties, if negotiation fails the matter will be submitted to the competent court.

Miscellaneous
This Agreement constitutes the complete agreement between You and Developer governing Your use of the Software and supersedes all prior or contemporaneous written or oral agreements regarding such subject matter. If any provision of this Agreement is held to be invalid or unenforceable, it shall be replaced or modified to the greatest extent possible to make it enforceable while retaining the intent of the original provision.
