License Grant
Subject to the terms and conditions of this EULA, Metaverse Entertainment hereby grants you a non-exclusive, non-transferable, limited license to use the Software solely for your personal, non-commercial purposes.
Restrictions
You may not:
a. copy, modify or distribute the Software;
b. reverse engineer, decompile, or disassemble the Software;
c. transfer, sell, rent, lease, or sublicense the Software to any third party;
d. use the Software for any illegal purpose, or in any manner inconsistent with this EULA.
Ownership
The Software and all rights, including without limitation intellectual property rights, therein are owned by Metaverse Entertainment or its licensors, and are protected by applicable copyright and other intellectual property laws. Metaverse Entertainment reserves all rights not expressly granted to you in this EULA.
Termination
This EULA is effective until terminated by either party. Your rights under this EULA will terminate automatically without notice from Metaverse Entertainment if you fail to comply with any term(s) of this EULA. Upon termination of this EULA, you must cease all use of the Software and destroy all copies, full or partial, of the Software.
Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL METAVRSE ENTERTAINMENT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF METAVRSE ENTERTAINMENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Governing Law
This EULA shall be governed by and construed in accordance with the laws of the Republic of Korea without regard to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Entire Agreement
This EULA constitutes the entire agreement between you and Metaverse Entertainment with respect to the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Metaverse Entertainment.
