End-User License Agreement (EULA) for PC Steam Game - Tennis Manager 2023
Please read this End-User License Agreement ("Agreement") carefully before installing, accessing, or using the PC Steam Game "Tennis Manager 2023" ("Game") developed by Rebound Capital Games, located at 3 Rue Lamandé 75017 PARIS, France. This Agreement sets forth the terms and conditions under which you, the end user ("User"), may use the Game.
1. License Grant:
Subject to the terms and conditions of this Agreement, Rebound Capital Games hereby grants the User a non-exclusive, non-transferable, revocable license to install and use the Game on a personal computer solely for personal, non-commercial purposes.
2. Ownership:
The Game "Tennis Manager 2023" is licensed, not sold, to the User. Rebound Capital Games retains all rights, title, and interest in and to the Game, including all intellectual property rights. This Agreement does not grant the User any rights to trademarks, copyrights, or any other proprietary rights of Rebound Capital Games.
3. Restrictions on Use:
The User agrees not to:
a) Copy, distribute, or reproduce the Game in any form, except as expressly permitted;
b) Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Game;
c) Remove, alter, or obscure any copyright, trademark, or proprietary notices on the Game;
d) Use the Game for any commercial purpose without the prior written consent of Rebound Capital Games;
e) Use the Game in any manner that violates applicable laws or regulations;
f) Share or transfer User's access credentials or allow unauthorized access to the Game.
4. Updates and Modifications:
Rebound Capital Games may, at its sole discretion, provide updates, patches, or modifications to the Game. Such updates may be required for continued use of the Game. The User agrees to install any updates or modifications provided by Rebound Capital Games.
5. Termination:
This Agreement is effective until terminated. Rebound Capital Games may terminate this Agreement at any time without notice if the User breaches any provisions of this Agreement. Upon termination, the User must immediately cease all use of the Game and delete any copies of the Game in the User's possession.
6. Limitation of Liability:
To the extent permitted by applicable law, in no event shall Rebound Capital Games be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Game, even if advised of the possibility of such damages.
7. Indemnification:
The User agrees to indemnify, defend, and hold harmless Rebound Capital Games, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses arising out of or in connection with the User's use of the Game or any violation of this Agreement.
8. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Paris, France.
9. Entire Agreement:
This Agreement constitutes the entire agreement between the User and Rebound Capital Games regarding the Game "Tennis Manager 2023" and supersedes all prior or contemporaneous agreements, representations, or understandings, whether oral or written.
10. Modding:
Rebound Capital Games recognizes the creativity and passion of the gaming community and supports modding for the Game "Tennis Manager 2023." However, any modding activities are subject to the following conditions:
a) Modding Tools: Rebound Capital Games may provide modding tools ("Modding Tools") to assist Users in creating modifications ("Mods") for the Game. The use of Modding Tools is permitted solely for creating Mods for personal, non-commercial purposes within the Game.
b) Ownership of Mods: Any element that you include in your Mod (except for the Modding Tools) must be your own original work created by you, or you must have obtained the necessary permissions to use such materials. Rebound Capital Games does not claim ownership of Mods created by Users. However, by using the Modding Tools, you grant Rebound Capital Games a worldwide, non-exclusive, royalty-free license to use, modify, adapt, and distribute your Mods for any purpose related to the Game, including without limitation, promotional and marketing purposes.
c) Responsibility for Mods: Users are solely responsible for the content and functionality of their Mods. Rebound Capital Games does not provide any warranties or support for Mods created by Users. Users understand and acknowledge that Mods may impact the performance, stability, or functionality of the Game, and Rebound Capital Games shall not be liable for any issues or damages caused by Mods.
d) Compliance with Laws and Agreement: Users agree that their Mods will not violate any applicable laws, infringe upon the rights of third parties, or breach any provisions of this Agreement. Rebound Capital Games reserves the right to remove or disable any Mods that violate these terms without prior notice.
e) Third-Party Mods: Rebound Capital Games does not endorse or support Mods created by third parties. The use of third-party Mods is done at the User's own risk, and Rebound Capital Games shall not be responsible for any issues or damages caused by third-party Mods.
By engaging in modding activities for the Game, the User agrees to abide by the conditions outlined in this section and the terms and conditions of this Agreement.
By installing, accessing, or using the Game, the User acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this End-User License Agreement.
