END USER LICENSE AGREEMENT (EULA)
IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE ACCOMPANYING THIS EULA ("SOFTWARE"). THIS EULA IS A LEGAL AGREEMENT BETWEEN YOU AND RAYNER DIGITAL LABS FOR THE USE OF THE SOFTWARE.
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
GRANT OF LICENSE
Rayner Digital Labs grants you a non-exclusive, non-transferable, limited license to install and use the Software on your PC, console, or mobile device solely for personal, non-commercial use.
INTELLECTUAL PROPERTY
The Software and any related documentation are and shall remain the exclusive property of Rayner Digital Labs or its licensors. The Software is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer the Software or any portion thereof.
RESTRICTIONS
You may not sublicense, sell, rent, lease, or otherwise transfer the Software or any portion thereof. You may not remove, modify, or obscure any copyright or other proprietary notices contained in the Software. You may not use the Software for any illegal or unauthorized purpose.
SUPPORT
Rayner Digital Labs shall have no obligation to provide technical support or updates for the Software.
DISCLAIMER OF WARRANTY
The Software is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Rayner Digital Labs does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.
LIMITATION OF LIABILITY
In no event shall Rayner Digital Labs be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software, even if Rayner Digital Labs has been advised of the possibility of such damages.
TERMINATION
This EULA shall terminate automatically if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Software and destroy all copies of the Software in your possession.
GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Rayner Digital Labs is located, without giving effect to any choice of law or conflict of law provisions.
ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Rayner Digital Labs with respect to the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Rayner Digital Labs.
ACKNOWLEDGEMENT
By installing or using the Software, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions.
