Important notice
First, before using the Stellar Echoes (collectively referred to as ‘SE’) software and related services, please carefully read the terms of this "Stellar Echoes" End User Notice Agreement (collectively referred to as "Agreement"). These terms shall apply fully permitted by the laws of the country where the software is issued.
Second, if the user does not agree to the terms of this Agreement, please do not install or use this software or related services. Once the user installs the software and starts to use and/or continue to use the software or related services, it is deemed that the user has accepted all the terms of this Agreement.
Third, if the user is under the age of 18, he or she must read this Agreement accompanied by a guardian, and obtain the guardian's consent to the user's enjoyment of the NetEase game services provided by Shanghai Liyin and to all the terms of this Agreement before using the NetEase game services provided by Shanghai Liyin.
Fourth, the laws of the People’s Republic of China shall govern the conclusion, performance, interpretation and dispute resolution of this Agreement and the application of all other conflicting laws shall be excluded. This Agreement was concluded in Pudong District, Shanghai. If there is any dispute between the two sides regarding the content of this Agreement or its implementation (including but not limited to contract or other property rights disputes), the two sides should negotiate amicably; if the negotiation fails, both sides agree to submit the case to the Shanghai Pudong District People's Court for jurisdiction and handling.
Agreement
1.Definition and Description
In this agreement, unless stated otherwise, the following words have the following meanings:
1.1 Shanghai Liyin: Refers to SHANG HAI LI YIN KE JI YOU XIAN GONG SI.
1.2 Stellar Echoes (SE): Refers to the VR single-player game "Stellar Echoes" developed/provided by Shanghai Liyin.
1.3 The software: refers to the "Stellar Echoes" game software, including the contents and programs of each client. It may also include related network servers, websites (including but not limited to game distribution Steam platform), electronic media, printed materials and "online" or electronic documents, etc.
1.4 User: also known as "End User", Refers to the individual who obtains the software notice of "Stellar Echoes" through legal channels provided by Shanghai Liyin and installs and uses "Stellar Echoes" software products and services.
2.Intellectual Property Statement
2.1 Shanghai Liyin enjoys all legal ownership (including but not limited to intellectual property rights) of SE according to law. All copyrights and all other intellectual property rights of this software, as well as all information related to this software. Including but not limited to: game screens, gameplay, game materials (including but not limited to in-game characters, scenes, weapons, equipment, props, etc.), game music, text expressions and their combinations, icons, decorations, diagrams, colors composition, interface design, layout framework, relevant data, printed materials, or electronic documents are all protected by relevant laws and regulations of China's intellectual property rights and relevant international treaties.
2.2 "Shanghai Liyin", "Stellar Echoes", "Stellar Echoes" logo (graphics) and/or Shanghai Liyin's product and service marks embodied in the SE belong to Shanghai Liyin and its affiliates in China and and/or trademarks or registered trademarks in other countries/regions. Users are not allowed to use it without legal authorization.
2.3 Shanghai Liyin and its affiliated companies have patent rights, patent application rights, trademark rights, copyrights and other intellectual property rights related to the software and related services. Shanghai Liyin and its affiliated companies have not granted users any intellectual property rights related to SE because of this Agreement or because they provide users with the software and related services. Shanghai Liyin and its affiliated companies reserve all rights not expressly granted to users in this Agreement.
3.Changes and Terminations of Software Services
3.1 In order to ensure the business development of the Liyin team, Shanghai Liyin has the right to change or terminate the software (including but not limited to upgrades, updates, additions, reductions, deduction, etc.), related services and the content of this Agreement. If it is necessary, Shanghai Liyin will publish the announcements of changes or terminations on the "Stellar Echoes" Steam mall page and/or important pages in the game. Therefore, Shanghai Liyin reminds users to check regularly for information about changes and terminations.
3.2 The user has the independent right of deciding to terminate the use of the software and related services and uninstall the software at any time. If the user does not agree with the changes made by Shanghai Liyin to the software, related services or the content of this Agreement, the user has the right to unilaterally immediately stop using the software and related services and uninstall the software. It is deemed as the user agrees to accept the relevant changes if the user continues to use the SE software and related services after the relevant content changes.
4.Rights and obligations
4.1 Under the premise that the user agrees to accept the entire content of this Agreement, Shanghai Liyin agrees to grant users revocable, changeable, non-exclusive, non-transferable and non-sublicensable notice rights. The user may install the software on a networked computer or mobile device for personal use within the effective period of the notice, and run a copy of the SE in a designated manner and enjoy the services provided by Shanghai Liyin. The notice granted by Shanghai Liyin to users based on this Agreement is a notice for personal use. If the user needs to use the software and services beyond the scope of personal use or use the software and services for any commercial purposes, the user should contact Shanghai Liyin and obtain Shanghai Liyin's separate authorization; any installation, use, access, display, operation, etc. without the permission of Shanghai Liyin shall be deemed a violation of this agreement.
4.2 Unless otherwise stipulated in this Agreement, without the written consent of Shanghai Liyin, the user shall not perform the following acts (whether for-profit or non-profit):
4.2.1 Duplicate, reproduce, disseminate and display all or part of the program, user manual and other graphic audio-visual materials of this software.
4.2.2 Publicly display and broadcast all or part of this product.
4.2.3 Renting, selling the software or using the software to engage in profit-making activities.
4.2.4 Modify or cover up the product name, company logo, copyright information, etc. on the software programs, images, animations, packages, manuals, etc.
4.2.5 Other violations of copyright law, computer software protection regulations and relevant laws and regulations.
4.3 Users should use the software and related services through legal means, and shall not infringe on the interests of Shanghai Liyin or third parties, disrupt the order of the game, violate the fairness of the game, violate this Agreement and other rules issued by Shanghai Liyin and relevant national laws and regulations. Such acts include but not limited to:
4.3.1 Modify, translate, annotate, organize, compile, and deduce the software.
4.3.2 Reverse engineering, decompiling or disassembling the software, or using other technical means to analyze, modify, attack or derive the software.
4.3.3 Use any plug-in programs or game modifiers (The "plug-in program" mentioned in this Agreement refers to all programs that are independent of the game software and can affect the operation of the game while the game is running, including but not limited to game simulation controllers, keyboard and mouse operations, changing the operating environment, modifying data and other types. If there is a conflict between the definition of plug-ins stipulated in the relevant national laws, regulations, regulations or regulatory documents of the competent government department and this Agreement, the provisions of the laws, regulations, departmental rules or regulatory documents shall prevail). Performing restoration engineering, compilation, decoding or modification of this game software, including but not limited to modifying any proprietary communication protocol used by this software, modifying or locking data in dynamic random access memory (RAM).
4.3.4 Use the software in abnormal or illegal ways (including but not limited to using this software to log in to private game servers), maliciously destroying this software, disrupting the normal service order, or implementing other improper acts.
4.3.5 Make, spread or use plug-ins, packages, acceleration software and other various cheating programs, or organize or instigate others to use such software programs; or sell such software programs for the financial benefit of individuals or organizations.
4.3.6 Use any means or method to attempt to attack relevant servers, routers, switches and other devices that provide game services, in order to illegally obtain or modify unauthorized data, affect normal game services, and any other harmful purposes.
4.3.7 Take advantage of the technical defects or loopholes that may exist in this software or online game system to make profits for yourself and others in various forms (including but not limited to copying virtual items in the game, etc.) or engage in other improper acts.
4.3.8 Use the software to produce, copy, publish and disseminate information in violation of the relevant laws and regulations of the state.
Once Shanghai Liyin discovers through internal monitoring procedures or reports from other users that the user may be engaging in the above-mentioned behaviors, Shanghai Liyin has the right to make an independent judgment and take corresponding measures. The measures include but are not limited to terminating the user's software authorization, deleting items related to copying (including copied virtual items and virtual items participating in the copying), and requiring users to compensate Shanghai Liyin for losses caused by engaging in the above acts, etc.
4.4 Shanghai Liyin reserves the right to place commercial advertisements to users through the software and related services.
5.Liability for breach of Agreement
5.1 The User agrees to protect and safeguard the interests of Shanghai Liyin and other users. If damages are caused to Shanghai Liyin due to the user's violation of relevant laws, regulations or any clauses under this Agreement, the user agrees to bear the liability for the resulting damages; such responsibilities include but are not limited to any direct or indirect losses caused to Shanghai Liyin.
5.2 If the user violates this Agreement, other rules issued by Shanghai Liyin or the provisions of national laws and regulations. Shanghai Liyin has the right to make an independent judgment, immediately revoke the relevant notice, terminate the service for the user and pursue the legal responsibility of the user through various legal means.
6.Other regulations
6.1 This Agreement constitutes the complete agreement between the two parties on the agreed matters of this Agreement and other related matters. In addition to the provisions of this Agreement, no other rights are granted to the two parties.
6.2 If any provision of this Agreement is judged to be wholly or partially invalid or non-enforceable for any reason, the invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely approximates the intent of the original provision. In addition, the rest of the terms of this Agreement shall remain valid and enforceable.
6.3 Shanghai Liyin's failure to exercise, fail to timely exercise or fail to fully exercise the rights enjoyed by this Agreement or in accordance with the law shall not be deemed to have waived the right, nor will it affect Shanghai Liyin's future exercise of the right.
