Welcome Conspiracy TD (our “Game”). This End User License Agreement (“EULA”) constitute a legal agreement between the End-User (“End-User” or “you”) and Aleksandar Vascic Sole Proprietor
Novi Becej, Serbia (“we”, “us”, or “our”) governing the use of our Game and our Services. We license use of our Game to you on the basis of this EULA.
1. Acknowledgements
1.1. The parties of this License Agreement acknowledge that Valve Corporation (hereinafter “Steam”)is not a Party to this License Agreement and is not bound by any provisions or obligations with regard to our Game, such as warranty, liability, maintenance and support thereof. We, not Steam, are solely responsible for our Game and the content thereof.
1.2. This License Agreement may not provide for usage rules for our Game that are in conflict with the latest "Steam Store" Terms of Service.
1.3. The License granted to you for our Game, is limited to a non-transferable License to use our Game on a device that utilizes the Steam operating systems (Client and Website)and in accordance with the usage rules set forth in Steam’s Terms of Service;
1.4. We are responsible for providing any maintenance and support services with respect to the Game as specified in this EULA or as otherwise required under applicable law.
1.5. You acknowledge that Steam has no obligation whatsoever to furnish any maintenance and support services with respect to the Game;
1.6. In the event of any failure of the Game to conform to any applicable warranty, you may notify Steam, in accordance with its terms and policies, may refund the purchase price, if any, paid for the Game, and to the maximum extent permitted by applicable law, Steam will have no other warranty obligation whatsoever with respect to the Game;
1.7. You must comply with Steam’s Terms of agreement when using the Game,
1.8. You acknowledge and agree that Steam is a third-party beneficiary of this EULA, and that Steam will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this EULA against you as a third-party beneficiary thereof.
2. Scope of license
2.1. Provided you are fulfilling your subscription payment obligations set forth below, you are given a non-transferable, non-exclusive, non-sublicensable license to install and use our Game on any supported Steam branded Products that you own or control and as permitted by the Usage Rules set forth in section Steam’s Terms of Service.
2.2. This license will also govern any updates of our Game provided by us that replace, repair, and/or supplement our Game, unless a separate license is provided for such update in which case the terms of that new license will govern.
2.3. You may not share or make our Game available to third parties, sell, rent, lend, lease or otherwise redistribute our Game.
2.4. You may not reverse engineer, translate, disassemble, integrate, decompile, integrate, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of our Game, or any part thereof.
2.5. You may not copy or alter our Game or portions thereof. You may create and store copies only on devices that you own or control for backup keeping under the terms of this EULA, and “SteamGame Store” Terms of Service, and any other terms and conditions that apply to the device or software used.
2.6. You may not remove any intellectual property notices.
2.7. You acknowledge that no unauthorized third parties may gain access to these copies at any time.
2.8. Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.
2.9. We reserve the right to modify the terms and conditions of licensing.
2.10. Nothing in this license should be interpreted to restrict third-party terms. When using our Game, you must ensure that you comply with applicable third-party terms and conditions.
3. Technical Requirements
3.1. We attempt to keep our Game updated so that it complies with modified/new versions of the firmware and new hardware. You are not granted rights to claim such an update.
3.2. You acknowledge that it is your responsibility to confirm and determine that the Game end-user device on which you intend to use our Game satisfies the technical specifications mentioned above.
3.3. We reserve the right to modify the technical specifications as it sees appropriate at any time.
4. Prohibited Uses
4.1. You may use our Game only for lawful purposes.
4.2. You may not use our Game:
4.2.1. in any way that breaches any applicable local or international laws or regulations;
4.2.2. in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
4.2.3. to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
5. Liability
5.1. Our responsibility in the case of violation of obligations and tort shall be limited to intent and gross negligence.
5.2. We are not liable for the completeness, accuracy or correctness of any information uploaded on our Game and any Related Content.
5.3. You agree not to use the Services, our Game and the Related Content for any re-sale purposes, and we have no liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this EULA (including but not limited to the use of, or inability to use, the Services, our Game or any other website or software) for:
5.3.1. loss of profits, sales, business, or revenue;
5.3.2. business interruption;
5.3.3. loss of anticipated savings;
5.3.4. loss or corruption of data or information;
5.3.5. loss of business opportunity, goodwill or reputation; or
5.3.6. any other indirect or consequential loss or damage.
5.4. Nothing in this EULA shall limit or exclude our liability for:
5.4.1. death or personal injury resulting from our negligence;
5.4.2. fraud; and/or
5.4.3. any other matter in respect of which we are prohibited under applicable law from limiting or excluding our liability.
5.5. Our Game is not intended to serve a record-keeping function and we shall not be liable for any loss of data or content.
5.6. This EULA set out the full extent of our obligations and liabilities in respect of the supply of the Services and our Game.
5.7. Except as expressly stated in this EULA, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us. Any condition, warranty, representation or other term concerning the supply of the Services and our Game which might otherwise be implied into, or incorporated in, this EULA whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.
5.8 Conspiracy TD includes the Unreal® Engine code and other code, materials, and information (the “Epic Materials”) from Epic Games, Inc. (“Epic”). All Epic Materials are provided on an “as is” and “as available” basis, “with all faults” and without warranty of any kind. Aleksandar Vascic Sole Proprietor, Epic, and Epic’s affiliates disclaim all warranties, conditions, common law duties, and representations (express, implied, oral, and written) with respect to the Epic Materials, including without limitation all express, implied, and statutory warranties and conditions of any kind, such as title, non-interference with your enjoyment, authority, non-infringement, merchantability, fitness or suitability for any purpose (whether or not Epic knows or has reason to know of any such purpose), system integration, accuracy or completeness, results, reasonable care, workmanlike effort, lack of negligence, and lack of viruses, whether alleged to arise under law, by reason of custom or usage in the trade, or by course of dealing. Without limiting the generality of the foregoing, Aleksandar Vascic Sole Proprietor, Epic, and Epic’s affiliates make no warranty that (1) any of the Epic Materials will operate properly, including as integrated in the Conspiracy TD, (2) that the Epic Materials will meet your requirements, (3) that the operation of the Epic Materials will be uninterrupted, bug free, or error free in any or all circumstances, (4) that any defects in the Epic Materials can or will be corrected, (5) that the Epic Materials are or will be in compliance with a platform manufacturer’s rules or requirements, or (6) that a platform manufacturer has approved or will approve this Conspiracy TD, or will not revoke approval of this Conspiracy TD for any or no reason. Any warranty against infringement that may be provided in Section 2-312 of the Uniform Commercial Code or in any other comparable statute is expressly disclaimed by Aleksandar Vascic Sole Proprietor and Epic. Aleksandar Vascic Sole Proprietor, Epic, and Epic’s affiliates do not guarantee continuous, error-free, virus-free, or secure operation of or access to the Epic Materials. This paragraph will apply to the maximum extent permitted by applicable law.
To the maximum extent permitted by applicable law, neither Aleksandar Vascic Sole Proprietor, Epic, Epic’s licensors, nor its or their affiliates, nor any of Aleksandar Vascic Sole Proprietor or Epic’s service providers, shall be liable in any way for loss or damage of any kind resulting from the use or inability to use the Epic Materials or otherwise in connection with this EULA, including but not limited to loss of goodwill, work stoppage, computer failure, or malfunction, or any and all other commercial damages or losses. In no event will Aleksandar Vascic Sole Proprietor, Epic, Epic’s licensors, nor its or their affiliates, nor any of Aleksandar Vascic Sole Proprietor or Epic’s service providers be liable for any loss of profits or any indirect, incidental, consequential, special, punitive, or exemplary damages, or any other damages arising out of or in connection with this EULA or the Epic Materials, or the delay or inability to use or lack of functionality of the Epic Materials, even in the event of Aleksandar Vascic Sole Proprietor, Epic’s, or Epic’s affiliates’ fault, tort (including negligence), strict liability, indemnity, product liability, breach of contract, breach of warranty, or otherwise and even if Aleksandar Vascic Sole Proprietor, Epic or Epic’s affiliates have been advised of the possibility of such damages. These limitations and exclusions regarding damages apply even if any remedy fails to provide adequate compensation.
Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, the liability of Aleksandar Vascic Sole Proprietor, Epic, Epic’s licensors, its and their affiliates, and any of Aleksandar Vascic Sole Proprietor or Epic’s service providers shall be limited to the full extent permitted by law.
6. Warranty
6.1. We warrant that our Game is free of spyware, trojan horses, viruses, or any other malware at the time of your download.
6.2. No warranty is provided for our Game that is not executable on the device, that has been unauthorizedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, used within appropriate accessories, regardless if by yourself or by third parties, or if there are any other reasons outside of our sphere of influence that affect the executability of our Game.
6.3. You are required to inspect our Game immediately after installing it and notify us about issues discovered without delay. The defect report will be taken into consideration and further investigated if it has been mailed within a period of seven (7) days after discovery.
6.4. If we confirm that our Game is defective, we reserve to remedy the situation by means of solving the defect.
7. Legal Compliance
You represent and warrant that You are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country; and that You are not listed on any US Government list of prohibited or restricted parties.
8. Termination
The license is valid until terminated by us or by you. Your rights under this license will terminate automatically and without notice from us if you fail to adhere to any term(s) of this license. Upon License termination, you shall stop all use of our Game, and destroy all copies, full or partial, of our Game.
9. Third-Party Terms
9.1. We represent and warrants that we will comply with applicable third-party terms of agreement when using licensed applications and software.
9.2. Steam, the Steam logo, and the Steam Store are trademarks of Valve Corporation, registered in the US and other countries.
9.3. Unreal, and the Unreal Logo are trademarks of Epic Games, Inc.
10. Intellectual Property Rights
We and the End-User acknowledge that, in the event of any third-party claim that our Game or the End-User's possession and use of our Game infringes on the third party's intellectual property rights, we, and not Steam, will be solely responsible for the investigation, defense, settlement and discharge or any such intellectual property infringement claims.
11. Privacy and Data
Under data protection legislation, we are required to provide you with certain information about who we are, how we process your personal data and for what purposes and your rights in relation to your personal data. If you want to understand what information we may collect about you when you play the Game, and how we use information we collect about you, then you should read our Privacy Policy https://conspiracytd.com/Privacy.shtml .
12. Other important terms
12.1. We may transfer our rights and obligations under this EULA to another organization, but this will not affect your rights or obligations under this EULA.
12.2. You may only transfer your rights or your obligations under this EULA to another person if we agree in writing.
12.3. No joint venture, partnership or agency or employment relationship has arisen by reason of this EULA.
12.4. This EULA and any document expressly referred to in it constitutes the entire agreement between us regarding their subject matter, and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to that subject matter. You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this EULA or any document expressly referred to in it. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this EULA or any document expressly referred to in it.
12.5. If we fail to insist that you perform any of your obligations under this EULA, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
12.6. Each of the conditions of this EULA operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
12.7. This EULA, its subject matter and its formation, and any other disputes or claims in connection therewith, are governed by the law of Serbia. In the event of any such disputes or claims in connection with this EULA, you agree to first engage in good faith discussions with us to resolve such dispute or claim. If such dispute or claim is not resolved within sixty (60) days, we both irrevocably submit to the exclusive jurisdiction of the courts of Serbia.

12.6. Each of the conditions of this EULA operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
12.7. This EULA, its subject matter and its formation, and any other disputes or claims in connection therewith, are governed by the law of Serbia. In the event of any such disputes or claims in connection with this EULA, you agree to first engage in good faith discussions with us to resolve such dispute or claim. If such dispute or claim is not resolved within sixty (60) days, we both irrevocably submit to the exclusive jurisdiction of the courts of Serbia.
