END USER SOFTWARE LICENSE AGREEMENT FOR 3 TOWERS GAMES STUDIO
IMPORTANT - READ CAREFULLY BEFORE INSTALLING THE GAME “SECRET BLADE”
THE GAME (INCLUDING THE COMPUTER SOFTWARE PROGRAM, AND RELATED DOCUMENTATION IN ELECTRONIC OR PRINTED FORMAT (e.g. Steam Subscriber Agreement - http://store.steampowered.com/subscriber_agreement/ )) IS LICENSED TO THE CONTRACTING PARTY (" YOU") ACCORDING TO THE TERMS SET FORTH BELOW AND CONSTITUTE A PERFECT AND FINISHED AGREEMENT BETWEEN YOU AND 3 TOWERS GAMES STUDIO LIMITED, COMPANY INCORPORATED IN BRAZIL UNDER CNPJ No.: 40.063.431/0001-11 (FANTASY NAME: 3 TOWERS GAME STUDIO). BY INSTALLING OR USING THE GAME, YOU AGREE THAT BY USING THE GAME, YOU ARE LEGALLY BOUND BY THE TERMS OF THIS AGREEMENT WITH 3TOWERS GAME STUDIO.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO USE THE GAME AND SHOULD NOT INSTALL THE GAME. TO INSTALL THE GAME YOU MUST REGISTER FOR A STEAM® ACCOUNT IF YOU AGREE TO THE TERMS SET FORTH IN THIS AGREEMENT select "I ACCEPT" to install the Game and confirm your acceptance of these terms and your understanding of the conditions of use of the Game.
IF YOU DO NOT AGREE WITH THE TERMS SET FORTH IN THIS AGREEMENT select "I DO NOT ACCEPT" and the license for the Game will not be granted by 3TOWERS GAME STUDIO and you will not be able to install the Game. The Game is protected by the copyright laws of Brazil, international copyright treaties and conventions and other laws. The Game is licensed, not sold, and this Agreement does not confer any title or ownership in the Game or any copy thereof.
LIMITED USE LICENSE:
3TOWERS GAME STUDIO grants you the non-exclusive right and license to install and use one copy of the Game solely for your personal use.
PROPERTY: All intellectual property rights in the Game (including but not limited to video, audio, computer code, themes, derivative works, titles, objects, characters, character names, stories, dialogue, taglines, locations, concepts, artwork , graphics, animations, sounds, musical compositions, audiovisual effects, text, screen displays, methods of operation, moral rights, applets incorporated into the Game and any related documentation and other content incorporated therein) and title to any and all copies thereof belongs to to 3TOWERS GAME STUDIO or its licensors, and you are not granted any right or interest in the Game other than the limited license in paragraph 1 of this Agreement.
LICENSE RESTRICTIONS:
YOU AGREE TO USE THE GAME PURSUANT TO THIS LICENSE AND SHALL NOT: * Copy the Game, except as provided and permitted in this license and the Steam® Subscriber Agreement. * Without a separate additional license from 3TOWERS GAME STUDIO, use the Game, or allow use of the Game, on more than one computer, Game console, mobile device or PDA at the same time. * Make copies of the Game or any part thereof, unless you make a copy of the Game for security or archival purposes or make copies of materials accompanying the Game solely for security and non-commercial reference. For the avoidance of doubt, copies of the Game may be made as permitted by the Steam® Subscriber Agreement. * Sell, rent, lease, license, distribute, upload or transfer or otherwise make available the Game to any other person, in whole or in part, or use the Game or any part thereof in any commercial context, including but not limited to not limited to use in a service bureau, "cyber cafe", computer game center or any other commercial location where multiple users may access the Game without the prior written consent of 3TOWERS GAME STUDIO or as permitted in the Agreement from the Steam® Subscriber. If necessary, 3TOWERS GAME STUDIO may offer a separate site license agreement to allow you to use the Game for commercial purposes; check the contact information below. * Reverse engineer, derive source code, modify, decompile, disassemble or create derivative works of the Game, in part or in its entirety. * Remove, disable or violate any proprietary notices or labels of or contained in the Game. * Export or re-export the Game or any copy or adaptation that violates any applicable laws or regulations. * Create data or executable programs that simulate Game data or functionality. In addition, you agree to observe the safety information, maintenance instructions and other relevant notices contained in the manual that are included with the Game.
GAME UPDATES AND BUG FIXES:
3TOWERS GAME STUDIO may provide updates and corrections and other modifications to the Game that must be installed in order for the user to continue to use the Game correctly. 3TOWERS GAME STUDIO may update, correct or modify the Game remotely (or if applicable, via the Steam® platform) and access the Game installed on your machine for such purpose, and you hereby grant 3TOWERS GAME STUDIO the right to install and apply these patches, updates and modifications. All provisions of this Agreement that refer to the "Game" shall be included in such corrections, updates and modifications.
LIMITS ON DAMAGE. IN NO EVENT SHALL 3TOWERS GAME STUDIO BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES THAT HAVE BEEN CAUSED BY THE POSSESSION, USE, OR MALFUNCTIONING OF THE GAME, INCLUDING DAMAGE TO PROPERTY AND REPUTATION, LOST PROFITS, LOST OR CORRUPT, FAILURED DATA OR FILES. CONSOLE OR COMPUTER, FAILURE, ERRORS AND UNDONE BUSINESS OR OTHER LOST INFORMATION RESULTING FROM POSSESSION, FAILURE OR MALFUNCTION OF THE COMPUTER AND, TO THE EXTENT PERMITTED BY LAW, DAMAGES FOR PERSONAL INJURY, EVEN IF 3TOWERS GAME STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 3TOWERS GAME STUDIO'S LIABILITY SHALL NOT EXCEED THE ACTUAL PRICE PAID FOR THE LICENSE TO USE THE GAME.
SOME STATES/COUNTRIES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS AND/OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND/OR EXCLUSIONS OR LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.
TERMINATION. Without prejudice to any other rights of 3TOWERS GAME STUDIO, the license will remain in effect for as long as you use, operate or run the Game. This Agreement will automatically terminate if you fail to comply with its terms and conditions. In this case, you must uninstall all copies of the Game and all its components. You may also terminate this Agreement (and License) at any time by destroying the Game and uninstalling the Game from your computer(s) or any other applicable equipment. The sections entitled "Property", "License Restrictions", "Limits to Damages", "Termination", "Legal Remedies" and "Other" shall survive termination of this Agreement.
INJUNCTION As 3TOWERS GAME STUDIO would suffer irreparable damages if the terms of this Agreement are not specially complied with, you agree that 3TOWERS GAME STUDIO is entitled, without other obligations, to other warranty or proof of damages, in order to be able to provide fair injunctions in relation to the breaches of this Agreement, in addition to any other remedies that 3TOWERS GAME STUDIO may be entitled to under applicable law.
DISCLAIMER GUARANTEE. You agree to indemnify, defend and hold harmless 3TOWERS GAME STUDIO, its partners, affiliates, contractors, representatives, directors, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys' fees) resulting directly or indirectly from your acts or failure to act when using the Game in accordance with the terms of this Agreement.
OTHERS. This Agreement is a complete and complete agreement between the parties with respect to this license and supersedes all other prior agreements and representations between them. It can only be modified in writing and signed by both parties. If any provision of this Agreement is held to be unenforceable for any reason, that provision will be amended only enough to make it enforceable and will not affect the remaining provisions of this Agreement. This Agreement will be governed by and interpreted in accordance with Brazilian laws and you agree to elect the courts of said Country as the exclusive venue.
