End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Virtual World Interactive LLC ("Company", "we", or "us"), governing your use of the game software known as Coffee Shop Simulator (the "Game"). By installing, accessing, or otherwise using the Game, you agree to be bound by the terms of this Agreement.


Subject to the terms of this Agreement, Virtual World Interactive LLC (the "Company") grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and play the Game on a compatible device for personal, non-commercial entertainment purposes.

You are permitted to:

• Play the Game on your own device(s) as intended by its design.
  
  
• Stream or record gameplay footage for personal or commercial purposes, including sharing on platforms such as YouTube, Twitch, or other social media. You are also permitted to monetize gameplay footage through ads, sponsorships, donations, or any other revenue models allowed by the platforms where you share the content.

However, you may not:

• Modify, distribute, sell, lease, or sublicense the Game or any of its assets beyond what is expressly allowed by this Agreement.
  
  
• Reverse engineer, decompile, or disassemble the Game, except where such actions are expressly permitted by law.
  
  
• Use the Game for any other commercial purpose, such as providing paid services directly related to the Game, without the Company’s prior written consent.

This license does not grant you ownership of the Game or any of its content. Your right to use the Game is limited to the license provided herein. The Game, along with all content and services, is licensed, not sold, in accordance with the terms of third-party platforms such as Steam and Epic Games. As stated in Steam’s Terms of Service, "The Content and Services are licensed, not sold. Your license confers no title or ownership in the Content and Services." Likewise, Epic Games clarifies, "The Software is licensed, not sold, to you under the License. The License does not grant you any title or ownership in the Software."

Therefore, by purchasing the Game on platforms like Steam or Epic Games Store, you are acquiring only a license to use the Game, not ownership of the Game or its associated assets. You may be required to have an account with the platform and maintain a connection to the Internet to use certain content or services.

If you wish to obtain full ownership of the Game and its associated rights, you may purchase it directly from the developer’s store, where different terms and conditions regarding ownership may apply. Purchasing the Game from third-party storefronts (e.g., Steam, Epic Games Store) provides only a license for use.


The Game, including all intellectual property rights associated with it, such as but not limited to all designs, graphics, logos, trademarks, and software, is owned by Virtual World Interactive LLC and/or its licensors. Certain assets, materials, and content within the Game may be owned or licensed by third parties ("Third-Party Assets"). All rights in such Third-Party Assets are the property of their respective owners.

You agree not to copy, modify, distribute, sell, or lease any part of the Game or the Third-Party Assets, nor to reverse engineer or attempt to extract the source code of the Game or any Third-Party Assets, unless laws prohibit those restrictions or you have the express written permission of Virtual World Interactive LLC or the applicable rights holders.


You agree not to:

• Use the Game for any commercial purposes, including but not limited to operating a gaming café, running paid tournaments, offering paid services related to the Game (e.g., boosting, farming, or selling in-game items), or any other form of commercial exploitation, without the Company's express written consent.
  
  
• Modify, alter, or create derivative works of the Game, including but not limited to altering game files, modifying the Game's code or assets, or creating custom content based on the Game, unless specifically authorized by the Company or through approved modding tools or platforms.
  
  
• Decompile, reverse engineer, disassemble, or otherwise attempt to discover the source code or algorithms of the Game, except where expressly permitted by applicable law. This includes any attempts to analyze the Game’s underlying code, extract its assets, or use the Game's mechanics for the creation of unauthorized projects.
  
  
• Circumvent or attempt to circumvent any technology or security measures used by the Company to protect the Game. This includes but is not limited to bypassing digital rights management (DRM) systems, cheating, hacking, or using third-party software to modify or exploit the Game in any way not intended by the Company. You are also prohibited from disabling or tampering with any encryption, license validation, or other protective mechanisms used in the Game.
  
  
• Engage in any activities that violate the rights of the Company, other users, or third parties, including but not limited to unauthorized sharing, uploading, or distributing the Game or its assets, whether via file-sharing websites, torrent networks, or other unauthorized platforms.

The Company may, from time to time, release updates, patches, bug fixes, or modifications to the Game that may be necessary for continued functionality, compatibility with new hardware or software, or to enhance the user experience. These updates may occur automatically, and you agree that they may be applied without additional notice. You may be required to install these updates in order to continue using the Game.

You also acknowledge that the Company has no obligation to provide ongoing updates, support, or improvements and that future updates may change or modify certain features, mechanics, or content within the Game. Some updates may require you to accept new terms of service or agreements in order to continue playing.


This Agreement is effective until terminated by either party. You may terminate it at any time by uninstalling the Game and discontinuing use of any associated content or services.

The Company reserves the right to terminate this Agreement, your license, and your access to the Game at any time, with or without prior notice, if you fail to comply with any of its terms. Reasons for termination may include, but are not limited to:

• Violating any of the restrictions outlined in Section 3,
  
  
• Using unauthorized third-party software or engaging in cheating, hacking, or other disruptive behavior,
  
  
• Failing to accept updated terms or policies when provided.

Upon termination, you must cease all use of the Game, including access to any online services, and destroy or delete all copies of the Game and its components from your devices.

Please note that termination of this Agreement does not entitle you to any refunds or compensation for unused content or other purchases related to the Game.


Coffee Shop Simulator includes the Unreal® Engine code and other code, materials, and information (the “Epic Materials”) from Epic Games, Inc. (“Epic”). All Epic Materials are provided on an “as is” and “as available” basis, “with all faults” and without warranty of any kind. Virtual World Interactive LLC, Epic, and Epic’s affiliates disclaim all warranties, conditions, common law duties, and representations (express, implied, oral, and written) with respect to the Epic Materials, including without limitation all express, implied, and statutory warranties and conditions of any kind, such as title, non-interference with your enjoyment, authority, non-infringement, merchantability, fitness or suitability for any purpose (whether or not Epic knows or has reason to know of any such purpose), system integration, accuracy or completeness, results, reasonable care, workmanlike effort, lack of negligence, and lack of viruses, whether alleged to arise under law, by reason of custom or usage in the trade, or by course of dealing.

Without limiting the generality of the foregoing, Virtual World Interactive LLC, Epic, and Epic’s affiliates make no warranty that:

• Any of the Epic Materials will operate properly, including as integrated into the Game.
  
  
• The Epic Materials will meet your requirements.
  
  
• The operation of the Epic Materials will be uninterrupted, bug-free, or error-free in any or all circumstances.
  
  
• Any defects in the Epic Materials can or will be corrected.
  
  
• The Epic Materials are or will be in compliance with a platform manufacturer’s rules or requirements.
  
  
• A platform manufacturer has approved or will approve this game, or will not revoke approval of this game for any or no reason.

Any warranty against infringement that may be provided in Section 2-312 of the Uniform Commercial Code or in any other comparable statute is expressly disclaimed by Virtual World Interactive LLC and Epic. Virtual World Interactive LLC, Epic, and Epic’s affiliates do not guarantee continuous, error-free, virus-free, or secure operation of or access to the Epic Materials. This paragraph will apply to the maximum extent permitted by applicable law.

To the maximum extent permitted by applicable law, neither Virtual World Interactive LLC, Epic, Epic’s licensors, nor its or their affiliates, nor any of Virtual World Interactive LLC's or Epic’s service providers, shall be liable in any way for loss or damage of any kind resulting from the use or inability to use the Epic Materials or otherwise in connection with this Agreement, including but not limited to loss of goodwill, work stoppage, computer failure, or malfunction, or any and all other commercial damages or losses.

In no event will Virtual World Interactive LLC, Epic, Epic’s licensors, nor its or their affiliates, nor any of Virtual World Interactive LLC's or Epic’s service providers be liable for any loss of profits or any indirect, incidental, consequential, special, punitive, or exemplary damages, or any other damages arising out of or in connection with this Agreement or the Epic Materials, or the delay or inability to use or lack of functionality of the Epic Materials, even in the event of Virtual World Interactive LLC's, Epic’s, or Epic’s affiliates’ fault, tort (including negligence), strict liability, indemnity, product liability, breach of contract, breach of warranty, or otherwise and even if Virtual World Interactive LLC, Epic, or Epic’s affiliates have been advised of the possibility of such damages.

These limitations and exclusions regarding damages apply even if any remedy fails to provide adequate compensation. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, the liability of Virtual World Interactive LLC, Epic, Epic’s licensors, its and their affiliates, and any of Virtual World Interactive LLC's or Epic’s service providers shall be limited to the full extent permitted by law.


You agree to indemnify, defend, and hold harmless Virtual World Interactive LLC, its affiliates, licensors, and service providers, along with their respective officers, directors, employees, agents, and representatives (collectively, the "Indemnified Parties"), from any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of this Agreement,
  
  
• Your use or inability to use the Game,
  
  
• Your violation of any applicable laws or regulations,
  
  
• Your infringement of any third-party rights, including intellectual property rights, or
  
  
• Any content or data you submit, share, or otherwise make available in connection with the Game.

This obligation to indemnify will survive the termination of this Agreement. You acknowledge that the Indemnified Parties shall have the right to participate in the defense of any such claim at their own expense and that you shall not settle any such claim without the prior written consent of the Company.


This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any disputes arising out of or relating to this Agreement or your use of the Game shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You hereby consent to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.


If any provision of this Agreement is found to be unenforceable, invalid, or contrary to applicable law, that provision shall be limited or eliminated to the minimum extent necessary to render the remaining provisions of this Agreement valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall be interpreted in a manner that best reflects the intent of the parties as expressed in this Agreement.


This Agreement constitutes the entire understanding between you and Virtual World Interactive LLC regarding the Game and supersedes all prior agreements, discussions, negotiations, and understandings, whether written or oral, relating to the subject matter herein. No modifications or amendments to this Agreement shall be effective unless made in writing and signed by both parties.
