This user license agreement (hereinafter referred to as "this Agreement") is a user license agreement for this software signed between you and miditokey. Miditokey hereby specially reminds you to carefully read the terms of this agreement, including but not limited to user instructions, legal liabilities and disclaimers. Your installation and use behavior will be deemed as acceptance of this agreement. By installing or using the software in any way, you agree to be bound by this agreement. If you disagree with the terms of this agreement, you cannot obtain the right to install and use this software.
This agreement is between you and miditokey for downloading, installing and using this software. This agreement stipulates your rights and obligations with regard to the use license of this software.
1. Intellectual property declaration
This software is developed by miditokey or licensed by the software owner (hereinafter referred to as "Licensor"). The intellectual property rights of this software and all information related to this software, including but not limited to: text expression and its combination, icons, decorations, charts, colors, interface design, layout framework, relevant data, printed materials, electronic documents, etc., are protected by copyright law, international copyright treaties and other intellectual property laws and regulations, and their intellectual property rights belong to miditokey and its licensors.
2. License of software
(1) All other rights not expressly authorized in this agreement belong to miditokey and its licensors. If you need to use any other rights not granted in this agreement, you must obtain the written consent of miditokey.
(2) Miditokey allows you to download, install and run this software on your computer. The license is limited, non transferable, non sublicensable, revocable, non exclusive and non exclusive.
3. Use restrictions
You may use the software in accordance with this Agreement on the premise of complying with national laws, regulations, policies and this agreement. You have no right and shall not perform the following actions, including but not limited to:
(1) Delete any copyright notice or prompt and any other information and content in the software.
(2) Reverse engineer, reverse assemble and reverse compile the software.
(3) Use, copy, modify, lease or transfer the software or any part thereof in addition to the terms set forth in this agreement.
(4) Provide the software to a third party, license others to use the software or use the software for purposes prohibited by miditokey (such as commercial purposes).
(5) Unauthorized implementation of the image, text and other related information of this software includes but is not limited to the following acts: use, copy, modify, link, reprint, compile, publish, publish, establish a mirror site, and develop related derivatives, works and services with the help of this software without authorization.
(6) Use this software to store, publish and disseminate content that violates national laws, regulations and national policies.
(7) Use this software to store, publish, and disseminate content that infringes upon others' intellectual property rights, trade secrets, and other legitimate rights.
(8) Conduct acts that endanger the security of computer networks.
4. Suspension and termination of services
(1) If you publish illegal information, seriously violate social morality, or otherwise violate the prohibitive provisions of the law, miditokey has the right to immediately stop providing services to you.
(2) Miditokey will bear the corresponding burden of proof if it suspends or terminates part or all of its services to you according to this agreement.
5. Version upgrade
Whether the software will be upgraded in the future will be decided by miditokey. If the software is upgraded with the consent of miditokey, the upgraded version still applies to this Agreement unless there is a replacement software license agreement for the upgraded version. If the software is marked as an upgraded version, you must comply with this agreement.
6. Legal liability
(1) You agree that using this software is at your own risk.
(2) You agree that this software may be invaded by various security problems, such as the harassment in real life caused by others using your data. The downloaded and installed software contains "Trojan horse" and other viruses, which threaten the security of your information and data, and then affect the normal use of this software, etc. You should strengthen the awareness of information security and protection of information resources, and pay attention to strengthening password protection to avoid loss and harassment.
(3) This software is licensed "as is". Miditokey and its licensors do not provide any express or implied warranty and guarantee for this software, including no express or implied warranty for the merchantability and specific purpose of this software, and miditokey and its licensors do not make any warranty against infringement of the rights of third parties.
(4) To the maximum extent permitted by applicable laws, miditokey and its licensors will not make any direct, indirect, accidental, special Punitive or any other damage (including but not limited to damages caused by personal injury or property damage, damages caused by loss of profits, business interruption, loss of business information, damages caused by privacy disclosure due to failure to perform any responsibility including integrity or considerable care, damages caused by negligence, or damages caused by any monetary loss or any other loss) bear the liability for compensation, Even if miditokey and its licensors are informed of the possibility of the damage in advance. All responsibilities of miditokey and its licensors are limited to the price you paid for the software. This clause will be valid in any case.
(5) Any other software derived from this software that is not authorized by miditokey and its licensors is illegal. Downloading, installing and using such software may lead to unpredictable risks. It is recommended that you do not download, install and use it easily. All losses, damages, legal liabilities and disputes arising therefrom will be borne by you, which has nothing to do with miditokey.
(6) You shall be fully responsible for all liabilities arising from your violation of law or this agreement. If miditokey suffers losses, miditokey has the right to claim full compensation from you.
7. Termination of rights
Miditokey or its licensors have the right to suspend or terminate this agreement at any time. After the termination of this agreement, you must immediately stop using this software and delete all copied and installed software and related materials.
8. Other terms
(1) The partial or total invalidity of any provision of this Agreement shall not affect the validity of other provisions.
