PLEASE READ THIS END USER LICENSE AGREEMENT AND SOFTWARE LICENSE ("USER AGREEMENT") CAREFULLY AND IN ITS ENTIRETY. THIS USER AGREEMENT CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU AND L&K Co., Ltd. ("L&K") AND GOVERNS YOUR USE OF Mirror War-Reincarnation of Holiness SA (THE "GAME"), THE GAME SERVICE, AND THE SOFTWARE (EACH DEFINED BELOW). BY CLICKING "ACCEPT," YOU: A) ACKNOWLEDGE THAT YOU HAVE READ THIS USER AGREEMENT IN ITS ENTIRETY; (B) AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS; (C) ARE AUTHORIZED AND ABLE TO ACCEPT THIS USER AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS USER AGREEMENT DO NOT INSTALL SOFTWARE, OR PLAY THE GAME.
YOUR USE OF THE GAME SOFTWARE IS ALSO SUBJECT TO THE TERMS AND CONDITIONS SET FORTH IN THE STEAM™ SUBSCRIBER AGREEMENT AND/OR ANY OTHER TERMS SET FORTH BY VALVE CORPORATION IN RELATION TO THE STEAM SERVICE.
FOR GOOD AND VALUABLE CONSIDERATION, THE SUFFICIENCY OF WHICH IS HEREBY ACKNOWLEDGED, THE PARTIES AGREE AS FOLLOWS:
1. Game Description: Mirror War-Reincarnation of Holiness SA is a single-play game service that allows you to play a game when you (a) Download and install a copy of the Game client from the official STEAM™ which includes software and associated media, printed materials and/or electronic documentation; (b) Utilizes any software programs (software) provided to you.
2. License: Subject to your compliance with the terms of this User Agreement, L&K hereby grants you a non-exclusive, non-transferable, non-assignable limited license to use the Game, Software, Game Service, Digital Objects and Game related products or services for your personal use for the sole purpose of playing the Game. All rights that are not expressly stated in this agreement are vested to L&K to the extent permitted by law. Your right to use under this EULA is always subject to your compliance with the terms and conditions contained in this EULA.
3. Restrictions: The Game, Game Services, Software and any Game related products or services are made for solely for use in terms and conditions of this user agreement. Any Use, reproduction, duplication, and redistribution of other game, game service, software or related game product and the service (including digital objects, but not limited to) is not expressly permitted under this user agreement and is expressly prohibited. Engage in any acts of damaging or damages game assets or support any other people for damaging strictly prohibited (including the following list, but not limited): (a) copying, distributing, transmitting, displaying, performing, framing, linking, hosting, caching, reproducing, publishing, licensing, or creating derivative works from any information, software, products or services obtained from the Game, Game Service or Software. (b) modifying, reverse engineering, disassembling or decompiling the Game, Game Service or Software except to the extent that this restriction is expressly prohibited by applicable law. (c) Using intellectual property contained in the Game, Game Service or the Software to create derivatives or to provide any other means through which others may play the Game such as through server emulators. (d) Interfering with any other party's use and enjoyment of the Game, Game Service and/or Software (including cheating). (e) Violating terms and conditions set forth in the STEAM™ subscriber agreement and/or any other terms set forth by Valve Corporation in relation to the STEAM service. (f) You are strictly prohibited from selling, gifting (except as permitted herein) or exchanging Digital Objects or other virtual Game items for currency or other value outside of the Game.
IN ADDITION TO ANY OTHER RIGHTS AND REMEDIES AVAILABLE TO L&K, IF L&K BELIEVES YOU HAVE, OR WILL ENGAGE IN ANY OF THE ABOVE CONDUCT IN THIS SECTION 6, IT MAY, IN ITS SOLE DISCRETION AND WITHOUT NOTICE, UPON TERMINATION YOU MUST AGREE TO ACT TO FOLLOW IMMEDIATELY ACCORDANCE WITH [Section 5, TERM AND TERMINATION].
4. Intellectual Property Rights. L&K owns all right, title and interest in and to the Game, Game Service, Software, and Game related products or services (including, without limitation, all Digital Objects), and all aspects thereof (including, but not limited to, any titles, computer code, themes, objects, characters, character names, stories, dialog, catch phrases, locations, concepts, artwork, character inventories, structural or landscape designs, animations, sounds, audio-visual effects, methods of operation, moral rights, any related documentation, storylines, character likeness), as well as all related and underlying intellectual property including all trademarks and copyrights. The game that you possess and your use of the Game and Game Service do not grant you any ownership interest in and to the same. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable Republic of Korea copyright or other intellectual property laws and international treaties. All rights are reserved. Neither this User Agreement entitles you to any subsequent releases of the Software, or to any Game products. L&K may update or otherwise enhance the Software at any time and in doing so incurs no obligation to furnish such updates to you pursuant to this User Agreement.
5. Term and Termination. This User Agreement is effective unless and until terminated by either you or L&K. Your rights under this EULA will terminate immediately upon termination of the Agreement. L&K may, at any time, for any reason and in its sole discretion, terminate this User Agreement, discontinue the Game Service with or without notice to you and with no liability to you. In addition, L&K, at its sole discretion, may immediately terminate this User Agreement without notice. (a) You breach any provision of this User Agreement. (b) You infringe any third-party intellectual property rights. (c) L&K is unable to verify or authenticate any information you provide to L&K; (d) Upon game play, chat or any player activity whatsoever which is, in our sole discretion, inappropriate and/or in violation of the spirit of the Game or Game Service as set forth in this EULA. (e) You violate the STEAM Subscriber Agreement. Upon termination of the User Agreement, for any reason or no reason whatsoever, by either you or L&K: (f) You will immediately discontinue use of the Game, the Game Service. (g) All license and rights granted to you under this User Agreement will immediately terminate. (h) You will promptly delete all copies of the Software. (i) Will immediately forfeit the right to use all your Digital Objects. Any fees associated with your use of the Game and the Game Service are payable in advance and not refundable in whole or in part. Your obligation to pay accrued charges and fees will survive any termination of the User Agreement.
6. Disclaimer of Warranties. THE GAME, GAME SERVICE, THE DOWNLOAD, THE SOFTWARE ARE PROVIDED "AS IT IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. L&K HEREBY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, GUARANTEES AND CONDITIONS WITH REGARDS TO THE SAME AND ANY AND ALL OTHER SERVICES RELATED THERETO INCLUDING, WITHOUT LIMITATION, ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, USE. L&K MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE THAT THE DOWNLOAD, THE SOFTWARE, AND/OR THE FORUMS WILL BE SECURE, VIRUS-FREE, UNINTERRUPTED OR ERROR-FREE, OR THAT THE SAME WILL FUNCTION PROPERLY IN COMBINATION WITH ANY THIRD-PARTY COMPONENT, TECHNOLOGY, HARDWARE, SOFTWARE OR SYSTEM. L&K AUTOMATICALLY DISTRIBUTES OR PROVIDE PATCHES, UPDATES, AND FIXES THAT YOU MAY NEED TO INSTALL IN ORDER TO CONTINUE PLAYING THE GAME. L&K MAY UPDATE THE GAME CLIENT THAT IS INSTALLED ON YOUR COMPUTER (INCLUDE, BUT NOT LIMITED TO) WITHOUT YOUR RECOGNITION. YOU HEREBY EXPRESSLY GIVE L&K YOUR CONSENT TO DISTRIBUTE AND APPLY THESE PATCHES, UPDATES AND FIXES TO THE GAME.
7. Limitation of Liability; Indemnification: L&K will not be liable for any failure to perform any respective obligations under this user agreement due to ISP interruptions, software or hardware failures, delays and/or other problems inherent in the use of the internet, or for any other damages beyond L&K' reasonable control. Also, L&K is not liable for any damage arising out of your possession, it includes use, or malfunction of the game software: (a) Any types of an illegal act, contract, misrepresentation, and other related cases in all acts [unless there is no intention or direct and significant negligence. (b) Any loss of profit, property damage, business loss, business rights that includes specific, incidental, or indirect way. (c) Loss of retained data and files, failure of the console, computer, and small device, any other informational loss. (d) L&K will not be liable for special, incidental, or indirect damages arising from breach of any express or implied warranties or other terms of this agreement. This will be the same, even if L&K is aware of such loss and the damages in advance. L&K shall not be liable in excess of the price actually paid for the game software. Apply even if the remedy fails of its to meet the essential purposes. Your remedy for the damages that have been made in the above 4 sections is to stop using it immediately.[/u]
8. Modification. L&K may, at its sole discretion, change, modify, add to, supplement or delete any of the terms and conditions of this User Agreement at any time effective upon prior notice. If any future changes to this User Agreement are unacceptable to you or cause you to no longer be in compliance with this User Agreement, you must terminate this User Agreement pursuant to Section 9. The continued use of the Game by you following notice of changes to this User Agreement will mean you accept any and all such changes. L&K may change, modify, suspend, or discontinue any aspect of the Game at any time. L&K may also impose limits on certain features or restrict your access to parts or all of the Game without notice or liability. You have no interest, monetary or otherwise, in any feature, content or availability of the Game.
9. Dispute Resolution Criteria: In the event of a dispute between you and L&K, L&K will provide neutral and efficient means to dispute the resolution expeditiously. Accordingly, you agree to resolve any disputes or claims arising out of this agreement in relation to L&K services by following the method that is set forth by the L&K. The User Agreement and relationship between you and L&K shall be governed by the laws of the Republic of Korea without regard to conflict of international law or the United Nations Convention on Contracts for the International Sale of Goods. You and the L&K agree to the exclusive jurisdiction of the courts located in the Republic of Korea. Despite this fact, you agree to apply for injunctive and other remedies through a court that L&K has chosen.
10. General. This User Agreement, together with its incorporated references, constitutes the complete and final agreement between you and L&K with respect to its subject matter.
COPYRIGHT AND TRADEMARK NOTICES
The Software, the Game Service, Game products, the Game, artwork, cards, and characters and creatures' distinctive likenesses are the copyrights of L&K Co., Ltd. Mirror War-Reincarnation of Holiness SA trademarks owned by L&K. Any rights not expressly granted herein are reserved to L&K
