End User License Agreement
1 End User License Agreement
1.1 This End User license Agreement (hereinafter referred to as "EULA") entered into by and between WFS, Inc. (hereinafter referred to as “WFS”) and customers (hereinafter referred to as “End Users”) using the game application “Heaven Burns Red ” (including services associated with application; hereinafter referred to as "The App") provided by WFS on Steam, a service managed and operated by Valve Corporation sets forth the terms and conditions for the use of the software (including all related documentation and updates and upgrades thereto; hereinafter referred to as "Software") associated with The App.
1.2 By installing and using the Software, the End User agrees to the terms and conditions of this EULA. The End User cannot use the Software before agreeing to the terms and conditions of this EULA.
1.3 In addition to this EULA, the End User shall use the Software in accordance with the WFS Terms of Use and Privacy Policy as well as any other regulations set forth by WFS (hereinafter collectively referred to as "WFS Regulations”). In the event of any conflict between this EULA and any other WFS Regulations regarding the use of the Software, the terms and conditions of this EULA will take precedence.
2 License
In accordance with this EULA, WFS shall grant the End User a non-exclusive, free of charge, and non-transferable license to install and use the Software on a single device on which the End User uses The App (however this shall be limited to devices that support Steam; hereinafter referred to as “Applicable Devices”) for the period until the End User ceases to use The App and only for non-commercial and private purposes.
3 Prohibitions
3.1 Notwithstanding any other provision of this EULA, the following acts are prohibited.
(a) Use of the Software for commercial purposes, i.e. to generate direct or indirect economic benefits.
(b) Copying, adapting, distributing, transmitting to the public (includes making a work available for transmission), sub-licensing, lending or transferring the Software unless expressly permitted in this EULA.
(c) Circumventing the technical safeguards used in the Software.
(d) Reverse engineering, decompiling, or disassembling the Software unless in cases where it is permitted by law.
(e) Removing or altering any trademarks, logos or copyright notice or other notices contained in the Software.
3.2 In the event the End User breaches any of the prohibitions in the preceding paragraph, this EULA shall immediately terminate, and the End User shall permanently delete the Software (including all copies) by uninstalling the Software from the Applicable Devices or other means.
4 Intellectual Property Rights
4.1 Copyrights and other intellectual property rights to the Software and all information related to the Software belong to WFS or to the right holders who have granted WFS license to use them.
4.2 WFS only grants the End User the right to use the Software in accordance with this EULA. This EULA does not transfer to the End User any intellectual property rights or ownership or other rights to the Software. Any rights not expressly granted to the End User through this EULA are reserved by WFS.
5 Disclaimer
5.1 The Software is provided on an “As Is” basis. To the extent permitted by applicable law, WFS makes no warranties, express or implied, with respect to any matter including the following, (including liability for contractual non-conformity of rights, liability for contractual non-conformity of goods, fitness for particular purpose and guarantee against non-infringement of rights).
(a) That there will be no interruptions and/or errors in the Software.
(b) That the Software is accurate, complete, reliable, current or error free and that it contains no viruses or other harmful elements.
5.2 The End User may claim for compensation for damages against WFS for damages caused by or in connection with use of the Software provided only that such damages can be attributable to WFS. To the extent permitted by applicable law, the End User shall agree to the following unless damages incurred are caused by willful misconduct or gross negligence on the part of WFS.
(a) Any damages to be compensated for shall be limited to any actual, direct and ordinary damage that can be attributable to WFS.
(b) Cumulative damages paid by WFS to the End User will not exceed the total amount of money paid by the End User to WFS in relation to The App.
6 Severability
In the event this EULA is determined to be in conflict with any law or regulation or to be unenforceable, such provision shall be deemed void to the extent it is determined to be in conflict with such law or unenforceable, and all other provisions of the EULA shall remain in full force and effect.
7 Entire Agreement
This EULA constitutes the entire agreement between WFS and the End User with respect to its subject matter and supersedes all prior written or oral agreements.
8 Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of Japan. All disputes between WFS and the End User arising out of or in connection with this EULA will be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.
