FutDevPro is an online innovation-oriented (crowd)funding platform that brings innovative projects and Fundraisers/Contributors together in realization. Innovative projects become alive with FutDevPro’s properties (in kind and in cash) and Contributors’ donation of funds. A Contributor may be a registered user or an anonym (unregistered) person, and contribution may be provided in a visible and anonymous manner. The contribution earns popularity points depending on its amount. Registered user with verified identity will have additional possibility to increase popularity points.

By using this website and its services (website and its services together hereinafter referred to as: “Website”) offered by FutDevPro you’re agreeing to these Terms & Conditions, of which the followings

constitute inherent parts (hereinafter referred to as Agreement).
You are not entitled to use the Website without acknowledging or complying with this Agreement. If you do not agree to be bound by all of the terms of this Agreement, please do not use the Website.

Creation of account: You must be 18 or over (with full legal capacity) to sign up for a FutDevPro account. When registering you need to prove your identity. Only verified, real persons can become registered user. This provides that you’re responsible for your account and all the activity on it. With this you also acknowledge that your account cannot be transmitted. In case of using untrue, offensive or other illegal registration data, we may cancel your account.
It is your responsibility to protect the information associated with your account, in particular your financial and personal information, and to ensure the security and safe use of your account. If you find out that someone’s used your account without your permission, you should report it to support@futdevpro.hu.
By creating an account, you consent to the disclosure of your secondary profile information associated with your account in connection with the Website.
Termination of Account: You can terminate your account at any time for any reason through your account settings. In the meantime you acknowledge that certain of your data/content may remain or be retained on the Website due to respective regulatory provisions, or as consequences of rights and obligations that remain with you.
All provisions of this agreement survive termination of an account, including our rights regarding any content you’ve already submitted to the Website.

Things You Definitely Shouldn’t Do
Your account, your actions, your liability! When using the website and its services you are expected to conduct lawfully, with due diligence, in good faith.
In order to operate the Website securely and properly, we call you to keep the followings when using the website and its services:
• Don’t commit anything illegal! Don’t take any action that infringes or violates other people’s rights, violates the law, or breaches any contract or legal duty you have toward anyone.
• Don’t misinform! Don’t disseminate false misleading, or inaccurate information. Don’t do anything misleading, or inaccurate.
• Don’t offend anyone! Don’t do anything threatening, abusive, harassing or otherwise harmful of another person’s privacy.
• Don’t spam! Don’t distribute unsolicited or unauthorized material, or any junk mail, spam, or chain letters. Don’t run mail lists, listservs, or any kind of auto-responder or spam on or through the Website.
• Don’t hack! Don’t distribute software viruses, or anything else (code, films, programs) designed to interfere with the proper function of the Site. Don’t try to interfere with the proper workings of the Website. Don’t try to damage or get unauthorized access to any system, data, password, or other information, whether it belongs to FutDevPro or another party.
• Don’t misuse any personal information! When using the Website, especially in connection with a project, keep all personal information (names, email and postal addresses, etc.) that’ve reached you.

This section applies when you raise fund for a FutDevPro project.
What our Website provides:
We develop innovative projects in accordance with FutDevPro official company deeds. From the moment it appears on the FutDevPro Website, a project is launched and is seeking supportive financing in order to come true in an efficient and timesaving way. With raising fund for a FutDevPro project a Contributor concludes a support agreement with the creator, i.e.: FutDevPro.
When a project reaches its fund target on the Website, the support agreement is deemed to be concluded between FutDevPro and the Contributor.

The support agreement
When entering into a support agreement, BUILD, SERVE AND DESERVE TRUST! Correct performance from FutDevPro’s side, and secure backing from the Contributor’s is key to successful realization of a Project.
You find the governing terms of such support agreements:
When you raise fund for a FutDevPro project, you decide and agree to support innovation efforts of FutDevPro on priority projects. You acknowledge that your funding/contribution is aiming at financing innovation of public interest, therefore it is not refundable/redeemable, and it does not constitute an order, or any other related right to obtain/own/or have privileges with regard to a FutDevPro project result.
The contribution does not fall under the term of donation set in Section 4 Paragraph 1/a of Act LXXXI of 1996 on corporation tax and dividend tax, therefore, the contribution certificate cannot be considered/used as corporation tax base deduction item pursuant to Section 7 Paragraph (1) (z) of the same Act. Neither does it fall under the term of public donation set in Section 259 Paragraph 9/A of Act CXXVII of 2007 on value added tax, therefore, the contribution certificate cannot be considered/used as value added tax free purchase certificate pursuant to Section 11 Paragraph (3) a) and Section 14 Paragraph (3) of the same Act.
In case of contribution FutDevPro issues and sends an electronical certificate (on the date and amount thereof) to the Contributor.

From FutDevPro’s (as creator) side:
- When a project reaches its fund target, FutDevPro undertakes to complete the project.
- In completion of the project FutDevPro as creator works diligently and in good faith to bring the project to the best possible conclusion in an efficient way and competitive timeframe, in accordance with the support agreement.
- In making the Project real FutDevPro as creator performs a high standard of effort, if necessary, communicates properly and honestly, with dedication to bringing the project to life.
- When failing in completing the funded project FutDevPro as creator should make every reasonable effort to find another way of bringing the project to the best possible conclusion.
The result is not guaranteed, but if we do not try… If you have any further questions related to your contribution, the purpose and feasibility of the project, the actual use of your financing, do not hesitate to contact us via: support@futdevpro.hu.

From the Contributor’s side:
Raising fund/Funding a project as Contributor (registered or unregistered, visible or anonym) means helping to create (and NOT ORDERING!) something completely new, with the aim of serving public interest. Contributors take note that in creating something totally new, changes or delays might occur that prevent the creator from being able to finish the project as promised.
If FutDevPro as creator is unable to complete its project for good reason, it is obliged to channel the existing funds to the next project on the FutDevPro project priority list. Funds are not redeemable.

How Funding Works
This section goes over the details of raising fund for FutDevPro projects:
Terms for backing/contributing to a project:
• With supporting a project as Contributor, you raise fund for a preferred FutDevPro project. With ordering transaction for money transfer to FutDevPro 11763220-12155887 (OTP), you enter into support agreement with FutDevPro. You acknowledge that once the ordered transaction is complete, funds are not redeemable.

The contribution can be paid by a valid bank card via SimplePay system (OTP Bank). To realize the transaction for contribution the system proceeds to the OTP SimplePay payment page. Once the system has progressed, payment will be subject to the provisions of the SimplePay Terms & Conditions. Payment can be made by the bank card types listed on the SimplePay website via OTP's online card acceptance terminal (VPOS) (SimplePay). Here the name, card number, expiration date and validation code (CVC2 or CVV2) on the bank card shall be entered. After entering the bank card details, the Contributor can start the transaction by clicking on the "Pay" button. OTP SimplePay page sends e-mail confirmation on the successful transaction.

Simultaneously with the acceptance of the present Terms & Conditions, the Contributor acknowledges (explicitly) that in case of contribution payment via SimplePay system the following personal data stored in the user account of FutDevPro website [Company Name, address]) will be transmitted to OTP Mobil Ltd. as data processor. The data transmitted by FutDevPro as data controller are the following: [name/company name, invoicing address, e-mail address, telephone number]. Information on the nature and purpose of the data processing activity performed by the data processor is available in the SimplePay Privacy Policy at the SimplePay site: vasarlo-aff.
• The estimated delivery is the creator’s estimate.
• The contribution earns popularity points depending on its amount. A registered user who verifies her/his identity will benefit from usage of additional popularity points. The popularity points determine which Project or Project Supplement comes to the fore in terms of realization.
Completion of the project is entirely the competence of FutDevPro, due to which FutDevPro cannot be held responsible for the feasibility and details of the actual realization (in particular: timing, mode and framework).

You are solely responsible for all your activities on or in relation to the Website. All content you access through the Website is at your own risk. When you use the Website, you release FutDevPro from claims, damages, and demands of every kind — known or unknown, suspected or unsuspected, disclosed or undisclosed — arising out of or in any way related to such disputes and the Website. Damage or loss to any party occurring in relation to or resulting from your activities on the Website stays solely under your liability.

You’re responsible for your activities on the Website, all the content you post thereon. All information submitted to the Website, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom that Content originated.
We’re not responsible for mistakes in your Content. FutDevPro will not be liable for any errors or omissions in any Content.
FutDevPro isn’t liable for any damages or losses related to your use of the Website.
We don’t become involved or mediate in disputes between users, or between users and any third party relating to the use of the Website.
We are not obliged to report on the performance or timing of projects, and we don’t endorse any content users submit to the Website.

FutDevPro may contain links to other websites. (For instance, project pages, user profiles, and comments may link to other sites.) When you access third-party websites, you do so at your own risk. We don’t control or endorse those sites.

Any Content (published) on the Website is our property or we hold permission/licence to use or copy it. You’re fully responsible for all the content you publish/post on the Website.
When you support/raise fund for a FutDevPro project, you accept and agree that we award/mark User’s contributions (i.e. fundraising) with Popularity points on the Website;

FutDevPro’s Intellectual Property
FutDevPro is the sole owner of its Content on the Website.
FutDevPro’s protected intellectual property content may only be used, reproduced, modified, distributed or stored with the prior, express and definite permission/licence/approval of FutDevPro.
You agree to respect all copyright and other legal notices, information, and restrictions contained in any content accessed through the Website. You also agree not to change, translate, or otherwise create derivative works of the Website, neither for private, nor for commercial use.
When a funded FutDevPro project is complete and realized, we will inform you on all the conditions of its lawful use.

To operate securely, we need to be able to maintain control over what happens on our website. So in this section, we reserve the right to make decisions to protect the healthy functioning and integrity of our system. We reserve the right to use them when we absolutely have to.
To protect the secure, healthy functioning and integrity of our system FutDevPro reserves these rights:
• Except for essential changes affecting the use of the Website we can make changes to the Website and Services without prior notice and liability.
• We have the right to decide who’s eligible to use FutDevPro Website. Particularly in case of significant or repeated violations of the Agreement or any other rules on the website, we may cancel accounts or decline to offer our Services. (Especially if you’re abusing them.) We can change our eligibility criteria at any time. If these things are prohibited by law where you live, then we revoke your right to use FutDevPro website under that jurisdiction.
• We have the right to cancel any pledge to any project, at any time and for any reason.
• We have the right to reject, cancel, interrupt, remove, or suspend any project at any time and for any reason.

FutDevPro is not liable for any damages as a result of any of these actions.
We do not need to comment on the reasons for any such action. However, if we impose restrictions on or limit a verified account holder’s access to any of our Services or if we intend to cancel a verified account, we will let the account holder know the reasons for this action and how they can remedy any issues (where appropriate), unless we’re prohibited from doing so by law or in the interest of safety. For account cancelations, we will let the account holder know the reasons for this action at least 30 days in advance, unless we’re canceling for reasons related to illicit or inappropriate content, the safety of a good or service, counterfeiting, fraud, malware, spam, data breaches, other cybersecurity risks, or the suitability of a good or service for minors.

You represent that all information provided when you created your account is accurate, correct, and you have the right to post that content on the Service and to authorize your use of the application as You hereby certify that all information you have provided in relation to your account is accurate, correct, and you have the right to post that content or to authorize its use on the Website.
You acknowledge and agree that we may monitor and review all Content you post on the Website. We reserve the right to delete, in our sole discretion, all or any Content inconsistent with these Terms Agreement or damaging the reputation of the Website.

We inform you that the Website may access, store and release your Account Information and Content if required by law or other legal commitment concluded by you, or if in good faith holds that such access, storage or release is in a legitimate interest, including: (i) compliance with legal processes; (ii) enforcing the Terms; (iii) respond to notices stating that Content infringes the rights of third parties; (iv) respond to your requests sent to customer service; or (v) protect the rights, property or personal safety of the Company or any other person.

We do or best to provide you with effective services, but we can’t guarantee everything will always work perfectly. This Website is presented as-is, without warranties.
You use our Services solely at your own risk. They are provided to you “as is” and “as available” and without warranty of any kind, express or implied.

FutDevPro SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED BY YOU FROM FutDevPro SHALL CREATE ANY WARRANTY.

FutDevPro IS NOT RESPONSIBLE FOR, AND DOES NOT WARRANT THAT (A) THE WEBSITE WILL BE UNINTERRUPTED, SAFE OR ERROR-FREE, (B) THE WEBSITE WILL BE REPAIRED. NOR SHALL FutDevPro BE LIABLE FOR ANY CONTENT DELIVERED, SENT OR RECEIVED BY YOU, OTHER CONTRIBUTORS OR THIRD PARTIES THROUGH THE WEBSITE. ON THE WEBSITE YOU ARE REACHING/DOWNLOADING/USING MATERIALS AT YOUR OWN RISK.

You agree to defend, indemnify, and hold us harmless from all liabilities, claims, and expenses (including reasonable attorneys’ fees and other legal costs) that arise from or relate to your use or misuse of FutDevPro. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to this indemnification clause, in which case you agree that you’ll cooperate and help us in asserting any defenses.

Although FutDevPro projects are not bounded by borders, FutDevPro is a company with Hungarian headquarters, under Hungarian company law and jurisdiction. Therefore, Hungarian law shall be applicable in relation to this agreement and in cases where no other applicable law can be established. Any dispute deriving from this Agreement shall be settled amicably by the Parties. In case of legal dispute, an arbitral tribunal shall act on the basis of a separate agreement between the respective parties, or in its absence, the competent (depending on the subject matter of the dispute) Hungarian court will proceed.
