PREFACE
=======
Please read this End-User License Agreement ("Agreement") carefully before clicking the "Buy this" or "Agree" button, downloading, installing or using Chordwatch ("Software").
This Agreement is a legal agreement between you and Moonstop Software Ltd.
By clicking the "Buy this" or "Agree" button, downloading, installing or using the Software named above, you agree to be bound by the terms and conditions of this Agreement.
If you do not agree to the terms and conditions of this Agreement, do not click on the "Buy this" or "Agree" button, download, install or use the Software.
LICENSE GRANT
=============
The Software is licensed, not sold, only in accordance with the terms of this Agreement.
If you have purchased a license for the Software, Moonstop Software Ltd grants you a non-exclusive, non-transferable, license to download, install and use the Software upon acceptance of the terms of this Agreement.
You may use the Software on a single computer at a time. You may install and activate the Software on up to three computers so long as only one copy is used at a time.
You may also make a single copy of the Software for backup purposes provided that any copy contains all proprietary notices included in the original.
RESTRICTIONS
============
You agree not to, and you agree not to permit others to: copy, transmit, distribute, lease, rent, sell, license, assign, modify, decrypt or reverse engineer the Software except as expressly permitted by this Agreement.
THIRD PARTY COMPONENTS
======================
The Software may include third party components with separate legal notices or governed by other agreements, as may be described in the NOTICES file accompanying the Software.
SOFTWARE MODIFICATIONS
======================
Moonstop Software Ltd reserves the right to modify, suspend or discontinue, temporarily or permanently, the Software or any service to which it connects, with or without notice and without liability to you.
SOFTWARE UPDATES
================
Updates, bug fixes and patches (collectively "Updates") that enhance the Software may be provided by Moonstop Software Ltd. You agree that Moonstop Software Ltd has no obligation to provide any Updates, and that all Updates to the Software shall be deemed an integral part of the Software and subject to the provisions of this Agreement.
YOUR FEEDBACK
=============
Moonstop Software Ltd welcomes feedback, comments, suggestions, enhancements and ideas (collectively "Feedback") about the Software. You agree that Moonstop Software Ltd shall own all Feedback you provide to Moonstop Software Ltd regarding the Software, and that Moonstop Software Ltd shall be free to use, modify or publish the Feedback without limitation, and without any compensation or attribution to you.
WARRANTY DISCLAIMERS
====================
The Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties that the Software is free of defects,
merchantable, fit for a particular purpose or non-infringing. You bear the risk of using it.
Should the Software prove defective in any way, you and not the Licensor or its suppliers assume the entire cost of any service and repair.
LIMITATION OF LIABILITY
=======================
In no event shall Moonstop Software Ltd be liable for direct, indirect, special, incidental, or consequential damages arising out of the use of the Software. It also applies even if Moonstop Software Ltd knew or should have known about the possibility of the damages. The above limitation or exclusion may not apply to you because your country may not allow the exclusion or limitation of incidental, consequential or other damages.
GOVERNING LAW
=============
This Agreement will be governed and interpreted by the laws of the United Kingdom. Your use of the Software may also be subject to laws of the jurisdiction where you are located.
SEVERABILITY
============
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
AMENDMENTS TO THIS AGREEMENT
============================
Moonstop Software Ltd reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
TERMINATION
===========
You may terminate this Agreement at any time by destroying the Software and all copies. This Agreement will terminate immediately, without further notice, if you fail to comply with any term or condition of this Agreement. Upon termination of this Agreement, you must cease all use of the Software and destroy all copies of the Software. All Moonstop Software Ltd's legal rights or remedies, and all obligations of restrictions of use of the Software under this Agreement will survive the termination of this Agreement.
