Please read this agreement before installing or using Velis (“Software”). The Software is provided by Liber Holley (“Licensor”). By downloading, installing, launching, or using the Software, you acknowledge that you have read, understood, and agreed to this agreement.

1. License Grant

Subject to your compliance with this agreement, the Licensor grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software through Steam on your personal or professional devices.

The Software is licensed, not sold. All rights not expressly granted under this agreement are reserved by the Licensor.

2. Permitted Use

You may use the Software to browse, organize, and manage images, videos, audio, documents, and other files that you legally own or are authorized to process. The Software may be used for personal purposes and lawful commercial creative work.

3. Restrictions

Unless expressly permitted by applicable law, you may not:

• Copy, sell, rent, sublicense, or distribute the Software;
  
• Circumvent technical protection measures used by the Software, Steam, or related content;
  
• Decompile, disassemble, or reverse engineer the Software;
  
• Use the Software for illegal, infringing, or harmful activities;
  
• Remove or alter copyright, trademark, or ownership notices.

4. User Files and Intellectual Property

You retain all existing rights to files imported, viewed, or managed with the Software. The Licensor does not acquire ownership of your files merely because you use the Software.

You are responsible for ensuring that you have the necessary rights to process such files and remain solely responsible for their content and use.

5. Local File Operations and Backups

The Software primarily processes data on your device. Operations such as renaming, moving, importing, overwriting, deleting, or restoring items may directly modify actual files stored on your disk.

You are responsible for maintaining appropriate backups before performing important operations. The Licensor is not responsible for data loss caused by user error, hardware failure, operating-system failure, third-party software, storage corruption, or circumstances outside the Licensor’s reasonable control.

6. Indexes, Caches, and Settings

To provide thumbnails, search, tags, ratings, notes, and related features, the Software may create local indexes, databases, caches, and configuration files. Uninstalling the Software may not automatically remove all user data or library caches.

7. Steam Services and Third-Party Components

The purchase, download, updating, and certain features of the Software may rely on Steam. Your use of Steam is also governed by the Steam Subscriber Agreement and Valve’s privacy policy.

The Software may include properly licensed third-party or open-source components. Those components remain subject to their respective license terms.

8. Updates, Features, and Additional Content

The Licensor may provide updates, fixes, new features, or paid additional content. Updates may modify, add, or remove features. Additional content may require a separate purchase and may be subject to additional terms.

9. Privacy

Velis is primarily intended for local media management. Information related to your Steam account, purchases, achievements, or other Steam features may be processed by Valve under its privacy policy.

Unless expressly stated otherwise, the Licensor does not acquire ownership of the files you manage. The Software must not be treated as a cloud backup service.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation.

The Licensor does not warrant that the Software will be error-free, compatible with every file format or device, or capable of recovering lost, corrupted, or deleted data.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor will not be liable for indirect, incidental, special, punitive, or consequential damages arising from the use of or inability to use the Software, including loss of data, profits, or business.

Nothing in this agreement excludes or limits rights or liabilities that cannot legally be excluded or limited.

12. Termination

The Licensor may terminate your license if you materially breach this agreement. Upon termination, you must stop using and uninstall the Software. Provisions concerning intellectual property, disclaimers, and limitations of liability will survive termination.

13. Governing Law

This agreement is governed by the laws applicable to the Licensor, without limiting any mandatory consumer-protection rights available in your place of residence. Disputes must be submitted to a court or authority with lawful jurisdiction.

14. Changes and Contact

The Licensor may update this agreement where permitted by law. Material changes will be communicated through Steam, the Software, or another reasonable method.
