C.O.T.E Technology & Development Studios - User Agreement

This User Agreement ("Agreement") governs matters related to your access and use of products, content, and services provided by C.O.T.E Technology & Development Studios ("C.O.T.E"), including but not limited to games ("Games"), associated content, mod tools, upgrades, patches, features, launcher programs, websites, forums, posts, events organized by C.O.T.E Technology & Development Studios, and any services offered by C.O.T.E Technology & Development Studios (hereinafter collectively referred to as "Services").

By using the Services, you legally acknowledge that the terms of this Agreement are binding upon you. If you do not agree to the terms and conditions of this Agreement, refrain from using the Services and do not sign this agreement.

Below is a summary of the relevant Agreement, followed by the complete text of the agreement. When a user marks "I Accept" for this agreement, it is considered as an official acceptance of the terms.


Summary:
Your use of our services signifies your acceptance of this Agreement.

The services are licensed for non-commercial purposes in your name, and C.O.T.E reserves all rights related to the services.

In case of a violation of the terms and conditions of this Agreement, legal action may be taken, and a service may be suspended or terminated!

While we strive to provide impeccable service, we may not always offer flawless service on the first attempt; therefore, you acknowledge that changes may be made to the services later.

Unfortunately, issues may arise, and access to our services or updates may not always be available, requiring us to take certain measures to protect you or others.

Although User-Generated Content ("UGC") is permitted, you are reminded that you are solely responsible for the content you create, and by providing us with the right to use such content. User-generated content (UGC) will be provided free of charge and will only include materials allowed for use within the relevant scope.

While you can stream games on broadcasting platforms, please note that the inclusion of certain game music in your broadcasts is not permitted.

Abide by the laws and rules, be a respectful C.O.T.E user and a good person, and act in accordance with the rules and community guidelines related to our services.

In the future, if not today, you may be required to install and use the C.O.T.E Launcher program to use and operate the services. Without using the launcher program, access to the services may not be possible.

This Agreement will remain in effect until terminated.

The services will have features and functions defined in the relevant product documentation and are liable only for direct damages not exceeding the service fee paid for the respective service.


The world is changing, and it will be considered changed when we publish an updated new version of this Agreement on our website and/or within the scope of the relevant service.

Full Text of the Agreement

License:
The services are licensed to you in your name or provided for your access, and they are not sold to you. C.O.T.E Technology & Development Studios (hereinafter referred to as "C.O.T.E"), or licensors, own all rights, title, and interest in all intellectual property rights, proprietary rights, and all other rights and benefits related to the services, and they reserve these rights.
Upon your compliance with the terms and conditions of this Agreement and as long as you continue to comply, C.O.T.E grants you a personal, limited, non-transferable, revocable, and non-exclusive license for the purpose of using the services you have properly accessed for non-commercial purposes (unless expressly agreed otherwise in this Agreement or explicitly agreed between you and C.O.T.E).

No C.O.T.E product grants a permanent license right to the end user. Unauthorized sharing, especially through Music content, may lead to legal issues.

C.O.T.E Account:
Some services may require you to have a C.O.T.E Account. You can create a C.O.T.E Account by registering with a valid email address and providing the necessary information accurately, honestly, and completely.

Changes to the Services:
C.O.T.E may, at various times, release patches or updates, modify a service, or make changes to features or content (hereinafter collectively referred to as "Changes"). These Changes may be made, for example, to enhance the gaming experience, readjust balance mechanisms based on observed deficiencies in the gaming experience, improve service stability, or generally enhance the services. Information regarding such Changes, such as patch notes, will be provided to you. You may need to install or apply these Changes to your device to continue using the services. These Changes within the relevant service may sometimes cause discomfort (but, on the other hand, satisfaction), glitches (but, on the other hand, progress), or restrictions (but, on the other hand, more access to content or expansion of content scope) and may affect the gaming experience.


Access to Services:
C.O.T.E makes no commitment or warranty that any of the services will be available in an uninterrupted manner, everywhere, at any time, or to any extent, or that a specific service will continue to be provided completely or partially for a certain period or will continue to be subject to Changes.
To protect you, other users, or C.O.T.E, various measures may be taken in relation to your use of the services (such as your C.O.T.E Account), including restricting your access to the services, resetting your C.O.T.E Account password, and deleting data, with or without prior notice.

User-Generated Content (UGC):
We encourage all individuals in our community, including modders, to create User-Generated Content ("UGC"), and we support you in this regard! Under this Agreement, we grant you the right to create, use, and publicly access UGC for non-commercial purposes. However, as the creator of the content, you are responsible for the content you create, and this content must not contain any material that is illegal, infringes on intellectual property rights protected by law, violates copyright, etc., or violates any contractual provisions or is generally contrary to common sense.
The scope of the rights you may have over your own created UGC is limited to the new, original content you have created as part of the relevant UGC and does not grant you any rights regarding services or content created or made accessible by third parties or C.O.T.E through the services.

When you make your UGC publicly accessible, you grant us and our affiliates a non-exclusive, royalty-free, sublicensable, irrevocable, and perpetually valid right to use, develop, reproduce, modify, create derivative works from the content, distribute, transmit, publish, or otherwise disclose, publicly display, perform publicly, and commercialize it in any way or form, in any medium or forum, without any reference to you or any payment. This right will continue to be effective even after the termination or termination of this Agreement.

Unless otherwise specified, UGC production and publication are strictly limited to non-commercial purposes. UGC will be available for free and accessible for free (e.g., you cannot place your UGC behind any payment wall); however, you can accept donations through a Patreon account or similar services or through sponsorships for the time you spend creating content.

C.O.T.E has no obligation to use, distribute, or continue to distribute your UGC and may, at our sole discretion, limit the scope of your UGC content or remove such content.

If you encounter any content created by another user that you find disturbing, we recommend that you report the relevant content to us by filling out a request form (ticket) through our support portal. You can access the support portal using the following URL address: http://cotestudios.com In the request form, please provide as much detailed information as possible, including, but not limited to: the content you find disturbing, the username of the person exposing you to the content, the type of platform you are using, the game version, the relevant game ID/SGID number (if applicable), and any other relevant information that can help us identify the content and/or user identity.

Publishing C.O.T.E Games:
Within the scope of our services, you can create videos containing gameplay, game music, sounds, and screenshots ("C.O.T.E Game Contents"), livestream on platforms such as Twitch, YouTube, Facebook, Twitter, Bilibili, Reddit, or create artwork, and share them with the public for free, provided that your content is freely accessible to everyone (e.g., you cannot place your content behind any payment wall). The commercialization of such content is only allowed through the official affiliates, advertising, or partnership programs of these websites. Commercializing C.O.T.E Game Contents in any other way is strictly prohibited.
Unless instructed otherwise in writing by us or our partners, you may use C.O.T.E Game Contents obtained only from officially publicly released games or officially released promotional materials (e.g., product introduction videos, etc.).

It is mandatory to include your creative contribution and commentary when using C.O.T.E Game Contents. Creating videos and visuals solely containing copies of C.O.T.E Game Contents without your creative contribution is not allowed.

If you want to use the intellectual property rights of a third party (e.g., music) along with C.O.T.E Game Contents, you are responsible for obtaining all necessary permissions from the relevant third parties. We would like to remind you that we may not be the ultimate rights holder for some game music or songs included in our services. As this may vary from game to game, please note that some situations may deem certain music content objectionable, leading to the likely removal of the relevant video. In addition, game music can never be shared or distributed separately from the game visuals. Also, music obtained from the following soundtrack/channels cannot be used:

You are not allowed to make explicit or implicit statements that your videos are officially associated with us, sponsored, supported, or endorsed by us, except in cases where we explicitly instruct otherwise.


Code of Conduct:
When using the Services, you acknowledge and agree to abide by our Code of Conduct. Within the scope of these rules, you are not allowed to engage in the following behaviors and activities:

Violating legal provisions (e.g., infringing intellectual property rights in any way).

Malicious use or abuse of a Service/Services or engaging in actions that could harm them (e.g., disrupting any service, unauthorized interference with servers, using or developing game cheat software or applications, distributing or selling them, etc.).

Engaging in actions that could negatively impact C.O.T.E, other C.O.T.E users, or others (e.g., sharing spam content on forums, sharing personal data, harassing users, displaying aggressive attitudes and behaviors, adding unnecessary comments to old forum threads to "bump" them, sharing inappropriate content such as NSFW, or disrupting peace and order).

Supporting, encouraging, or participating in any way in the prohibited activities described above.

7a. Pursuant to this agreement; publicly defaming the C.O.T.E brand, its products and services, its publishers, and/or producers on any social media platform, during broadcasts (streams), or in Steam store reviews (and/or any social media platform) can lead to legal consequences against you.

Please note that these rules are in place to ensure a respectful and positive environment for all users. Violation of these rules may result in legal actions and could lead to the termination of your access to the Services

Games and Game Launch Platform (Launcher):
Before starting to play any game in the future, you may be required to install and use the most up-to-date version of the C.O.T.E Launcher program on your device. You acknowledge that C.O.T.E Launcher and/or game updates, upgrades, and additional features can be downloaded and installed, and you agree that C.O.T.E has no obligation to support older versions of C.O.T.E Launcher or the game after an update, upgrade, and/or additional features are made available. Failure to install current updates may result in the inability to access the game or services, and they may become unplayable.
You can install a game on different computers; however, you can only run a game on one computer/device at a time.

Term and Termination:
This Agreement will remain in effect until terminated by you or C.O.T.E. C.O.T.E may terminate this Agreement if it determines that you have violated the terms and conditions of this Agreement. If applicable, C.O.T.E will provide you with notice of the termination decision. Upon notice, you must immediately cease using the Service/Services. As a result of termination, you may lose your C.O.T.E Account name, username, achievements, forum badges, and other content associated with your C.O.T.E Account or the use of Services.
C.O.T.E may, prior to terminating this Agreement, provide you with a warning notice, suspend or modify your access to a Service, remove or delete any content that violates the terms of this Agreement, or block your access to certain Services associated with your account or device. If such measures are taken, you will not be entitled to any refund, and no refund will be provided.

You have the right to terminate this Agreement at any time. If you terminate this Agreement, you must immediately cease using the Service/Services.

C.O.T.E may terminate any Service by providing thirty (30) days' notice via email or within the affected Service (e.g., through a pop-up message). A terminated Service will no longer receive updates or be subject to changes, and no guarantee is provided that the Service will continue to work on newer or updated operating systems, or that the Service will be available for download.

All sections of this Agreement that, by their nature, are intended to survive termination or expiration, will continue to be effective after termination.


10. Data Privacy and Use of Data:

11. Warranty and Limitation of Liability:
The limited warranty provided under this Agreement is offered in addition to any legal rights that cannot be excluded or limited under applicable law, and it does not derogate from your legal rights.

C.O.T.E guarantees that the Services will generally have the features and functionalities as described in the most current relevant product documentation at the time of your purchase or use of the respective Service.

C.O.T.E does not provide any warranty that the Service or your ability to use the Service will be uninterrupted or error-free. To the maximum extent permitted by applicable law, all implied warranties, including but not limited to merchantability or fitness for a particular purpose, are disclaimed. In no event shall C.O.T.E, its affiliates, or licensors be liable for any special, incidental, indirect, or consequential damages arising out of or in connection with the use or inability to use the Service, including but not limited to damages for loss of commercial profits, business interruption, loss of commercial information, or any other pecuniary loss, whether or not foreseeable and even if C.O.T.E has been advised of the possibility of such damages, regardless of the legal or equitable theory upon which the claim is based. This limitation will apply even if the above stated warranty fails of its essential purpose.

12. Applicable Law and Dispute Resolution:
This Agreement is governed by and concluded in accordance with the laws of the Republic of Turkey, excluding its conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods.

Many disputes, claims, or controversies arising out of or relating to this Agreement ("Disputes") may be resolved by contacting C.O.T.E through the support team via the http://cotestudios.com website or the contact@cotestudios.com email. Therefore, you agree to make a good faith effort to resolve any Dispute informally for a period of 30 days before initiating any legal proceedings in any court. In cases where Disputes cannot be resolved through informal negotiations, you agree that, to the extent permitted by applicable law, such Dispute will be finally settled exclusively by arbitration between the parties.

If arbitration is not applicable, you agree that the Dispute will be exclusively resolved by the courts of Turkiye (Republic of Turkiye). Regardless of the resolution method of the Dispute, you waive any right to a jury trial or to participate in a class action regarding this Agreement.

13. Updating of this Agreement:
We may amend this Agreement from time to time by posting a revised version on our website. The amendments will become effective 30 days after they are posted; therefore, it is recommended to review the agreement periodically. Your continued use of the Service after the changes are effective signifies your acceptance of the revised Agreement.
