END USER LICENSE AGREEMENT (EULA)
This End User License Agreement (the “Agreement”) is entered into by and between RED BLOOM LIMITED, a company registered and existing under the laws of [HongKong], with its principal place of business located at [UNIT 9A YALLY IND BLDG, NO 6 YIP FAT ST ABERDEEN, HONG KONG] (hereinafter referred to as "Licensor"), and you, the end user (hereinafter referred to as “Licensee”).
1. License Grant
1.1 Grant of License
Subject to the terms and conditions of this Agreement, Licensor grants the Licensee a non-exclusive, non-transferable, limited license to use the software (the “Software”) provided by Licensor for personal, non-commercial use, solely for the purpose as described in the documentation or terms related to the Software.
1.2 Scope of Use
Licensee may not:
• Distribute, sublicense, or otherwise make the Software available to third parties, except as expressly authorized in writing by the Licensor.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Use the Software for any unlawful purpose.
2. Ownership
2.1 Intellectual Property
The Software, including any associated documentation, source code, and content, is owned by RED BLOOM LIMITED or its licensors and is protected by intellectual property laws. This Agreement does not grant Licensee any ownership rights in the Software.
3. Restrictions
3.1 No Unauthorized Distribution
Licensee may not rent, lease, or sell the Software or any copy thereof, except as expressly authorized by the Licensor.
3.2 No Modifications
Licensee may not modify or create derivative works based on the Software.
4. Term and Termination
4.1 Term
This Agreement will remain in effect until terminated by either party.
4.2 Termination for Breach
Licensor may terminate this Agreement immediately if the Licensee violates any of the terms and conditions outlined in this Agreement.
4.3 Effects of Termination
Upon termination, Licensee must immediately cease using the Software and destroy all copies of the Software in their possession.
5. Limitation of Liability
5.1 Limitation of Liability
Licensor’s total liability to Licensee for any claims arising from this Agreement will be limited to the amount Licensee paid for the Software, if any. In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business.
6. Warranty Disclaimer
6.1 No Warranty
The Software is provided “as is,” without any warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
7. Governing Law
7.1 Applicable Law
This Agreement will be governed by and construed in accordance with the laws of [HongKong], without regard to its conflict of laws principles.
7.2 Dispute Resolution
Any disputes arising under this Agreement will be resolved through binding arbitration in [HongKong], and the judgment rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
8. Miscellaneous
8.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, proposals, or communications.
8.2 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
