END USER LICENSE AGREEMENT
IMPORTANT, PLEASE READ CAREFULLY
Please read these End User License Agreement carefully before installing this Software Product. By installing, copying, and/or otherwise using the Software Product you agree to be bound by the terms of any and all EULAs that pertain to its use.
1. END USER LICENSE AGREEMENT.
This end-user license agreement (“Znk Games”) is a legal agreement between you (either an individual or a single entity), hereinafter sometimes referred to as “You,” “End User” or “Licensee,” and Freaky Clown : Town Mystery Interactive AB (“Freaky Clown : Town Mystery”) for the Freaky Clown : Town Mystery software product accompanying this Znk Games which includes video game related software and may include associated media, printed media, and online or electronic documentation (collectively, “Software Product” or, alternatively, the “Game”). Any and all uses of the Software Product are governed by the terms of this Znk Games. If you do not agree to the terms of this Znk Games, you should not install, copy, download or use the Software Product and in which case you should contact your vendor regarding its return policy. If you are purchasing this Software Product from a Freaky Clown : Town Mystery or third party distributor website (a “Website”) and do not agree, click “disagree/decline.” You agree that your use of the software acknowledges that you have read this agreement, understand it, and agree to be bound by its terms and conditions, and that you represent and warrant that you are an adult and are either accepting this Znk Games on behalf of yourself or on behalf of your child or ward, as the case may be. If the End User has not attained the age of majority, he/she is obliged to obtain the necessary permission in the form required by law from the parents or other legal representatives.
2. OWNERSHIP.
It is hereby understood and agreed that, as between you and Freaky Clown : Town Mystery is the owner of all right titles, ownership rights, intellectual property rights, and interests in and to the Software Product and all copies thereof (including without limitation any titles, computer codes, themes, objects, characters, character names, stories, dialog, catchphrases, locations, concepts, artworks, character inventories, structural or landscape designs, animations, sounds, musical compositions and recordings, audio-visual effects, storylines, character likenesses, methods of operation, moral rights, and any related documentation), regardless of the media or form of the original download, whether online, by disk or otherwise. You, as Licensee, through your downloading, installing, copying, or use of this product do not acquire any ownership rights to the Software Product. The Game Software is protected by the copyright laws of the United States, international copyright treaties and conventions, the United States and common law trademark laws, and other laws. All rights are reserved worldwide. The Game Software contains certain materials licensed by Znk Games from others and Znk Games's licensors may protect their rights in the event of any violation of this Agreement.
3. LICENSE CONDITIONS AND RESTRICTIONS
You agree to only use the Game Software, or any part of it, in a manner that is consistent with this License and you SHALL NOT:
(a) without written permission from Znk Games, use, advertise or exploit in any manner the Game Software or any of its parts commercially, including but not limited to use at a cyber (Internet) café, computer gaming center or any other location-based site;
(b) without a separate, additional license from Znk Games, use the Game Software or permit the use of the Game Software, on more than one computer, game console, handheld device or PDA at the same time;
(c) use the Game Software, or permit use of the Game Software, in a network, multi-user arrangement or remote access arrangement, including any online use, except as otherwise explicitly permitted by Znk Games in writing;
(d) make copies of the Game Software or any part thereof, except that you may make one (1) copy of the Game Software for backup or archival purposes, or make copies of the materials accompanying the Game Software for non-commercial backup and reference only;
(e) sell, rent, lease, license, distribute, upload to any Internet server or web site, or otherwise transfer any portion of this Game Software or any copies without the express prior written consent of Znk Games. Notwithstanding the foregoing, you may permanently transfer all of your rights and obligations under the License to another person for non-commercial use by physically transferring the original Game Software media (e.g., the CD-ROM or DVD you purchased), all original packaging, and all manuals or other documentation distributed with the Game Software; provided, however, that you permanently delete all copies and installations of the Game Software in your possession or control, and that the recipient agrees to the terms of this Agreement. You shall be solely responsible for any taxes, fees, duties, withholdings, charges, and assessments that may be due in connection with such transfer.
(f) reverse engineer, derive source code, modify, decompile, disassemble, or create derivative works of the Game Software, in whole or in part (except as the applicable law expressly permits, in which case all and any lawful modifications, adaptations, improvements, etc., and all copyrights and moral rights therein, shall be deemed assigned to, and shall belong to, vest in and be the exclusive property of Znk Games and/or its licensors on creation, in any event);
(g) remove, disable or circumvent any security protections or any technical measures that control access to the Game Software;
(h) remove, modify, deface or circumvent any proprietary notices or labels contained on or within the Game Software;
(i) export or re-export the Game Software or any copy or adaptation in violation of any applicable laws or regulations; or
(j) create data or executable programs that mimic data or functionality in the Game Software.
Furthermore, you agree that you shall abide by the safety information, maintenance instructions or other relevant notices contained in the manual that is included with the Game Software.
4. GRANT OF LIMITED NON-EXCLUSIVE LICENCE
For so long as you are in compliance with the provisions of this Znk Games, SEL grants you the non-exclusive limited right and licence to:
(a) install one (1) copy of the Software Product into and use it on a single hard drive which is under your custody and control and which meets the specifications referred to in the manual for your own private and domestic use only;
(b) transfer the Software Product from one hard drive to another PROVIDED it is used on only one (1) hard drive at any one time and any hard drive on which it is used is under your custody and control at the time of use;
(c) transfer the Software Product (complete with all components and documentation) and the benefit of this Znk Games to another person PROVIDED such person has agreed to accept the terms of this Znk Games and you contemporaneously transfer any permitted copies of the Software Product you may have made to that person or destroy all copies of the Software Product not transferred. If any transferee does not accept such terms then this Znk Games shall automatically terminate. Upon such transfer, you undertake to delete this Software Product from your hard drive and the licence granted to you under this Znk Games shall automatically and immediately terminate.
All rights not expressly granted hereunder are, to the maximum extent permitted by law, reserved to SEL and its licensors. Your rights of use under this Znk Games are strictly conditional upon your observance of the terms and conditions contained in this Znk Games at all times.
In some cases, your rights to use the Software Product may be subject to a limitation on the number of activations or registrations of the Software Product as advised at the time of sale or on the packaging for the Software Product. In such a case, your ability to transfer the Software Product in the manner permitted in paragraphs 2.1(b) and (c) above may not be possible where the maximum number of activations of the Software Product as are permitted has been reached.
5. GAME SOFTWARE UPDATES AND PATCHES
Znk Games may provide updates, patches and other modifications to the Game Software that must be installed for the user to continue to play the game properly or at all. Znk Games may update, patch or modify the Game Software remotely and access the Game Software residing on your machine for such purpose, and you hereby grant to Znk Games the right to deploy and apply such patches, updates and modifications. All provisions of this Agreement that refer to the “Game Software” shall also include all such patches, updates and modifications.
6. INTELLECTUAL PROPERTY RIGHTS.
(a). As between you and Freaky Clown : Town Mystery shall retain all right, title, and interest in the Software Product and to any modifications or improvements made thereto, and any upgrades, updates or Documentation provided to End User.
(b). You acknowledge Freaky Clown : Town Mystery’s exclusive rights in the Software Product and that the Software Product is unique and original to Freaky Clown : Town Mystery and that Freaky Clown : Town Mystery is owner thereof. Unless otherwise permitted by law, End User shall not, at any time during or after the effective Term of the Agreement, dispute or contest, directly or indirectly, Freaky Clown : Town Mystery’s exclusive right and title to the Software Product or the validity thereof.
(c). You shall not attempt to develop any Software Product that contains the “look and feel” of any of the Software Product.
(d). You hereby expressly agree not to extract information, reverse engineer, disassemble, decompile, or translate the Software Product, or otherwise attempt to derive the source code of the Software Product, except to the extent allowed under any applicable law or allowed by the rule of the Game. In the event that such activities are permitted by applicable law, any information you, or your authorized agent, discover shall be promptly disclosed to Freaky Clown : Town Mystery and shall be deemed the confidential information of Freaky Clown : Town Mystery.
7. EXPORT LAW ASSURANCES
You may not export or re-export the Software Product except as authorized by United States law and the laws of the jurisdiction in which the Software Product was obtained. In particular, but without limitation, the Software Product may not be exported or re-exported (a) into or to a nation or a resident of any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By installing or using any component of the Software Product, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list.
8. IN-GAME ADVERTISING
The Software Product may incorporate technology (which may be provided by third party service providers which enables advertising to be uploaded into the Software Product on your device, and changed while the Software Product is being played on-line. In order that these advertising providers are able to direct advertising appropriate to your Software Product and geographic region, as well as to the correct location within the game, certain data and information may be retrieved and retained by the third party advertising provider including your I.P. address, geographic location, in-game position, and information concerning the appearance of advertising visible during your gameplay (for example, the length of time an item of advertising was visible, the dimensions of the advertisements). In addition, the ad networks may assign a unique identification number that is stored on your device and which is used to monitor and calculate the number of views of dynamic advertising during gameplay. None of the information collected for this purpose including the identification number can be used to identify you.
9. DEFECTS AND SECURITY WARNING.
(a). Without limiting the foregoing, Znk Games does not ensure continuous, error-free, secure or virus-free operation of the software product.
(b). Warning: by installation and/or use of the software product, you may be installing into your unit software that is alleged or may be alleged to compromise the security of your unit, its operating system and files. If at any time you wish to de-install the software product because you believe the security of your unit, operating system or files may be or has been compromised, you may need to execute a separate routine to de-install the feature that may be compromising your security. Damages you may recover for any such alleged security breaches are subject to the limitation of liability.
10. INJUNCTION
Because Znk Games would be irreparably damaged if the terms of this Agreement were not specifically enforced, you agree that Znk Games shall be entitled, without bond or other security or proof of damages, to take such action as may be required, including seeking an injunction and other equitable remedies, in addition to any other remedies available to it under the applicable law.
11. INDEMNIFICATION
You agree to indemnify, defend and hold harmless SEL, its partners, affiliates, contractors, licensors, officers, directors, employee and agents from all claims, damages, costs and expenses (including reasonable legal fees) arising directly or indirectly from your acts or omissions in connection with using the Software Product or any breach by you of the terms of this Znk Games.
12. GOVERNING LAW
This agreement, and the rights and obligations of you and Znk Games concerning the game software, shall be construed and enforced under california law as such law is applied to agreements between california residents entered into and to be performed within california, without regard to california’s conflicts of law principles. To the extent any claims are governed by federal law, such federal law also shall be applicable. You and Znk Games consent to the exclusive personal jurisdiction of the state and federal courts located in los angeles, california, in connection with any claim or dispute concerning this agreement or the game software, and you and Znk Games waive any objection based on the venue or inconvenience of such forum. If you are from outside the united states, the application of the united nations convention on contracts for the international sale of goods is expressly excluded.
Plugin Licences
The Wrapper Software incorporates certain third party plug-ins, which are governed by the open source licenses and other provisions ascribed to them below. The application of these licenses is limited strictly only to the plugins.
Redistribution and use in source and binary forms, with or without modification, are permitted provided that the following conditions are met:
- Redistributions of source code must retain the above copyright notice, this list of conditions and the following disclaimer.
- Redistributions in binary form must reproduce the above copyright notice, this list of conditions and the following disclaimer in the documentation and/or other materials provided with the distribution.

13. TERM AND TERMINATION
Without prejudice to any other rights of Znk Games, the License shall remain in effect for as long as you use, operate or run the Game. The License shall terminate automatically if you fail to comply with its terms and conditions. In such an event, you must uninstall and destroy all copies of the Game Software. You may also terminate the License at any time by destroying the Game Software and uninstalling it from your computer(s) or other applicable hardware. The Sections entitled “Ownership,” “License Conditions and Restrictions,” “Governing Law,” “Term and Termination,” “Game Software Update And Patches,” “Export Law Assurances”,“Intellectual Property Rights”, “In Gaming Advertising,” “Injunction,” “Indemnity,” “Defects And Security Warning,” and “Miscellaneous” shall survive any termination of this License.
14. MISCELLANEOUS
This Agreement represents the complete agreement between you and Znk Games concerning the License and your rights to use the Game Software and supersedes all prior agreements and representations, warranties or understandings between you and Znk Games (whether negligently or innocently made but excluding those made fraudulently), regarding the same subject matter. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and not be affected.

Plugin Licences
The Wrapper Software incorporates certain third party plug-ins, which are governed by the open source licenses and other provisions ascribed to them below. The application of these licenses is limited strictly only to the plugins.

13. TERM AND TERMINATION
Without prejudice to any other rights of Znk Games, the License shall remain in effect for as long as you use, operate or run the Game. The License shall terminate automatically if you fail to comply with its terms and conditions. In such an event, you must uninstall and destroy all copies of the Game Software. You may also terminate the License at any time by destroying the Game Software and uninstalling it from your computer(s) or other applicable hardware. The Sections entitled “Ownership,” “License Conditions and Restrictions,” “Governing Law,” “Term and Termination,” “Game Software Update And Patches,” “Export Law Assurances”,“Intellectual Property Rights”, “In Gaming Advertising,” “Injunction,” “Indemnity,” “Defects And Security Warning,” and “Miscellaneous” shall survive any termination of this License.
14. MISCELLANEOUS
This Agreement represents the complete agreement between you and Znk Games concerning the License and your rights to use the Game Software and supersedes all prior agreements and representations, warranties or understandings between you and Znk Games (whether negligently or innocently made but excluding those made fraudulently), regarding the same subject matter. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and not be affected.
