END USER LICENSE AGREEMENT - EULA
This end user license agreement (hereinafter "license agreement") is the contractual base between you (hereinafter "Customer") and MAGIX Software GmbH, Quedlinburger Str. 1, 10589 Berlin, Deutschland (hereinafter "MAGIX") for use of software manufactured by MAGIX, including all content and documentation. By using the software, you accept the conditions of this license agreement. If you do not accept this license agreement, you are not authorized to install the software.
1. Definitions:
The following definitions shall apply to this license agreement:
1.1 "Music Maker Free" is the free basic version of the software including all contents and features licensed by this agreement.
1.2 "Additional features" as defined in this agreement are feature enhancements not included in Music Maker Free such as instruments, plug-ins and other features, including all updates.
1.3 "Contents" as defined in this agreement are all media, music files, sounds (except instruments), audio loops and other contents.
1.4 "Additional Content" as defined in this agreement are all contents that aren't included in Music Maker Free.
1.5 "Add-Ons" as defined in this agreement are additional features and additional content.
1.6 "Software" as defined in this agreement is Music Maker Free and all add-ons.
1.7 "Computer" refers to any physical or virtual device that can process data with the assistance of a programmable calculation specification (e.g. PC, laptop, workstation, an instance of a virtual machine, etc.) in conjunction with a CPU or multi-core processor. The following applies to networks: if several network Computers have access to a server on which Music Maker Free is installed, each of these network Computers (workstations) counts as a Computer for the purpose of this license agreement. In such a case, a separate license is required for each network Computer.
1.8 "Commercial Use", for the purpose of this agreement, constitutes any commercial use and any use of Music Maker Free for the direct or indirect purpose of financial benefit (e.g. by means of sale, licensing, advertising, etc.).
2. Installation and Registration; Connection to the Internet:
2.1 Music Maker Free can be installed and used without registration or activation.
2.2 In order to use add-ons, a one-time registration and creation of a user account are required. Add-ons can only be used if you're in possession of a user account and the corresponding installation is linked to your user account. An Internet connection is required for registration. Providing third persons with your user account login information is prohibited.
2.3 If a function requires a free or fee-based activation (e.g. codec activation), then it can be activated over the Internet, should this become necessary due to replacement of hardware / CPU.
3. Rights of use:
3.1 Under the conditions laid out in this agreement and for the duration of the contract, MAGIX grants you (the customer) the non-exclusive and non-transferable right not limited by space to use the respective MAGIX Product under the conditions described in this license agreement:
3.1.1 Music Maker Free: You have the right to install Music Maker Free on as many computers as you like and to make as many copies as necessary to do so. You can use Music Maker Free on any number of computers simultaneously.
3.1.2 Additional features: You may install the additional features on as many computers as you like and create necessary copies, however, the additional features maybe used only on one computer simultaneously.
3.1.3 Additional Content: You are entitled to install additional content on any number of computers and create copies required hereto, however the additional content may only be used on one computer simultaneously.
3.2 Commercial Use: Music Maker Free and additional features may be used commercially. Additional content may not be used commercially, however commercial use licenses can be purchased separately.
3.3 Exploitation of Contents outside the scope of personally created work, i.e. separate from the work results achieved with the Software, is prohibited in all cases.
3.4 MAGIX retains ownership, copyright and other proprietary rights related to the Software. You (the customer) acknowledge MAGIX's ownership as well as all proprietary rights to the Software, backup copies and documentation. The buyer of the Software is solely responsible for the proper contractual use of the MAGIX Product.
4. License Limitations
4.1 With the exception of actions permitted in Section 3 of this agreement, the software with its associated documentation may not be copied as a whole or in part. Creation of a Software copy for back-up purposes is excluded from this provision.
4.2 The Software as well as the written documentation cannot be commercially rented out or commercially lent in any other form to a third party in exchange for payment. This also applies to lending of the Software in a pre-installed form on a Computer that is commercially offered to third parties in exchange for payment.
4.3 In accordance with Sec. 69d & e UrhG (German Copyright Act), you may not make any changes to the licensed Software, personally or by third parties, unless it is necessary for interoperability of the software with other programs. You may not disassemble the Software into its components, nor modify the object code, decode, copy or use it in any way other than that foreseen in the contract.
5. Transfer and subsidiary agreements
5.1 as long as it is not stated to the contrary in this license agreement, the transfer of rights and obligations under this license contract to third parties is only permitted on authorization from MAGIX with the exception of personal transfer of the legally acquired MAGIX Product by the rightful owner.
5.2 Transfer of Additional Content/Additional Features assumes the destruction of all backup copies and deletion of all installations, additionally deactivating the Additional Content/Additional Features in the user account.
6. Registration and data protection
Registration with MAGIX Software GmbH is required to use the software. This enables us to ensure that the original software is being used and that your license is being used according to the license terms and conditions. Registration is in addition required for billing purposes in relation to our licensors and and to enable you to purchase content and features via the In-App Store. You are therefore required to register the product using your email address and serial number, thereby creating a user account, in the program dialog that automatically appears during the installation process. 7. Guarantee and liability
7.1 You are aware that state of the art Software programs and associated documentation may contain errors, and that it is not possible to develop data processing programs in such a way that they are error-free for all application conditions and all customer requirements, or error-free in conjunction with all third-party programs and hardware. MAGIX provides no assurances of particular features and usability related to planned customer-specific applications.
7.2 In case of paid products and services, MAGIX is only liable to slight negligible damages incurred by it or its assistant(s) if a duty is violated, even if it is extra-contractual, the adherence to which is of special importance in order to be in compliance with contractual use (Cardinal duty), as well in cases of damage to life, body and health.
7.3 For non-observance of a cardinal obligation, the liability is limited to the damage which must be typically expected within the scope of this agreement if there is no intention or gross negligence or if SIMPLITEC must incur liability because of fatal injury, physical injury or health hazards.
7.4 MAGIX shall not be liable for damage which can be controlled by the other contracting party or which the other contracting party could have prevented by taking measures which can be reasonably expected. MAGIX is liable for data loss only to the extent of costs incurred during restoration if backups are available.
7.5 In any event, MAGIX's liability is limited to four times the amount paid for the license fee by the customer. This exclusion does not apply to damage caused through intent or gross negligence on the part of MAGIX.
7.6 In case of paid products and services, the guarantee against deficiency in material and defects in title is limited to fraudulent concealment of defects by MAGIX in consideration of free licensing of the product. Otherwise, liability of MAGIX is limited to instances of premeditation and gross negligence in consideration of the free licensing.
7.7 Statutory liability in case of damages pursuant to the Product Liability Act remains unaffected. A change in the burden of proof to the disadvantage of the customer is related to the foregoing provision.
8. License conditions of other manufacturers
If the Software contains additional applications or contents with a different copyright holder, or should the MAGIX Product contain links to third parties, then compliance with the terms of use and license conditions of the third party is compulsory. If the software contains open-source license Software or Contents, the respective open-source license terms and conditions shall apply to these components, for example if they are edited and distributed. You can view the respective licensing terms and conditions in the file supplied.
9. Support:
MAGIX offers electronic Internet support during the warranty period. This encompasses clarification of installation questions and installation problems by Internet or email. The rendering of support is at the sole discretion of MAGIX and is not connected with any guarantee or warranty.
10. Other:
10.1 This agreement constitutes the entire agreement of the parties regarding the contract purpose. Collateral agreements shall not exist. No verbal or written statements made by MAGIX or any MAGIX employee can alter or question the validity of this license agreement.
10.2 Should one or more of the conditions in this agreement be or become invalid, this will not affect the validity of the remaining agreement. A substitute provision will replace the invalid condition, such as comes closest to the intended purpose. The contract is subject to the law of the Federal Republic of Germany.

This end user license agreement (hereinafter "license agreement") is the contractual base between you (hereinafter "Customer") and MAGIX Software GmbH, Quedlinburger Str. 1, 10589 Berlin, Deutschland (hereinafter "MAGIX") for use of software manufactured by MAGIX, including all content and documentation. By using the software, you accept the conditions of this license agreement. If you do not accept this license agreement, you are not authorized to install the software.
1. Definitions:
The following definitions shall apply to this license agreement:
1.1 "Music Maker Free" is the free basic version of the software including all contents and features licensed by this agreement.
1.2 "Additional features" as defined in this agreement are feature enhancements not included in Music Maker Free such as instruments, plug-ins and other features, including all updates.
1.3 "Contents" as defined in this agreement are all media, music files, sounds (except instruments), audio loops and other contents.
1.4 "Additional Content" as defined in this agreement are all contents that aren't included in Music Maker Free.
1.5 "Add-Ons" as defined in this agreement are additional features and additional content.
1.6 "Software" as defined in this agreement is Music Maker Free and all add-ons.
1.7 "Computer" refers to any physical or virtual device that can process data with the assistance of a programmable calculation specification (e.g. PC, laptop, workstation, an instance of a virtual machine, etc.) in conjunction with a CPU or multi-core processor. The following applies to networks: if several network Computers have access to a server on which Music Maker Free is installed, each of these network Computers (workstations) counts as a Computer for the purpose of this license agreement. In such a case, a separate license is required for each network Computer.
1.8 "Commercial Use", for the purpose of this agreement, constitutes any commercial use and any use of Music Maker Free for the direct or indirect purpose of financial benefit (e.g. by means of sale, licensing, advertising, etc.).
2. Installation and Registration; Connection to the Internet:
2.1 Music Maker Free can be installed and used without registration or activation.
2.2 In order to use add-ons, a one-time registration and creation of a user account are required. Add-ons can only be used if you're in possession of a user account and the corresponding installation is linked to your user account. An Internet connection is required for registration. Providing third persons with your user account login information is prohibited.
2.3 If a function requires a free or fee-based activation (e.g. codec activation), then it can be activated over the Internet, should this become necessary due to replacement of hardware / CPU.
3. Rights of use:
3.1 Under the conditions laid out in this agreement and for the duration of the contract, MAGIX grants you (the customer) the non-exclusive and non-transferable right not limited by space to use the respective MAGIX Product under the conditions described in this license agreement:
3.1.1 Music Maker Free: You have the right to install Music Maker Free on as many computers as you like and to make as many copies as necessary to do so. You can use Music Maker Free on any number of computers simultaneously.
3.1.2 Additional features: You may install the additional features on as many computers as you like and create necessary copies, however, the additional features maybe used only on one computer simultaneously.
3.1.3 Additional Content: You are entitled to install additional content on any number of computers and create copies required hereto, however the additional content may only be used on one computer simultaneously.
3.2 Commercial Use: Music Maker Free and additional features may be used commercially. Additional content may not be used commercially, however commercial use licenses can be purchased separately.
3.3 Exploitation of Contents outside the scope of personally created work, i.e. separate from the work results achieved with the Software, is prohibited in all cases.
3.4 MAGIX retains ownership, copyright and other proprietary rights related to the Software. You (the customer) acknowledge MAGIX's ownership as well as all proprietary rights to the Software, backup copies and documentation. The buyer of the Software is solely responsible for the proper contractual use of the MAGIX Product.
4. License Limitations
4.1 With the exception of actions permitted in Section 3 of this agreement, the software with its associated documentation may not be copied as a whole or in part. Creation of a Software copy for back-up purposes is excluded from this provision.
4.2 The Software as well as the written documentation cannot be commercially rented out or commercially lent in any other form to a third party in exchange for payment. This also applies to lending of the Software in a pre-installed form on a Computer that is commercially offered to third parties in exchange for payment.
4.3 In accordance with Sec. 69d & e UrhG (German Copyright Act), you may not make any changes to the licensed Software, personally or by third parties, unless it is necessary for interoperability of the software with other programs. You may not disassemble the Software into its components, nor modify the object code, decode, copy or use it in any way other than that foreseen in the contract.
5. Transfer and subsidiary agreements
5.1 as long as it is not stated to the contrary in this license agreement, the transfer of rights and obligations under this license contract to third parties is only permitted on authorization from MAGIX with the exception of personal transfer of the legally acquired MAGIX Product by the rightful owner.
5.2 Transfer of Additional Content/Additional Features assumes the destruction of all backup copies and deletion of all installations, additionally deactivating the Additional Content/Additional Features in the user account.
6. Registration and data protection
Registration with MAGIX Software GmbH is required to use the software. This enables us to ensure that the original software is being used and that your license is being used according to the license terms and conditions. Registration is in addition required for billing purposes in relation to our licensors and and to enable you to purchase content and features via the In-App Store. You are therefore required to register the product using your email address and serial number, thereby creating a user account, in the program dialog that automatically appears during the installation process. 7. Guarantee and liability
7.1 You are aware that state of the art Software programs and associated documentation may contain errors, and that it is not possible to develop data processing programs in such a way that they are error-free for all application conditions and all customer requirements, or error-free in conjunction with all third-party programs and hardware. MAGIX provides no assurances of particular features and usability related to planned customer-specific applications.
7.2 In case of paid products and services, MAGIX is only liable to slight negligible damages incurred by it or its assistant(s) if a duty is violated, even if it is extra-contractual, the adherence to which is of special importance in order to be in compliance with contractual use (Cardinal duty), as well in cases of damage to life, body and health.
7.3 For non-observance of a cardinal obligation, the liability is limited to the damage which must be typically expected within the scope of this agreement if there is no intention or gross negligence or if SIMPLITEC must incur liability because of fatal injury, physical injury or health hazards.
7.4 MAGIX shall not be liable for damage which can be controlled by the other contracting party or which the other contracting party could have prevented by taking measures which can be reasonably expected. MAGIX is liable for data loss only to the extent of costs incurred during restoration if backups are available.
7.5 In any event, MAGIX's liability is limited to four times the amount paid for the license fee by the customer. This exclusion does not apply to damage caused through intent or gross negligence on the part of MAGIX.
7.6 In case of paid products and services, the guarantee against deficiency in material and defects in title is limited to fraudulent concealment of defects by MAGIX in consideration of free licensing of the product. Otherwise, liability of MAGIX is limited to instances of premeditation and gross negligence in consideration of the free licensing.
7.7 Statutory liability in case of damages pursuant to the Product Liability Act remains unaffected. A change in the burden of proof to the disadvantage of the customer is related to the foregoing provision.
8. License conditions of other manufacturers
If the Software contains additional applications or contents with a different copyright holder, or should the MAGIX Product contain links to third parties, then compliance with the terms of use and license conditions of the third party is compulsory. If the software contains open-source license Software or Contents, the respective open-source license terms and conditions shall apply to these components, for example if they are edited and distributed. You can view the respective licensing terms and conditions in the file supplied.
9. Support:
MAGIX offers electronic Internet support during the warranty period. This encompasses clarification of installation questions and installation problems by Internet or email. The rendering of support is at the sole discretion of MAGIX and is not connected with any guarantee or warranty.
10. Other:
10.1 This agreement constitutes the entire agreement of the parties regarding the contract purpose. Collateral agreements shall not exist. No verbal or written statements made by MAGIX or any MAGIX employee can alter or question the validity of this license agreement.
10.2 Should one or more of the conditions in this agreement be or become invalid, this will not affect the validity of the remaining agreement. A substitute provision will replace the invalid condition, such as comes closest to the intended purpose. The contract is subject to the law of the Federal Republic of Germany.
