EULA – END USER LICENSE AGREEMENT
PLEASE READ THIS AGREEMENT CAREFULLY. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, YOU ARE NOT PERMITTED TO OPEN, DOWNLOAD, INSTALL, COPY, OR USE THE SOFTWARE.
TO ENTER INTO THIS LICENSE AGREEMENT, YOU MUST BE AN ADULT OF THE LEGAL AGE OF MAJORITY IN YOUR COUNTRY OF RESIDENCE. YOU ARE LEGALLY AND FINANCIALLY RESPONSIBLE FOR ALL ACTIONS USING OR ACCESSING OUR SOFTWARE, INCLUDING THE ACTIONS OF ANYONE YOU ALLOW TO ACCESS TO YOUR ACCOUNT. YOU AFFIRM THAT YOU HAVE REACHED THE LEGAL AGE OF MAJORITY, UNDERSTAND AND ACCEPT THIS AGREEMENT (INCLUDING ITS DISPUTE RESOLUTION TERMS). IF YOU ARE UNDER THE LEGAL AGE OF MAJORITY, YOUR PARENT OR LEGAL GUARDIAN MUST CONSENT TO THIS AGREEMENT.
THE SOFTWARE IS LICENSED, NOT SOLD. BY OPENING, DOWNLOADING, INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, AND ANY OTHER MATERIALS INCLUDED WITH THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT WITH THE UNITED STATES COMPANY STRAWBERRYGAMESTUDIOS, LLC AND AFFILIATES ("LICENSOR," “COMPANY,” “WE,” “US, “Strawberry Game Studios” OR “OUR”).
AGREEMENT
This agreement is for the use of the video game “Jack-O-Lantern Covers Of Darkness” and is entered into between Strawberry Game Studios, LLC and you, the end-user (the "Licensee" or "You"). The Agreement is effective beginning on the date on which you, the Licensee, first download, install, load or otherwise use “Jack-O-Lantern Covers Of Darkness”, this agreement supersedes any and all prior agreements.
If you do not agree with the terms and conditions set forth in this Agreement you are not authorized to use Jack-O-Lantern Covers Of Darkness.
AGREEMENT CONDITIONS
Below are the general agreement conditions.
Limited License
Subject to your agreement to, and full compliance with, the terms and provisions of this Agreement, Strawberry Game Studios hereby grants to Licensee a limited, personal, revocable, non-transferable and non-exclusive right (the "License") during the Term, as defined below, to use Jack-O-Lantern Covers Of Darkness. Unless said otherwise you can use only one copy per game purchase on one computer only.
Intellectual Property Rights
Jack-O-Lantern Covers Of Darkness and all copyrights, trademarks, and all other intellectual property rights related are owned by Strawberry Game Studios, LLC (or its licensors, as applicable) and are protected by United States and international copyright law and other applicable law. Licensee shall have no ownership or intellectual property rights in or to Jack-O-Lantern Covers Of Darkness.
Reservation of Rights
Strawberry Game Studios (or its licensors, as applicable) expressly reserves all rights not granted in this Agreement. You are not receiving any right or license here-under to copy, distribute, publicly perform, display or make any other use of the Jack-O-Lantern Covers Of Darkness. Including but not limited to trademarks, copyrights of Strawberry Game Studios, LLC or other companies.
Restrictions of Software Use
Any use by Licensee of Jack-O-Lantern Covers Of Darkness not expressly permitted is expressly prohibited and any such unauthorized use shall constitute a material breach of this Agreement by Licensee.
This prohibition includes (but is not limited to):
1. to copy, reproduce, manufacture or distribute (free of charge or otherwise) Jack-O-Lantern Covers Of Darkness, in whole or in part, in any media;
2. to transfer, sell, sub-license or lease any rights in and to Jack-O-Lantern Covers Of Darkness to third parties;
3. to use Jack-O-Lantern Covers Of Darkness contrary to morality or applicable law;
4. to modify Jack-O-Lantern Covers Of Darkness or create any derived work;
5. to commercially exploit the software;
6. de-compile, reverse engineer or disassemble Jack-O-Lantern Covers Of Darkness.
Licensee shall not alter or remove any legal notices, such as trademark and copyright notices, affixed by us on or within Jack-O-Lantern Covers Of Darkness.
Term and Termination
The term of this Agreement and the license granted herein begin on the date on which you first download, install, load or otherwise use Jack-O-Lantern Covers Of Darkness and shall continue in perpetuity until terminated in accordance with this Agreement.
We reserve the right to terminate the online features of Jack-O-Lantern Covers Of Darkness with 30 days’ notice to be announced on either the forums or our website.
Notwithstanding anything to the contrary herein this Agreement and the License granted to you herein shall immediately terminate, without the requirement of any notice from us to Licensee, upon Licensee's failure to comply with or breach of any term or provision of this Agreement.
Upon the termination or expiration of this Agreement, any and all rights of Licensee here-under shall terminate without prejudice to any rights or claims Licensee shall have no right to use Jack-O-Lantern Covers Of Darkness in any manner.
Licensee shall immediately destroy all copies of Jack-O-Lantern Covers Of Darkness in its possession, custody or control, and all rights granted here-under shall revert, without notice, to and be vested in us.
Termination of this Agreement shall not create any liability against us and shall not relieve Licensee from any liability which arises prior to termination. The provisions of this Agreement which by their terms or sense are intended to survive shall survive cancellation, expiration or termination of this Agreement.
Support
We are not required to provide any support for Jack-O-Lantern Covers Of Darkness. Any support by us is subject to its sole discretion and may be terminated at any time.
Platform Restrictions
The usage of this software and all its content is limited to Steam.
Broadcast License
This copy of the game does not give you broadcasting rights, includes but not limited to social media and video sharing websites. Any content on the internet which belongs to us in any format and does not have a broadcast license signed by us to display said content will be considered as a breach of this agreement. Under the terms of this agreement we are allowed to contact any platform regarding our content with a take-down request and you will comply without resistance, and be liable for damages.
Breach of the Agreement
In the event of a breach of this agreement by us, licensee's sole remedy shall be to terminate this agreement by delivering written notice of termination to Strawberry Game Studios.
In the event of a breach by licensee of this agreement, Strawberry Game Studios (and its licensors, as applicable) may pursue all remedies to which we are entitled under applicable law and/or this agreement, including without limitation the compensation for any and all damages which may arise in connection with such breach.
Licensee agrees that licensee's unauthorized use of Jack-O-Lantern Covers Of Darkness, or any part thereof, may immediately and irreparably damage Strawberry Game Studios such that Strawberry Game Studios could not be adequately compensated by a monetary award, and in such event, and at our option, we shall be entitled to an injunctive order, in addition to all other remedies available including a monetary award, to prohibit such unauthorized use, without the necessity of Strawberry Game Studios posting bond or other security.
Limitation of Liability
To the maximum extent permitted by applicable law, you acknowledge and agree that your sole and exclusive remedy for any dispute with us or our licensors is to stop our services, and terminate this agreement, along with all content.
We are not liable for any for incidental or consequential damages arising from your use of our services, software, the internet or any other claim related in anyway to your use of our services. In any scenario in which limitation of liability does not apply, our liability shall be limited to the full extent permitted by law.
We do not endorse, warrant or guarantee any third-party product or service offered through Strawberry Game Studios and will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services. Notwithstanding the foregoing, nothing contained in this term of service limits Strawberry Game Studios liability to you for fraudulent misrepresentations, death or personal injury caused by our negligence, or any other liability to the extent such liability cannot be excluded or limited as a matter of applicable law.
Licensee's warranties
Licensee hereby agrees to indemnify, defend, and hold harmless Strawberry Game Studios and/or their successors, assigns, officers, directors, members, employees, agents, representatives and licensees (but not including licensee) from and against all damages, claims, losses, causes of action and lawsuits arising from and/or relating to a breach of this agreement by licensee.
