END USER LICENSE AGREEMENT
This end user license agreement ("License") is a legal agreement between you (either an individual or a single entity) and Jeremy Lupo dba Perichron Interactive ("Perichron Interactive") governing your use of the UpMove program that accompanies this License, and all related services, documentation, updates, upgrades, libraries, and art and sound assets that are not distributed with a separate license (the "Software").
The Software is the property of Perichron Interactive, and is protected by United States copyright laws, international copyright treaties, and all other applicable law. The Software is licensed, not sold.
By installing, copying, or otherwise using the Software, you agree to the terms of this License, and to be bound by the License. If you do not agree to the terms of the License, do not install or use the Software. Conditional upon your abiding by the terms of the License, Perichron Interactive grants you a non-exclusive, non-transferable, revocable license to use the Software in accordance with the terms of this License.
1. SCOPE OF LICENSE. You are permitted to:
1.1 Install and use the Software on any number of computers that you control for your own non-commercial purposes;
1.2. Make copies of the Software for your own archival purposes only.
2.RESTRICTIONS. You will undertake not to:
2.1. Copy, transfer, or distribute the Software or any portion thereof except as provided for by this License;
2.2. Transmit or upload the Software or any portion thereof to any network, file server, electronic bulletin board, peer-to-peer file-sharing system, or other multi-use computer system;
2.3. Decompile, disassemble, or reverse engineer the Software or any portion thereof;
2.4. Modify, translate, convert, adapt, or alter the Software or any portion thereof;
2.5. Merge the Software or any portion thereof with, or allow the Software or any portion thereof to be combined with or be incorporated into, any other programs;
2.6. Remove or tamper with any trademark, copyright notice, logo, or other notice included in or with the Software;
2.7. Lease, rent, sub-license, or loan the Software or any portion thereof;
2.8. Use the Software or any portion thereof for any commercial purposes including, without limitation, the use of the Software or any portion thereof in a cyber-café, arcade, gaming center, or other venue, and the inclusion of the Software or any portion thereof in any commercial product(s) intended for sale, manufacture, or distribution.
3. WARRANTY DISCLAIMER. The Software is provided "as-is". Perichron Interactive expressly disclaims any warranty for the Software, expressed or implied, including, without limitation, the warranties of merchantability, fitness for any purpose, and noninfringement. You assume the entire risk of using or installing the software.
4. DISCLAIMER OF LIABILITY. In no event shall Perichron Interactive be for any damages whatsoever (including, without limitation, loss of income, loss of information, loss of business profits or contracts, loss of reputation or goodwill, loss of the use of money or savings, and damage to or corruption of data and hardware), direct, indirect, incidental, special, exemplary, or consequential, which may result from using or installing the Software, even if Perichron Interactive is aware of the possibility of such damages.
5. COPYRIGHT NOTICE. All title and copyrights in and to the Software are owned by Perichron Interactive, or are provided in accordance with the appropriate licenses. This License is not a waiver of any rights under U.S. Copyright law or any other state, federal or international law. You acknowledge that you have no rights in or to the Software other than the right to use it in accordance with this License.
6. TERM. This License is effective from your date of purchase or, if the Software was offered without a purchase price, from the first time you installed, loaded, ran, or placed or copied the Software onto your computer or storage device, and shall remain in force until terminated. You may terminated this License at any time by destroying the Software and any copies in any form. This License shall automatically be terminated if you breach any of its terms. Upon termination, all rights granted to you by the License cease, and you must immediately destroy the Software and any copies in any form that you control. All terms of this License that should, by their nature, survive termination shall survive termination, including, without limitation, warranty disclaimers, disclaimers of liability, and ownership provisions.
7. SEVERABILITY. If any of the terms of this License is held to be unenforceable, unlawful, or invalid, such term, insofar as it is unenforceable, unlawful, or invalid and only to that extent, will be severed from the remaining terms. All other terms of the License will continue in full force and effect.
8. AMENDMENTS. At its sole discretion, Perichron Interactive may modify or replace this License at any time by reasonable notice.
ACKNOWLEDGEMENT: YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS LICENSE, AND AGREE TO BE BOUND BY IT. YOU AGREE THAT THIS LICENSE REPRESENTS THE ENTIRE AGREEMENT BETWEEN YOU AND PERICHRON INTERACTIVE, AND THAT THIS LICENSE SUPERSEDES ANY PRIOR AGREEMENT, ARRANGEMENT, UNDERSTANDING, PROPOSAL, ENDORSEMENT, OR OTHER COMMUNICATION BETWEEN YOU AND PERICHRON INTERACTIVE, WHETHER ORAL OR IN WRITING.
