END USER LICENCE AGREEMENT (EULA)
This End User License Agreement (“EULA”) is a legal agreement between you and Grindstone s.r.o., with its registered seat at Pekná 13, Košice 040 01, Slovak Republic, ID No.: 48 258 121 (“Grindstone”, “we”, “us”, or “our”) for the game software entitled Die by the Blade (“Game”), including any associated media, online or electronic documentation and user-generated content. By installing, playing, copying, or otherwise using the Game, you agree to be bound by the terms of this EULA.
If you do not agree to the terms of this EULA, do not install or use the Game.
Intellectual Property
Subject to your compliance with this EULA, Grindstone grants you a limited, non-exclusive, non-transferable right to install and use the Game on your home computer or console device that you own or control, and solely for your personal (non-commercial) entertainment.
The Game is licensed, not sold. This EULA grants you no rights to copyright or other intellectual property in the Game. Grindstone and its licensors retain all right, title, and interest in the Game (including but not limited to, all characters, storyline, images, photographs, animations, video, music, text), and all related rights are reserved by Grindstone or its licensors.
You agree that by uploading, posting, or otherwise transmitting any user-generated content (including, but not limited to, texts, images, videos, or audio) to or through the Game, you automatically assign, to the extent permissible by applicable law, all right, title, and interest in and to such content to Grindstone. In the event that such assignment is not enforceable or effective for any reason, you hereby grant Grindstone an exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and incorporate in other works any submitted content (in whole or in part) in any form, media, or technology now known or later developed, without compensation to you. This includes the right to sublicense such rights to any third parties. You represent and warrant that you have the necessary rights to grant this license for any content you submit and that the use of such content by Grindstone will not infringe on the rights of any third party or violate any law.
Acceptable Use
By accepting this EULA, you agree not to use the Game in any manner that is illegal or not authorized by this EULA. You further agree to comply with all applicable laws and regulations in connection with your use of the Game.
You agree that you shall not: (a) exploit any part of the Game commercially or in return for any valuable consideration; (b) sell, lease, rent, license, distribute or otherwise transfer the Game without the approval of Grindstone; (c) reverse engineer, modify, decompile, create derivative works of or disassemble the Game (except to the extent that Grindstone is required by law to permit, and then only after notifying Grindstone of your intention to do so); or (d) circumvent, disable or remove any copy protection technology or copyright or trademark notices.
Code of Conduct
Grindstone is committed to creating a respectful and inclusive gaming environment that welcomes all players regardless of age, gender, race, sexuality, nationality, creed, or disability. In alignment with these values, the following behaviors are considered acceptable or unacceptable within the Game:
Acceptable Behavior:
Show respect to all players, embracing diversity and treating others with the same respect you would expect in return.
Welcome and support new players, remembering that everyone was a novice at some point.
Keep interactions appropriate for all audiences and refrain from using NSFW content.
Unacceptable Behavior:
Discrimination: Any form of marginalization or hateful language based on personal characteristics is strictly prohibited.
Harassment and bullying: Intimidation, bullying, or any targeted behavior meant to demean or upset individuals will not be tolerated.
Cheating and trolling: Play fairly without exploiting bugs, glitches, or using cheats or bots. Do not disrupt the gaming experience for others.
Impersonation: Pretending to be someone else to deceive or defraud is prohibited.
Illegal or dangerous activities: Do not engage in or encourage activities that are illegal or pose a risk to safety.
Exploitation: Scamming, deceptive practices, taking advantage of other players, or marketing your business within the Game are strictly prohibited.
If you witness any behavior in the Game that violates this EULA or is otherwise unacceptable, you may report this via our customer support channel. We will review reports and take action, which can escalate depending on the severity of the offense. Actions against accounts engaging in unacceptable behaviors may include warnings, temporary suspensions, or permanent termination of access to the Game and our services.
Online Services
The Game may include online services that allow you to interact with other players or access additional content. Grindstone does not guarantee uninterrupted or error-free access to these online services, and time periods during which they may be unavailable will not provide grounds for a refund. Downtimes, maintenance, or the discontinuation of online services are to be expected and shall not be seen as a breach of this EULA or as a basis for the end-user to request a refund or any form of compensation.
Updates and Support
Grindstone may, from time to time, provide updates or new content for the Game at its sole discretion. However, there is no obligation on Grindstone to provide any such updates or new content. The license granted under Section 1 of this EULA and all other terms and conditions in this EULA shall apply to any and all updates or new content provided for the Game.
The provisions of this EULA do not apply to any support services that might be provided by the store or platform from which the Game was purchased. Such support services, if any, shall be governed by separate terms and conditions agreed upon between you and the provider of the store or platform.
Data Protection
The use of the Game is also governed by Grindstone’s Privacy Policy, which is incorporated herein by reference. You can view the Privacy Policy on our website at https://www.dbtbgame.com/privacy-policy/.
Disclaimer of Warranties
The Game is made available, to the extent permissible by law, on an “as is” and “as available” basis. To the extent permissible by law, any warranties of any kind, express or implied, are excluded.
Limitation of Liability
Neither Grindstone, nor its parent, subsidiaries, affiliates, directors, or licensors shall be liable in any way for loss or damage of any kind resulting from your use of the Game, including but not limited to, loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damage or losses.
Distribution Platforms Terms
This EULA constitutes an agreement solely between you, the end-user, and Grindstone. It is not an agreement with any distribution platform from which the Game was purchased. Grindstone is solely responsible for the Game and its content.
This EULA complements, but does not replace, the terms that apply between you and distribution platforms. Game sales and refunds may be covered in the terms operated by the platform through which you purchased the Game.
The distribution platform from which you purchased the Game and its group companies are recognized as the intended third-party beneficiaries of this EULA, possessing the right to enforce this EULA's provisions against you.
Term
This EULA is effective until terminated. You may terminate this EULA at any time by permanently destroying all copies of the Game and related materials and documentation in your possession. Grindstone may terminate this EULA at any time should you fail to comply with the terms of this EULA. Upon termination, you must destroy all copies of the Game and related materials and documentation in your possession.
The provisions of this EULA that by their nature should survive termination shall survive termination, including, without limitation, provisions addressing license limitations and ownership, disclaimer of warranties, and limitation of liability.
Miscellaneous
This EULA shall be governed by and construed in accordance with the laws of the Slovak Republic and the Slovak courts have exclusive jurisdiction over any dispute concerning the Game or this EULA.
Any provision found unlawful by a court or regulator having jurisdiction shall be modified to the minimum extent necessary to ensure its enforceability and validity, but such severance shall have no effect on the enforceability of the remaining provisions of the EULA.
