1. Introduction:
PLEASE READ CAREFULLY BEFORE USING THIS PRODUCT: This End-user Licence Agreement (“EULA”) is a legal agreement between (a) you (either an individual or a single entity) and (b) MAGiCAL Projects UCL (“MAGiCAL Projects”) that governs your use of MissionMaker (“The Software Product”) made available by Duck Duck Zeus Ltd. (“DDZ”).
By clicking “I AGREE”, or by taking any step to install or use The Software Product, you agree to be bound by the terms of this EULA. If you do not accept the EULA terms, Do not use the software product.
2. Limited License:
DDZ grants you the following non-exclusive rights provided you agree to and comply with all the terms and conditions of this EULA:
a. Use. You may use The Software Product on your computer (or a teaching computer). You do not have the right to distribute The Software Product. You must download and agree to this license with a unique steam account per computer if You wish to use this software in a class, or training environment.
b. Reservation of Rights. The Software Product is licensed, not sold, to you by DDZ. MAGiCAL Projects own all right, title and interest in and to The Software Product and reserve all rights not expressly granted to You in this EULA. You agree to refrain from any action that would diminish such rights or would call them into question.
c. Third Party Software. Notwithstanding the terms and conditions of this EULA, all or any portion of The Software Product which constitutes Third Party Software, is licensed to you subject to the terms and conditions of the software license agreement accompanying such Third Party Software whether in the form of a discrete agreement, shrink wrap license or electronic license terms accepted at time of download. Use of the Third Party Software by you shall be governed entirely by the terms and conditions of such license.
3. Restrictions on Use:
You shall use The Software Product strictly in accordance with the terms of the EULA and shall not:
a. Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt The Software Product.
b. Make any modification, adaptation, improvement, enhancement, translation or derivative work from The Software Product.
c. Violate any applicable laws, rules or regulations in connection with Your access or use of The Software Product.
d. Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark of DDZ, MAGiCAL Projects, or its affiliates, partners, suppliers or the licensors of The Software Product.
e. Use the Software Product for any revenue generating endeavour, commercial enterprise, or other purpose for which it is not designed or intended.
f. Use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for any services, product of software offered by DDZ or MAGiCAL Projects.
g. Use The Software Product to send automated queries to any website or to send any unsolicited commercial e-mail.
h. Use any proprietary information or interfaces of DDZ or MAGiCAL Projects or other intellectual property of MAGiCAL Projects or DDZ in the design, development, manufacture, licensing or distribution of any applications, accessories or devices for use with The Software Product.
4. Termination of Use
a. This agreement is effective upon your acceptance of the Agreement, or upon your downloading, installing, accessing, and using The Software Product, even if you have not expressly accepted this Agreement. This Agreement shall continue in effect until expiration or termination. This Agreement will immediately terminate upon notice if You exceed the scope of license granted or otherwise fail to comply with Sections 2 or 3. For any other material breach under this Agreement, DDZ may terminate this Agreement upon 30 days written notice if You are in material breach and fail to cure such breach within the 30 day notice period. You may terminate this Agreement at any time by returning or certifying destruction of all copies of The Software Product used by You and providing written notice to DDZ.
b. Upon Termination of this Agreement or any Software license under this Agreement, You shall ensure that all use of the affected Software ceases, and shall return it to DDZ or if You obtained The Software Product electronically, certify the destruction of all copies of The Software Product used by You to DDZ’s reasonable satisfaction. Termination of this Agreement or any Software license granted under this Agreement will not affect Your obligation to pay for products shipped or licenses granted prior to termination, which amount shall immediately be payable the date of termination.
5. Limitation of Liability
a. UNDER NO CIRCUMSTANCES SHALL DDZ OR MAGiCAL Projects OR ITS AFFILIATES, PARTNERS, SUPPLIERS OF LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE PRODUCT AND ANY THIRD PARTY CONTENT AND SERVICES, WHETHER OR NOT THE DAMAGES WERE FORESEEABLE AND WHETHER OF NOT DDZ OR MAGiCAL Projects WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, MAGiCAL Projects and DDZ’s AGGREGATE LIABILITY TO YOU (WHETHER UNDER CONTRACT, TORT, STATUTE OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE PRODUCT. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
6. Warranty
a. The Software product is licensed “AS IS”. DDZ and MAGiCAL Projects disclaims any and all other warranties, whether express, implied, or statutory, including without limitation, and implied warrantied of the merchantability, satisfactory quality, fitness for a particular purpose, accuracy, timeliness, title, or non-infringement of third party rights, to the fullest extent authorised by the law. Without limiting the generality of the foregoing, DDZ and MAGiCAL Projects expressly disclaims all warranties of any kind for the Third Party Software and does not warrant that The Software Product will meet your requirements or that operation of The Software Product will be uninterrupted, timely, secure, or error free, that any defects or errors in the The Software Product will be corrected or that The Software Product will be compatible with future DDZ or MAGiCAL Projects products, or that any information of data stored or transmitted through The Software Package will not be lost, corrupted or destroyed. You assume responsibility for selecting The Software Product to achieve Your intended results, and for the results obtained from your use of The Software Product. You shall bear the entire risk as to the quality and the performance of The Software Product.
7. Copyright Infringement
a. You acknowledge that The Software Product and the Documentation are proprietary to DDZ and MAGiCAL Projects, and The Software Product and Documentation are protected under UK Copyright law and other intellectual property laws and international treaties. You further acknowledge and agree that, as between You and DDZ or MAGiCAL Projects, both companies and their third party licensors own and shall continue to own all right, title, and interest in and to The Software Product and Documentation, including associated intellectual property rights under copyright, trade secret, patent, or trademark laws.
b. Except for the limited, revocable license expressly granted to you herein, this Agreement does not grant you any ownership of other right or interest in or to The Software Product or the Documentation or any other intellectual property rights of DDZ or MAGiCAL Projects, whether by implication, estoppel, or otherwise.
c. Any and all trademarks or service marks that DDZ or MAGiCAL Projects uses in connection with The Software Product or with services rendered by DDZ or MAGiCAL Projects are marks owned by their respective companies. This Agreement does not grant you any right, license, or interest in such marks, and you shall not assert any right, license, or interest in such marks or any words or designs that are confusingly similar to such marks.
