Grant of License for Authorized Users. Subject to the terms and conditions of this End-User License Agreement ("EULA") and to the payment of all applicable royalties, COMPAÑÍA DE MEDIOS DIGITALES (CMD) S.A. (“CMD”) grants you (the "End User") a limited, nonexclusive, nontransferable license to install and use, for internal and / or private purposes only, the software distributed with this license (the "Software"), including any printed documents or documentation files accompanying the Software and documentation published by CMD (the "Documentation") on a single server (if the Software is server based) which can be only accessed by a number of users authorized by CMD, or on a single personal computer (if the software is based on a PC) (the "License").End User may also store or install one (1) backup copy of the Software on one additional computer for archival purposes. One (1) License shall not be shared for use on different computers or servers. If a serial number, password, license key or any other security device was provided to the End User for its use together with the Software, End User shall not share or transfer such safety device with or to any other Software user or any third party. Any other use of the Software by any third party, except as provided herein, is strictly prohibited and it is a violation of this EULA. Any maintenance of the Software (i.e. technical support and updates) will be provided pursuant to a separate Maintenance Agreement concluded between the End User and either CMD or any representative authorized by CMD.Ownership.End User does not have any property rights on the Software. Software, Documentation and all intellectual property rights associated therewith are and shall remain at all times the exclusive property of CMD and its subsidiaries. End User does not have any right, title or interest in the Software, Documentation or intellectual property associated therewith, except as expressly stated in this Agreement. This EULA does not grant to End User any rights in CMD’s trademarks or service brands, all of which remain the exclusive property of CMD and its subsidiaries. End User may not alter or remove any trademarks, service brands or other brands of the Software, Documentation or its associated packaging.Intellectual Property Law.Software and Documentation contain material that is protected by Intellectual Property Laws and by international treaty provisions. In accordance, End User shall not make copies of the same, except for (a) make copies of the Software as permitted above solely for backup or archival purposes, and (b) transfer the Software from digital media to hard drives provided that the Software is used only as specified in this EULA. End User may not copy the Documentation. End User must also maintain at all times, all trademarks provided in the Software, Documentation and associated packaging and any copies thereof. End User shall be obliged to ensure that any permitted copy of the Software is produced solely for such End User's benefit, that it is clearly marked on the copy and that the copy is subject to trademark and confidentiality, and to keep a written list of the number of copies and their place of storage.The copies of the Software are the property of CMD. All terms and conditions of this EULA shall also apply to such copies.Other restrictions. Assignment.This EULA grants to End User the right to use the Software for internal and / or private purposes only. End User may not use the Software to operate any subscription service, agency service (“service bureau”), SUPPLIER model for "Software as a Service" (SaaS) or any service with similar access based on fees to benefit any third party, without CMD prior written consent. End User must protect the Software and Documentation consistently with the rights set forth in this EULA. End User may not sublicense, modify, distribute, or create derivative works based on the Software or any part thereof. The End User may not reverse engineer, decompile, translate or adapt the Software nor may End User attempt to create the object code of the Software. End User acknowledges and agrees that the intellectual property associated with the Software and Documentation, and any other private information of commercial or technical nature concerning the Software developed by CMD and the Documentation disclosed to the End User in connection with this EULA constitute information and trade secrets owned by CMD, and End User agrees to keep such information strictly confidential.End User shall have no right to transfer or assign your rights or obligations under this EULA, in whole or in part, and any attempted transfer or assignment will be considered void and null.Violation of Intellectual Property Rights of Third Parties.CMD shall pay to End User the costs that are a direct consequence of an event (including without limitation reasonable attorneys fees) which may be incurred by End User in connection with any action or claim brought by a third party alleging that the Software or Documentation infringes the intellectual property rights of that third party, providing that:(a) End User sends to CMD an immediate written notice informing any of the above actions or claims;(b) End User shall allow CMD to assume and control the defense and settlement of such action or claim;(c) End User shall not prejudice the defense of the action or claim and shall not make any recognition with regard to liability and shall not undertake nor agree to any settlement of any action or claim without the prior written consent of CMD; and(d) End User shall provide assistance, documents, power-of-attorney and information to CMD as may be reasonably requested in connection with the action or claim and defense or settlement thereof.In spite of the above said, CMD shall have no liability to the End User for any claim:(a) arising from unauthorized use, reproduction or distribution of the Software;(b) arising out of any modification or alteration of the Software or Documentation by anyone other than CMD;(c) arising from your use of the Software in combination with any other software or equipment that have not been approved in writing by CMD; or(d) End User did not follow the reasonable written instructions of CMD.If CMD may consider that the Software violates or is being or may become subject to claims of intellectual property rights of a third party, they may choose, at their own expense and option, either to:(a) provide to End User the right to continue using the Software and Documentation in accordance with the provisions of this EULA;(b) make changes, modifications or adjustments to the Software or Documentation without incurring in a substantial decrease in performance or function so that the Software or Documentation that has incurred in violation does not violate these third party rights anymore;(c) replace the Software or Documentation with a substitute substantially similar; or(d) terminate this Agreement if none of (a), (b) or (c) may be attained ​​after exercising commercially reasonable efforts.Furthermore, if, by CMD own decision, the Software or Documentation violate or may violate intellectual property rights of a third party and such violation may discontinue use of the Software or Documentation by End User, CMD may, but will not be required to, choose to follow any of the above described options in Section (a) - (d).If CMD modifies or replaces the Software or Documentation, End User will have the same rights with respect thereto as under this EULA.THIS SECTION ESTABLISHES THE TOTAL LIABILITY OF CMD AND THE ONLY JUDICIAL OR EXTRAJUDICIAL REMEDIES AVAILABLE TO END USER FOR ANY VIOLATION OR ALLEGED VIOLATION OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY IN CONNECTION WITH THE SOFTWARE AND DOCUMENTATION.Limited Warranty.This warranty is extended only to the original End User of this License and not to any third parties who may have rights to claim or may declare to have such rights.SOFTWARE AND DOCUMENTATION ARE PROVIDED “AS IS”. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OF TITLE OR NON-INFRINGEMENT ARE HEREBY DISCLAIMED.Limitation of Liability.IN NO EVENT WILL CMD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES OF ANY KIND ARISING OUT OF ANY THEORY OF LIABILITY (INCLUDING CONTRACTUAL LIABILITY) INCLUDING WITHOUT LIMITATION, DAMAGES OR LOSSES FOR LOSS OF PROFITS, LOSS OF PRODUCTION OR EXPECTED SAVINGS, BUSINESS INTERRUPTION, LOSS OR CORRUPTION OF DATA OR BUSINESS INFORMATION, OR ANY OTHER MONETARY LOSSES, EVEN IF CMD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.EXCEPT FOR THE INDEMNITY COMMITMENTS RELATED TO THIRD PARTY CLAIMS REGARDING INTELLECTUAL PROPERTY, CMD TOTAL MAXIMUM LIABILITY UNDER THIS EULA (REGARDLESS OF THE TYPE OF LEGAL ACTION, WHETHER CONTRACTUAL, TORT, OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT PAID BY END USER TO CMD IN CONSIDERATION OF ROYALTIES FOR THE LICENSE TO WHICH THE SPECIFIC CLAIM REFERS. THIS LIMITATIONS AND EXCLUSIONS SHALL APPLY TO THE EXTENT PERMITTED BY LAW.Termination.This EULA shall remain in full force and effective until termination. End User may terminate this EULA at any time by destroying or returning to CMD all copies of the Software and Documentation under End User possession or within his control. CMD may terminate this EULA immediately at any time by written notice to End User if End User would have breached any of the terms and conditions of this EULA. According to the Notice of Termination, End User agrees to immediately destroy or return to CMD all copies of Software and Documentation and to certify in writing that all known copies, including backup copies, have been destroyed or returned to CMD. All provisions relating to confidentiality, proprietary rights, and non-disclosure shall survive the termination of this EULA.Addresses. Jurisdiction.- CMD: Colonia 170 - Buenos Aires - ArgentinaAny notification in connection to this Agreement to the above stated address shall be valid. This Agreement shall be construed under the laws of the Republic of Argentina and it is submitted to the jurisdiction of the ordinary commercial courts of the city of Buenos Aires, waiving any other jurisdiction that may correspond.
