STONE BLADE
END USER LICENSE AGREEMENT
Thank you for your interest in Solforge, digital trading card game ("Solforge"). Solforge is offered by Stone Blade Entertainment operating under the laws of the state of California. This End User License Agreement (“EULA”) is a legal agreement between you and Stone Blade governing your use of the Solforge Software(s) which may include associated software components, media (including art and card art assets associated or included with the software), printed materials, and "online" or electronic documentation (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. This EULA represents the entire agreement concerning the program between you and Stone Blade, and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the Software.
1. GRANT OF LICENSE.
The Software is licensed as follows:
(a) Installation and Use. Stone Blade grants you the right to install and use copies of the Software on a computer under your control running a validly licensed copy of the operating system for which the Software was designed [e.g., Windows XP, Windows ME, Windows Vista, Windows 7, Windows 8].
(b) Backup Copies. You may make one (1) copy of the Software for backup or archival purposes or as otherwise permitted by applicable law.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
(a) Maintenance of Intellectual Property Notices. You must not remove or alter any copyright, trademark or other intellectual property notices on any copies of the Software.
(b) Distribution. You may not distribute copies of the Software to third parties. Evaluation versions are available for download from the Steam Store.
(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
(d) Rental. You may not rent, lease, or lend the Software.
(e) Support Services. Stone Blade may provide you with support services related to the Software ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the Software and subject to the terms and conditions of this EULA.
(f) Compliance with Applicable Laws. You must comply with all applicable laws regarding use of the Software. In the event you are not in compliance with applicable laws, Stone Blade may immediately terminate your license to the Software.
(g) Export Control. You will comply with all applicable laws, rules, and regulations governing export of the Software, including but not limited to the laws of the United States of America. In particular, you will not export or re-export, directly or indirectly, separately or as a part of a system, the Software to any country in the event that an export license or other approval is required, without first obtaining such license or other approval.
3. TERMINATION
Without prejudice to any other rights, Stone Blade may terminate this EULA if you fail to comply with the terms and conditions of this EULA or any subsequent modifications to this EULA. In such event, you must destroy all copies of the Software in your possession.
4. INTELLECTUAL PROPERTY
You hereby acknowledge and agree that Stone Blade or its licensors or suppliers retain exclusive ownership of all right, title and interest in and to the Software, including but not limited to copyrights, trademarks, service marks, patents and other intellectual property rights (“Intellectual Property Rights”) embodied in or related to the Software or other associated materials. No Intellectual Property Rights are conveyed to you by virtue of this EULA. You further agree that you shall not use or permit any third party to use the Software or the ideas or concepts combined therein in connection with, or as a basis for, the development of any other products or technologies.
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
All rights not expressly granted are reserved by Stone Blade.?
5. NO WARRANTIE
Stone Blade expressly disclaims any warranty for the Software. The Software is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. Stone Blade does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software. Stone Blade makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Stone Blade further expressly disclaims any warranty or representation to Authorized Users or to any third party.?
6. LIMITATION OF LIABILITY?In no event shall Stone Blade be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the Software, even if Stone Blade has been advised of the possibility of such damages. In no event will Stone Blade be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Stone Blade shall have no liability with respect to the content of the Software or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
7. GENERAL
Except to the extent applicable law, if any, provides otherwise, this Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. If any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between Stone Blade and you relating to the subject matter herein, and shall not be modified except in writing signed by both parties.
