LICENCE TO USE THE GAME SOFTWARE
NOTICE TO USER: PLEASE READ THIS END USER LICENCE AGREEMENT ("Licence") CAREFULLY BEFORE INSTALLING FOOTBALL MANAGER™ 2013.
PLEASE READ the following information carefully as it sets out the terms upon which you are allowed by SEGA Europe Limited and its associated companies ("SEGA") and licensors including Sports Interactive Limited ("Sports Interactive") to use the Game Software incorporated in the game. Please inquire about anything you do not understand. If you are not eighteen (18) years of age, have your parents review this Licence.
BY INSTALLING, COPYING, AND/OR OTHERWISE USING THIS GAME SOFTWARE YOU AGREE TO BE BOUND BY THESE TERMS.
IF YOU AGREE TO THESE TERMS, click on the "I Accept" button at the bottom of this page to indicate your acceptance of these terms and understanding of the conditions of use of the Game Software.
IF YOU DO NOT AGREE TO THESE TERMS, click on the "I Do Not Accept" button at the bottom of this page. You may not use the Game Software and any right to use or install the software contained within this installation package will not be granted. If you are in any doubt please contact one of the customer service centres advertised in the information accompanying the Game Software. Please note that there may be a charge for the telephone call to the customer service centre.
1. Licence to use the Software
The Game Software is offered subject to your compliance with all of the terms and conditions contained herein and all other operating rules, policies and procedures. In addition, some applications offered through or in connection with the Game Software may be subject to additional terms and conditions promulgated by SEGA from time to time. Any material modifications to the Licence will also be brought to your attention by posting on http://www.sega.co.uk/legal/terms.php or http://www.sega.co.uk/legal/privacy.php. Such material modifications will be effective immediately, and will apply to disputes arising under the Licence from the date of posting forward. Your continued use of the Game Software after a modification has been made to the Licence constitutes your acceptance of such modification.
The term "Game Software" includes the game and all software included in the installation package or otherwise contained on the accompanying or associated media, together with any software associated with the online mode of the game, any printed materials, any online or electronic documentation and any and all copies and derivative works of such software and materials.
SEGA grants to you the non-exclusive, non-transferable, limited right and Licence to install and use one (1) copy of the Game Software solely for your personal and non-commercial use. This Licence shall also apply to any patches or updates you may obtain for the Software. IN ACCORDANCE WITH AND NOT INTENDING TO LIMIT ANY OF THE PROVISIONS OR PROTECTIONS SET FORTH HEREIN, DUPLICATION, COPYING OR ANY FORM OF REPRODUCTION OF THE GAME SOFTWARE OR RELATED INFORMATION, MATERIALS OR OTHER CONTENT TO ANY OTHER SERVER OR LOCATION FOR THE PURPOSES OF DUPLICATION, COPYING OR ANY OTHER FORM OF REPRODUCTION IS EXPRESSLY AND EXPLICITLY PROHIBITED. All rights not specifically transferred by this Licence remain with SEGA. The Game Software is licensed to you and not sold.
This Licence does not give you any title or ownership in the Game Software and should not be construed as a sale or transfer of any intellectual property rights to the Game Software.
2. Ownership and Rights
a) Game Software
You agree and acknowledge that all right, title, interest and ownership rights in any and all copyright, design right, database right, patents and any rights to inventions, know-how, trade and business names, trade secrets and trade marks (whether registered or unregistered) and any applications therefor and other intellectual property rights ("Intellectual Property Rights"), in or connected with the Game Software and any and all copies thereof (including in particular but not limited to any data, database, designs, titles, computer code, themes, objects, characters, character names, stories, dialogues, catch phrases, places, concepts, artwork, animation, sounds, music, audio-visual effects, text, methods of operation, moral rights and any related documentation) are owned by SEGA, Sports Interactive or its licensors. The Game Software contains certain licensed materials and SEGA, Sports Interactive or their licensors may protect their rights in the event of any violation of this Licence.
b) Trade Marks
Football Manager, the Football Manager logo, Sports Interactive and the Sports Interactive logo are trade marks of Sports Interactive in the United Kingdom and other countries. SEGA and the SEGA logo are trade marks or registered trade marks of SEGA. All rights reserved.
All other trade marks are the property of their respective owners and SEGA and Sports Interactive make no warranty or representation in respect of any trade mark.
In particular SEGA and Sports Interactive does not make any warranty or representation in relation to the names contained within the Game Software including without limitation the names of any Football club, player, manager, coach, physio, stadium, competition, organisation or association ("Football Data") all trade marks relating to which are the property of their respective owners. Sports Interactive and SEGA use the Football Data solely for the purposes of information regarding world Football and all such use is intended to be incidental to the operation of the Game Software. Save as expressly stated within the Game Software no Football player, club, personnel, stadia, competition, association or organisation endorses or is associated or connected with the Game Software in any way and SEGA and Sports Interactive makes no representation of any such endorsement, association or connection. The Game also contains quotes, statements and other information attributed to players and management which are created solely for the purposes of inclusion in the game. Such quotes, statements and information may be either fictitious or representative of subjective assessment by our research teams but in any event such content is not authorised or endorsed by the people or entities referred to in the Game.
All statistics contained within the Football Data are researched or computer generated and intended to be fair. However they are not intended to be and should not be relied upon or considered a true reflection of the abilities or performances of any individual club or player but a computerised interpretation of data given to it or generated by it.
In the event that any football player, club, association or organisation objects to its, his or her inclusion in the Game Software as Football Data or the content of any Football Data please notify SEGA or Sports Interactive by contacting one of the customer service centres advertised in the information accompanying the Game Software, whereupon Sports Interactive shall act reasonably and take such steps as are reasonably necessary to address any legitimate concerns. Please note that there may be a charge for the telephone call to the customer service centre.
Notwithstanding the foregoing, Sports Interactive and SEGA have used reasonable efforts to ensure compliance with all applicable laws and regulations.
c) Database
All copyright and database right in the database of real world Football Data contained within the Game Software ("Database") belongs to and vests in Sports Interactive, together with any and all modifications, improvements and updates to and edited versions of it.
The Databases is included and used in the Game Software under licence from Sports Interactive whose rights are hereby asserted and reserved.
The Database may only be used in and as part of the Game Software it is supplied with under this Licence for home, non-commercial and personal use or as expressly described on Sports Interactive’s web site at sigames.com/databaseterms and for no other purpose.
No person other than Sports Interactive and persons authorised by it in writing may:
• Use the Database independently of its game;
• Extract data from, re-utilise data in the Database for any purpose;
• Use the Database for the provision of services or information to any third party or for inclusion in any other product or service.
3. Use of the Game Software
You agree only to use the Game Software or any part of it in a manner which is consistent with this Licence and you SHALL NOT:
a) Without the written permission of SEGA use the Game Software or any part of it for commercial use, for example use at a Internet cafe, computer gaming centre or any other location-based site;
b) Without a further Licence, use the Game Software, or permit the use of the Game Software, on more than one computer, game console, handheld device or PDA at the same time;
c) Make copies of the Game Software or any part thereof;
d) Use the Game Software, or permit use of the Game Software, in a network, multi-user arrangement or remote access arrangement, including any online use, except as otherwise explicitly provided by SEGA and subject to acceptance of the terms and conditions of use;
e) Sell, rent, lease, license, distribute or otherwise transfer this Game Software or any copies without the express prior written consent of SEGA;
f) Reverse engineer, derive source code, modify, decompile, disassemble, or create derivative works of the Game Software modify, adapt, merge, translate, decompile or disassemble the Game Software or any part of it (save as the applicable law expressly permits whereupon all and any modification, adaptations, improvements etc shall belong to, vest in and be the exclusive property of Sports Interactive on creation in any event);
g) Remove, disable or circumvent any proprietary notices or labels contained on or within the Game Software;
h) Export or re-export the Game Software or any copy or adaptation in violation of any applicable laws or regulations; and
i) Create data or executable programs which mimic data or functionality in the Game Software
j) Otherwise use, copy, transfer or distribute the Game Software or part of it except as expressly permitted by this Licence.
You agree to read and abide by the Game Disc Precautions and Maintenance Instructions and the Safety Information which is set out in the documentation accompanying the Game Software.
4. Football Manager Data Editor
In relation to any product (tangible or otherwise) which you create using the Football Manager Data Editor (the "Editor"), including but not limited to all modifications or additions to the Game Software and any form of derivative works (together, the "Works"), in consideration of the benefit you gain from the use of the Editor and Game Software the adequacy and sufficiency of which you hereby acknowledge), you hereby:-
• Assign to Sports Interactive by way of present and future assignment the entire rights existing now or at any time in the future in the Works throughout the world whether registered or unregistered absolutely for the full duration thereof and all renewals, reversions and extensions thereof;
• Grant to Sports Interactive the unlimited right to copy or adapt the Works either by or on behalf of Sports Interactive and consent to all uses, distribution and other exploitation of the Works by or on behalf of Sports Interactive on a worldwide basis in perpetuity by any and all means in any media without liability or acknowledgement to you;
• Irrevocably and unconditionally waive the benefits of any provision of law known as "moral rights" or any similar laws of any jurisdiction in relation to the Works now or hereafter brought into force;
• Warrant that you shall not use the Editor to infringe the Intellectual Property Rights, defame, impair or damage the reputation of any third party that will result in any potential liability to Sports Interactive and SEGA.
5. Social Networking
The Game Software contains the ability for you to upload video clips to YouTube, status updates to Facebook and Tweets to Twitter ("Social Networking Features").
If you use the Social Networking Features you certify that you comply with the YouTube Terms of Service located at http://www.youtube.com/t/terms, the Facebook Terms of Service located at http://www.facebook.com/terms.php and the Twitter Terms of Service located at http://twitter.com/tos.
For the avoidance of doubt Sports Interactive authorises you to upload content via the Social Networking Features incorporated in the Game Software.
6. Warranty
a) United States and Canada
LIMITED WARRANTY
Sega warrants to the original consumer purchaser of the Game Software that the recording medium on which the Game Software is recorded shall be free from defects in material and workmanship for a period of ninety (90) days from the original date of purchase (the "Limited Warranty"). If a defect covered by the Limited Warranty occurs during this ninety (90) day period, the defective Game Software shall be replaced free of charge. Please retain the original or a photocopy of your dated sales receipt to establish the date of purchase for in-warranty replacement. For replacement, return the product, with its original packaging and receipt, to the retailer from which the software was originally purchased. In the event that you cannot obtain a replacement from the retailer, please contact Sega to obtain support.
The provisions of the Limited Warranty are valid in the United States and Canada only.
Any applicable implied warranties, including warranties of merchantability and fitness for a particular purpose, are hereby limited to ninety (90) days from the date of purchase of the Game Software, and are subject to the conditions set forth herein. Some states and jurisdictions do not allow limitations on how long an implied warranty lasts, or the exclusion of consequential or incidental damages, and in such states and jurisdictions, Sega’s and its licensors’ liability shall be limited to the maximum extent permitted by law. You may have other rights that vary from state-to-state or from jurisdiction-to-jurisdiction.
LIMITATIONS ON DAMAGES
The Limited Warranty does not apply if the defects have been caused by your negligence, accident, unreasonable use, modification, tampering, or any other causes not related to defective materials or manufacturing workmanship, and Sega and its licensors shall not be held liable for any damage, injury or loss if caused as a result of any of these reasons. The Limited Warranty does not apply to used Game Software or to Game Software acquired through private transactions between individuals or purchased from online auction sites.
b) Rest of the World
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, YOU EXPRESSLY AGREE THAT THE USE OF THE GAME SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL MATERIALS AND GAME SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND SEGA HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE GAME SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (A) THE GAME SOFTWARE WILL MEET YOUR REQUIREMENTS, (B) THE GAME SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE GAME SOFTWARE WILL BE INTERAOPERABLE OR COMPATABILE WITH OTHER SOFTWARE, OR (D) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE GAME SOFTWARE WILL BE EFFECTIVE, ACCURATE OR RELIABLE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SEGA OR ITS AUTHORIZED REPRESENTATIVE(S) SHALL CREATE A WARRANTY.
AT SOME POINT IN THE FUTURE THE GAME SOFTWARE MAY GO OUT OF DATE, AND SEGA MAKES NO COMMITMENT TO UPDATE SUCH GAME SOFTWARE. THE DISCLAIMERS OF LIABILITY CONTAINED IN THIS SECTION APPLY TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF THE GAME SOFTWARE, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. THE USE OF THE GAME SOFTWARE OR THE DOWNLOADING OR OTHER ACQUISITION OF ANY MATERIALS THROUGH OR IN CONNECTION WITH THE GAME SOFTWARE IS DONE AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH ACTIVITIES.
SEGA MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE GAME SOFTWARE, INFORMATION AND/OR RELATED GRAPHICS PUBLISHED AS PART OF THE GAME SOFTWARE FOR ANY PURPOSE. THE GAME SOFTWARE, INFORMATION AND RELATED GRAPHICS PUBLISHED AS PART OF THE GAME SOFTWARE MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. You understand and agree that temporary interruptions of the Game Software may occur as normal events. You further understand and agree that we have no control over third party networks you may access in the course of the use of the Game Software, and therefore, delays and disruption of other network transmissions are completely beyond SEGA’s control.
BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, THE LIABILITY OF SEGA AND THE SEGA PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
7. Liability
SEGA, Sports Interactive and their licensors will not be held responsible for any special, punitive, incidental, indirect or consequential damages of any kind, including without limitation, those resulting from loss of use, loss of profits, whether or not you have been advised of the possibility of such damages, and on any theory of liability, arising out of or in connection with the use of the Game Software, including damages to property, loss of goodwill, computer, failure or malfunction and, to the extent permitted by law, damages for personal injuries, even if SEGA, Sports Interactive or its affiliates have been advised of the possibility of such damages.
SEGA, Sports Interactive and their licensors will not be held liable for any damage, injury or loss if caused as a result of your negligence, accident or misuse, or if the Game Software has been modified in any manner (not by SEGA or Sports Interactive) after it has been bought.
YOU ACKNOWLEDGE AND AGREE THAT YOUR EXCLUSIVE REMEDY FOR ANY DISPUTE WITH SEGA IS TO STOP USING THE GAME SOFTWARE. The liability of SEGA, Sports Interactive and their licensors shall not exceed the actual price paid for the Game Software.
SEGA, Sports Interactive and their licensors do not seek to exclude or limit their liability for any death or personal injury arising from their negligence
If any of the conditions in this Licence are held to be invalid or void under any applicable law, the other provisions of these conditions will be unaffected and remain in full force and effect.
8. Termination
In addition to other rights of SEGA, Sports Interactive and their licensors that may be available to it, this Licence will terminate automatically if you fail to comply with any of its terms and conditions. You retain full discretion to end or terminate your account, if applicable, and discontinue use of the Game Software at any time, pursuant to the terms of this Licence. In such event, you must destroy all copies of the Game Software and all of its component parts. You agree and acknowledge that you are not entitled to any refund for any amounts which were paid to SEGA prior to any termination.
9. Injunction
Because SEGA, Sports Interactive or its licensors could be irreparably damaged if the terms of this Licence were not adhered to, you acknowledge that they, together or alone, may take such action as may be deemed to be required, including seeking an injunction and other equitable remedies, in addition to any other remedies available under the applicable law.
10. Indemnity
Upon a request by SEGA, you agree to defend, indemnify, and hold SEGA, Sports Interactive and their licensors, partners, contractors, officers, directors, employees, agents and affiliates harmless from all liabilities, claims, losses, costs and expenses, including legal fees, that arise from (a) your use of, or activities in connection with the Game Software; (b) any violation of the Licence by you; or (c) any allegation that any content that you make available via the Game Software infringes or otherwise violates the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party. SEGA reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with SEGA in asserting any available defences.
11. Miscellaneous
YOU ACKNOWLEDGE THAT SEGA DOES AND MAY COLLECT DATA DERIVED FROM YOUR PLAYING OF THE GAME SOFTWARE. FOR EXAMPLE, SEGA MAY COLLECT OR PROCESS INFORMATION ABOUT YOUR COMPUTER, INCLUDING WHERE AVAILABLE YOUR IP ADDRESS AND OPERATING SYSTEM. THIS IS STATISTICAL DATA ABOUT OUR USER’S BROWSING ACTIONS AND PATERNS, AND DOES NOT IDENTIFY ANY INDIVIDUAL. THE COLLECTION AND STORAGE OF THE ABOVE DATA AND GAME PLAY IS SOLELY FOR THE PURPOSES OF FACILITATING THE EXISTING FUNCTIONALITY OF THE GAME, ASSISTING SEGA IN ASSESSING IMPROVEMENTS TO IT AND OTHER GAMES BASED ON GENERAL PLAYING PATTERNS AND FOR DIGITAL MANAGEMENT PURPOSES (more details about SEGA’s privacy policy can be found at: http://www.sega.co.uk/legal/privacy.php).

This Licence represents the complete agreement between SEGA and yourself in relation to the use of the Game Software and supersedes all prior agreements and representations, warranties or understandings (whether negligently or innocently made but excluding those made fraudulently). SEGA reserves the right to amend this Licence at any time, at its sole discretion.
If any provision of this Licence is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions of this Licence shall not be affected. Any failure by us to enforce or exercise any provision of the Licence or related rights shall not constitute a waiver of that right or provision.
Nothing in this Licence gives or claims to give to any third party any benefit or right to enforce any term of this Licence, and the provisions of the Contracts (Rights of Third Parties) Act 1999 (as amended or modified from time to time) are expressly excluded.
Any sales occurring in the US and Canada shall be governed by California law and are subject to the exclusive jurisdiction of the state and federal courts in San Francisco, California. Any sales occurring in the UK shall be governed by the laws of England and are subject to the exclusive jurisdiction of the English Courts.

PLEASE READ the following information carefully as it sets out the terms upon which you are allowed by SEGA Europe Limited and its associated companies ("SEGA") and licensors including Sports Interactive Limited ("Sports Interactive") to use the Game Software incorporated in the game. Please inquire about anything you do not understand. If you are not eighteen (18) years of age, have your parents review this Licence.
BY INSTALLING, COPYING, AND/OR OTHERWISE USING THIS GAME SOFTWARE YOU AGREE TO BE BOUND BY THESE TERMS.
IF YOU AGREE TO THESE TERMS, click on the "I Accept" button at the bottom of this page to indicate your acceptance of these terms and understanding of the conditions of use of the Game Software.
IF YOU DO NOT AGREE TO THESE TERMS, click on the "I Do Not Accept" button at the bottom of this page. You may not use the Game Software and any right to use or install the software contained within this installation package will not be granted. 1. Licence to use the Software
The Game Software is offered subject to your compliance with all of the terms and conditions contained herein and all other operating rules, policies and procedures. In addition, some applications offered through or in connection with the Game Software may be subject to additional terms and conditions promulgated by SEGA from time to time. Any material modifications to the Licence will also be brought to your attention by posting on http://www.sega.co.uk/legal/terms.php or http://www.sega.co.uk/legal/privacy.php. Such material modifications will be effective immediately, and will apply to disputes arising under the Licence from the date of posting forward. Your continued use of the Game Software after a modification has been made to the Licence constitutes your acceptance of such modification.
The term "Game Software" includes the game and all software included in the installation package or otherwise contained on the accompanying or associated media, together with any software associated with the online mode of the game, any printed materials, any online or electronic documentation and any and all copies and derivative works of such software and materials.
SEGA grants to you the non-exclusive, non-transferable, limited right and Licence to install and use one (1) copy of the Game Software solely for your personal and non-commercial use. This Licence shall also apply to any patches or updates you may obtain for the Software. IN ACCORDANCE WITH AND NOT INTENDING TO LIMIT ANY OF THE PROVISIONS OR PROTECTIONS SET FORTH HEREIN, DUPLICATION, COPYING OR ANY FORM OF REPRODUCTION OF THE GAME SOFTWARE OR RELATED INFORMATION, MATERIALS OR OTHER CONTENT TO ANY OTHER SERVER OR LOCATION FOR THE PURPOSES OF DUPLICATION, COPYING OR ANY OTHER FORM OF REPRODUCTION IS EXPRESSLY AND EXPLICITLY PROHIBITED. All rights not specifically transferred by this Licence remain with SEGA. The Game Software is licensed to you and not sold.
This Licence does not give you any title or ownership in the Game Software and should not be construed as a sale or transfer of any intellectual property rights to the Game Software.
2. Ownership and Rights
a) Game Software
You agree and acknowledge that all right, title, interest and ownership rights in any and all copyright, design right, database right, patents and any rights to inventions, know-how, trade and business names, trade secrets and trade marks (whether registered or unregistered) and any applications therefor and other intellectual property rights ("Intellectual Property Rights"), in or connected with the Game Software and any and all copies thereof (including in particular but not limited to any data, database, designs, titles, computer code, themes, objects, characters, character names, stories, dialogues, catch phrases, places, concepts, artwork, animation, sounds, music, audio-visual effects, text, methods of operation, moral rights and any related documentation) are owned by SEGA, Sports Interactive or its licensors. The Game Software contains certain licensed materials and SEGA, Sports Interactive or their licensors may protect their rights in the event of any violation of this Licence.
b) Trade Marks
Football Manager, the Football Manager logo, Sports Interactive and the Sports Interactive logo are trade marks of Sports Interactive in the United Kingdom and other countries. SEGA and the SEGA logo are trade marks or registered trade marks of SEGA. All rights reserved.
All other trade marks are the property of their respective owners and SEGA and Sports Interactive make no warranty or representation in respect of any trade mark.
In particular SEGA and Sports Interactive does not make any warranty or representation in relation to the names contained within the Game Software including without limitation the names of any Football club, player, manager, coach, physio, stadium, competition, organisation or association ("Football Data") all trade marks relating to which are the property of their respective owners. Sports Interactive and SEGA use the Football Data solely for the purposes of information regarding world Football and all such use is intended to be incidental to the operation of the Game Software. Save as expressly stated within the Game Software no Football player, club, personnel, stadia, competition, association or organisation endorses or is associated or connected with the Game Software in any way and SEGA and Sports Interactive makes no representation of any such endorsement, association or connection. The Game also contains quotes, statements and other information attributed to players and management which are created solely for the purposes of inclusion in the game. Such quotes, statements and information may be either fictitious or representative of subjective assessment by our research teams but in any event such content is not authorised or endorsed by the people or entities referred to in the Game.
All statistics contained within the Football Data are researched or computer generated and intended to be fair. However they are not intended to be and should not be relied upon or considered a true reflection of the abilities or performances of any individual club or player but a computerised interpretation of data given to it or generated by it.
In the event that any football player, club, association or organisation objects to its, his or her inclusion in the Game Software as Football Data or the content of any Football Data please notify SEGA or Sports Interactive by contacting one of the customer service centres advertised in the information accompanying the Game Software, whereupon Sports Interactive shall act reasonably and take such steps as are reasonably necessary to address any legitimate concerns. Please note that there may be a charge for the telephone call to the customer service centre.
Notwithstanding the foregoing, Sports Interactive and SEGA have used reasonable efforts to ensure compliance with all applicable laws and regulations.
c) Database
All copyright and database right in the database of real world Football Data contained within the Game Software ("Database") belongs to and vests in Sports Interactive, together with any and all modifications, improvements and updates to and edited versions of it.
The Databases is included and used in the Game Software under licence from Sports Interactive whose rights are hereby asserted and reserved.
The Database may only be used in and as part of the Game Software it is supplied with under this Licence for home, non-commercial and personal use or as expressly described on Sports Interactive’s web site at sigames.com/databaseterms and for no other purpose.
No person other than Sports Interactive and persons authorised by it in writing may:
• Use the Database independently of its game;
• Extract data from, re-utilise data in the Database for any purpose;
• Use the Database for the provision of services or information to any third party or for inclusion in any other product or service.
3. Use of the Game Software
You agree only to use the Game Software or any part of it in a manner which is consistent with this Licence and you SHALL NOT:
a) Without the written permission of SEGA use the Game Software or any part of it for commercial use, for example use at a Internet cafe, computer gaming centre or any other location-based site;
b) Without a further Licence, use the Game Software, or permit the use of the Game Software, on more than one computer, game console, handheld device or PDA at the same time;
c) Make copies of the Game Software or any part thereof;
d) Use the Game Software, or permit use of the Game Software, in a network, multi-user arrangement or remote access arrangement, including any online use, except as otherwise explicitly provided by SEGA and subject to acceptance of the terms and conditions of use;
e) Sell, rent, lease, license, distribute or otherwise transfer this Game Software or any copies without the express prior written consent of SEGA;
f) Reverse engineer, derive source code, modify, decompile, disassemble, or create derivative works of the Game Software modify, adapt, merge, translate, decompile or disassemble the Game Software or any part of it (save as the applicable law expressly permits whereupon all and any modification, adaptations, improvements etc shall belong to, vest in and be the exclusive property of Sports Interactive on creation in any event);
g) Remove, disable or circumvent any proprietary notices or labels contained on or within the Game Software;
h) Export or re-export the Game Software or any copy or adaptation in violation of any applicable laws or regulations; and
i) Create data or executable programs which mimic data or functionality in the Game Software
j) Otherwise use, copy, transfer or distribute the Game Software or part of it except as expressly permitted by this Licence.
You agree to read and abide by the Game Disc Precautions and Maintenance Instructions and the Safety Information which is set out in the documentation accompanying the Game Software.
4. Football Manager Data Editor
In relation to any product (tangible or otherwise) which you create using the Football Manager Data Editor (the "Editor"), including but not limited to all modifications or additions to the Game Software and any form of derivative works (together, the "Works"), in consideration of the benefit you gain from the use of the Editor and Game Software the adequacy and sufficiency of which you hereby acknowledge), you hereby:-
• Assign to Sports Interactive by way of present and future assignment the entire rights existing now or at any time in the future in the Works throughout the world whether registered or unregistered absolutely for the full duration thereof and all renewals, reversions and extensions thereof;
• Grant to Sports Interactive the unlimited right to copy or adapt the Works either by or on behalf of Sports Interactive and consent to all uses, distribution and other exploitation of the Works by or on behalf of Sports Interactive on a worldwide basis in perpetuity by any and all means in any media without liability or acknowledgement to you;
• Irrevocably and unconditionally waive the benefits of any provision of law known as "moral rights" or any similar laws of any jurisdiction in relation to the Works now or hereafter brought into force;
• Warrant that you shall not use the Editor to infringe the Intellectual Property Rights, defame, impair or damage the reputation of any third party that will result in any potential liability to Sports Interactive and SEGA.
5. Social Networking
The Game Software contains the ability for you to upload video clips to YouTube, status updates to Facebook and Tweets to Twitter ("Social Networking Features").
If you use the Social Networking Features you certify that you comply with the YouTube Terms of Service located at http://www.youtube.com/t/terms, the Facebook Terms of Service located at http://www.facebook.com/terms.php and the Twitter Terms of Service located at http://twitter.com/tos.
For the avoidance of doubt Sports Interactive authorises you to upload content via the Social Networking Features incorporated in the Game Software.
6. Warranty
a) United States and Canada
LIMITED WARRANTY
Sega warrants to the original consumer purchaser of the Game Software that the recording medium on which the Game Software is recorded shall be free from defects in material and workmanship for a period of ninety (90) days from the original date of purchase (the "Limited Warranty"). If a defect covered by the Limited Warranty occurs during this ninety (90) day period, the defective Game Software shall be replaced free of charge. Please retain the original or a photocopy of your dated sales receipt to establish the date of purchase for in-warranty replacement. For replacement, return the product, with its original packaging and receipt, to the retailer from which the software was originally purchased. In the event that you cannot obtain a replacement from the retailer, please contact Sega to obtain support.
The provisions of the Limited Warranty are valid in the United States and Canada only.
Any applicable implied warranties, including warranties of merchantability and fitness for a particular purpose, are hereby limited to ninety (90) days from the date of purchase of the Game Software, and are subject to the conditions set forth herein. Some states and jurisdictions do not allow limitations on how long an implied warranty lasts, or the exclusion of consequential or incidental damages, and in such states and jurisdictions, Sega’s and its licensors’ liability shall be limited to the maximum extent permitted by law. You may have other rights that vary from state-to-state or from jurisdiction-to-jurisdiction.
LIMITATIONS ON DAMAGES
The Limited Warranty does not apply if the defects have been caused by your negligence, accident, unreasonable use, modification, tampering, or any other causes not related to defective materials or manufacturing workmanship, and Sega and its licensors shall not be held liable for any damage, injury or loss if caused as a result of any of these reasons. The Limited Warranty does not apply to used Game Software or to Game Software acquired through private transactions between individuals or purchased from online auction sites.
b) Rest of the World
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, YOU EXPRESSLY AGREE THAT THE USE OF THE GAME SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL MATERIALS AND GAME SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND SEGA HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE GAME SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (A) THE GAME SOFTWARE WILL MEET YOUR REQUIREMENTS, (B) THE GAME SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE GAME SOFTWARE WILL BE INTERAOPERABLE OR COMPATABILE WITH OTHER SOFTWARE, OR (D) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE GAME SOFTWARE WILL BE EFFECTIVE, ACCURATE OR RELIABLE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SEGA OR ITS AUTHORIZED REPRESENTATIVE(S) SHALL CREATE A WARRANTY.
AT SOME POINT IN THE FUTURE THE GAME SOFTWARE MAY GO OUT OF DATE, AND SEGA MAKES NO COMMITMENT TO UPDATE SUCH GAME SOFTWARE. THE DISCLAIMERS OF LIABILITY CONTAINED IN THIS SECTION APPLY TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF THE GAME SOFTWARE, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. THE USE OF THE GAME SOFTWARE OR THE DOWNLOADING OR OTHER ACQUISITION OF ANY MATERIALS THROUGH OR IN CONNECTION WITH THE GAME SOFTWARE IS DONE AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH ACTIVITIES.
SEGA MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE GAME SOFTWARE, INFORMATION AND/OR RELATED GRAPHICS PUBLISHED AS PART OF THE GAME SOFTWARE FOR ANY PURPOSE. THE GAME SOFTWARE, INFORMATION AND RELATED GRAPHICS PUBLISHED AS PART OF THE GAME SOFTWARE MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. You understand and agree that temporary interruptions of the Game Software may occur as normal events. You further understand and agree that we have no control over third party networks you may access in the course of the use of the Game Software, and therefore, delays and disruption of other network transmissions are completely beyond SEGA’s control.
BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, THE LIABILITY OF SEGA AND THE SEGA PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
7. Liability
SEGA, Sports Interactive and their licensors will not be held responsible for any special, punitive, incidental, indirect or consequential damages of any kind, including without limitation, those resulting from loss of use, loss of profits, whether or not you have been advised of the possibility of such damages, and on any theory of liability, arising out of or in connection with the use of the Game Software, including damages to property, loss of goodwill, computer, failure or malfunction and, to the extent permitted by law, damages for personal injuries, even if SEGA, Sports Interactive or its affiliates have been advised of the possibility of such damages.
SEGA, Sports Interactive and their licensors will not be held liable for any damage, injury or loss if caused as a result of your negligence, accident or misuse, or if the Game Software has been modified in any manner (not by SEGA or Sports Interactive) after it has been bought.
YOU ACKNOWLEDGE AND AGREE THAT YOUR EXCLUSIVE REMEDY FOR ANY DISPUTE WITH SEGA IS TO STOP USING THE GAME SOFTWARE. The liability of SEGA, Sports Interactive and their licensors shall not exceed the actual price paid for the Game Software.
SEGA, Sports Interactive and their licensors do not seek to exclude or limit their liability for any death or personal injury arising from their negligence
If any of the conditions in this Licence are held to be invalid or void under any applicable law, the other provisions of these conditions will be unaffected and remain in full force and effect.
8. Termination
In addition to other rights of SEGA, Sports Interactive and their licensors that may be available to it, this Licence will terminate automatically if you fail to comply with any of its terms and conditions. You retain full discretion to end or terminate your account, if applicable, and discontinue use of the Game Software at any time, pursuant to the terms of this Licence. In such event, you must destroy all copies of the Game Software and all of its component parts. You agree and acknowledge that you are not entitled to any refund for any amounts which were paid to SEGA prior to any termination.
9. Injunction
Because SEGA, Sports Interactive or its licensors could be irreparably damaged if the terms of this Licence were not adhered to, you acknowledge that they, together or alone, may take such action as may be deemed to be required, including seeking an injunction and other equitable remedies, in addition to any other remedies available under the applicable law.
10. Indemnity
Upon a request by SEGA, you agree to defend, indemnify, and hold SEGA, Sports Interactive and their licensors, partners, contractors, officers, directors, employees, agents and affiliates harmless from all liabilities, claims, losses, costs and expenses, including legal fees, that arise from (a) your use of, or activities in connection with the Game Software; (b) any violation of the Licence by you; or (c) any allegation that any content that you make available via the Game Software infringes or otherwise violates the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party. SEGA reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with SEGA in asserting any available defences.
11. Miscellaneous
YOU ACKNOWLEDGE THAT SEGA DOES AND MAY COLLECT DATA DERIVED FROM YOUR PLAYING OF THE GAME SOFTWARE. FOR EXAMPLE, SEGA MAY COLLECT OR PROCESS INFORMATION ABOUT YOUR COMPUTER, INCLUDING WHERE AVAILABLE YOUR IP ADDRESS AND OPERATING SYSTEM. THIS IS STATISTICAL DATA ABOUT OUR USER’S BROWSING ACTIONS AND PATERNS, AND DOES NOT IDENTIFY ANY INDIVIDUAL. THE COLLECTION AND STORAGE OF THE ABOVE DATA AND GAME PLAY IS SOLELY FOR THE PURPOSES OF FACILITATING THE EXISTING FUNCTIONALITY OF THE GAME, ASSISTING SEGA IN ASSESSING IMPROVEMENTS TO IT AND OTHER GAMES BASED ON GENERAL PLAYING PATTERNS AND FOR DIGITAL MANAGEMENT PURPOSES (more details about SEGA’s privacy policy can be found at: http://www.sega.co.uk/legal/privacy.php).

If any provision of this Licence is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions of this Licence shall not be affected. Any failure by us to enforce or exercise any provision of the Licence or related rights shall not constitute a waiver of that right or provision.
Nothing in this Licence gives or claims to give to any third party any benefit or right to enforce any term of this Licence, and the provisions of the Contracts (Rights of Third Parties) Act 1999 (as amended or modified from time to time) are expressly excluded.
Any sales occurring in the US and Canada shall be governed by California law and are subject to the exclusive jurisdiction of the state and federal courts in San Francisco, California. Any sales occurring in the UK shall be governed by the laws of England and are subject to the exclusive jurisdiction of the English Courts.
