END USERS LICENCE AGREEMENT
Livex Innovation Co. (“Livex Innovation Co.”) agree to use software (“the Software”) which is provided by downloading or other means, and installed by you as the following terms.
1. Copyrights
All copyrights, and all other intellectual property rights for the Software related thereto are owned by Livex Innovation Co. and are protected by Japan and international copyright law and other applicable law.
2. Grant of Lisence
By the following terms of this Agreement, Livex Innovation Co. hereby grants to you a non-exclusive right to use the Software.
You may use the Software by installing to HDD, which is on-boarded on your PC, or any other storages.
You may install, copy and use the Software on your devices, purpose for backup or saving.
3. Software Use Restrictions
You may not reverse engineer, decompile or disassemble the Software in any way. However, this is not the case when it is deemed legitimate.
You may not make use or duplicate of the Software, in whole or in part, except as expressly permitted in this Agreement.
You are not entitled to license the Software, and you may not rent, lease or lend the Software to any third party.
4. Limited Warrantee
the Software, all accompanying files, data and materials, are distributed "AS IS" and with no warranties of any kind, whether express or implied. Any problems that may arise with respect to the Software shall be resolved at your own risk and expense.
5. Limitation of Liability
In no event shall Livex Innovation Co. be liable for any incidental, consequential, punitive or any other damages whatsoever relating to the use of the Software.
You shall indemnify and guarantee Livex Innovation Co. from the damage, loss or liability related to the request made to you from a third party in connection with the use of the Software.
6. Contract Period
The Agreement is made effective beginning on the date on which you first download, install, load or otherwise use the Software, and would be accepted until following situation.
Livex Innovation Co. may revoke or terminate this License at any time without the requirement of any notice from Livex Innovation Co. to you, upon your failure to comply with or breach of any term or provision of this Agreement.
In that case, Livex Innovation Co. may claim damages incurred by your violation to you.
Upon the termination of this Agreement, you shall immediately destroy all copies of the Software in your hardware, custody or control.
7. Export Regulations
You agree that you do not export or move the Software and any technical information to Japan, and any relation countries which are strictly prohibited export or diversion of certain technical products.
8. Other
This Agreement shall be governed by the laws of Japan, and the Tokyo District Court or the Tokyo Summary Court shall have exclusive primary jurisdiction with respect to all disputes arising with respect thereto.
