End User License Agreement ("Agreement")

Please read this End User License Agreement ("Agreement") carefully before clicking the "I Agree"
button, downloading or using The Torus Syndicate. ("Application")
By clicking the "I Agree" button, downloading or using the Application, you are agreeing to be bound
by the terms and conditions of this Agreement.
If you do not agree to the terms of this Agreement, do not click on the "I Agree" button and do not
download or use the Application.
License
Codeate LLC grants you a revocable, nonexclusive, nontransferable, limited license
to download, install and use the Application solely for your personal, noncommercial purposes
strictly in accordance with the terms of this Agreement.
Restrictions
You agree not to, and you will not permit others to:
a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise
commercially exploit the Application or make the Application available to any third party.
Modifications to Application
Codeate LLC reserves the right to modify, suspend or discontinue, temporarily or
permanently, the Application or any service to which it connects, with or without notice and without
liability to you.
Term and Termination
This Agreement shall remain in effect until terminated by you or Codeate LLC.
Codeate LLC may, in its sole discretion, at any time and for any or no reason,
suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from Codeate LLC, in
the event that you fail to comply with any provision of this Agreement. You may also terminate this
Agreement by deleting the Application and all copies thereof from your devices.
Upon termination of this Agreement, you shall cease all use of the Application and delete all copies
of the Application from your devices.
Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be
changed and interpreted to accomplish the objectives of such provision to the greatest extent
possible under applicable law and the remaining provisions will continue in full force and effect.
Copyright Restriction
This Software contains copyrighted material, trade secrets and other proprietary material. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile The Torus Syndicate. Nor can you create any derivative works or other works that are based upon or derived from The Torus Syndicate in whole or in part.
Codeate LLC's name, logo and graphics file that represents The Torus Syndicate shall not be used in any way to promote products developed with The Torus Syndicate. Codeate LLC retains sole and exclusive ownership of all right, title and interest in and to The Torus Syndicate and all Intellectual Property rights relating thereto.
Copyright law and international copyright treaty provisions protect all parts of The Torus Syndicate, products and services. No program, code, part, image, audio sample, or text may be copied or used in any way by the user except as intended within the bounds of the single user program. All rights not expressly granted hereunder are reserved for Codeate LLC.
Limitation of Responsibility
You will indemnify, hold harmless, and defend Codeate LLC, its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of Codeate LLC's Software.
In no event (including, without limitation, in the event of negligence) will Codeate LLC, its employees, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, The Torus Syndicate or the use or inability to use The Torus Syndicate or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.
Codeate LLC's entire liability, without exception, is limited to the customers' reimbursement of the purchase price of the Software (maximum being the lesser of the amount paid by you and the suggested retail price as listed by Codeate LLC) in exchange for the return of the product, all copies, registration papers and manuals, and all materials that constitute a transfer of license from the customer back to Codeate LLC.
Warranties
Except as expressly stated in writing, Codeate LLC makes no representation or warranties in respect of this Software and expressly excludes all other warranties, expressed or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.
Disclaimer of Warranty
THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY The Torus Syndicate AS WELL.
Governing Law
This Agreement shall be governed by the law of the United States applicable therein. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of United States therefrom. If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this License and not affect the validity and enforceability of any other provisions.
Amendments to this Agreement
Codeate LLC reserves the right, at its sole discretion, to modify or replace this
Agreement at any time. If a revision is material we will provide at least 30 days' notice
prior to any new terms taking effect. What constitutes a material change will be determined at our
sole discretion.
