THE “SOFTWARE” INCLUDES ALL SOFTWARE INCLUDED WITH THIS AGREEMENT, THE ACCOMPANYING MANUAL(S), PACKAGING, AND OTHER WRITTEN FILES, ELECTRONIC OR ON-LINE MATERIALS OR DOCUMENTATION, AND ANY AND ALL COPIES OF SUCH SOFTWARE AND ITS MATERIALS. This Software Licensing Agreement ("Agreement") is a legal agreement between you and WolfTech Games ("WolfTech Games"). By installing this Software, by loading or running the Software, by placing or copying the Software onto your hard drive, or by distributing the Software, you agree to be bound by the terms of this Agreement. These are the only terms by which WolfTech Games permits copying or use.
WolfTech Games LICENSE AGREEMENT FOR Slymes, the SOFTWARE
WolfTech Games has the right to MODIFY your LICENSE AGREEMENT at any time. The LICENSE AGREEMENT format may change at any time.
----GENERAL TERMS----
1. THE SOFTWARE.
The Software licensed under this agreement is the computer program Slymes, which consists of executable files, data files, and documentation.
2. GRANT OF LICENSE.
WolfTech Games grants you the right to use the Software in accordance with the terms of this Agreement. You may load the software into RAM as well as install it on a hard disk or other storage device. You may not modify, translate, disassemble, reverse engineer, decompile, or create derivative works based upon the Software. You agree that the Software will not be shipped, transferred, or exported into any country in violation of the U.S. Export Administration Act and that you will not utilize the Software in violation of any applicable law.
2.1. REGISTERED VERSION LICENSE.
When you purchase the Software, you will receive the full registered version. You agree not to distribute the registered version to others and to use it only for your own personal use. You acknowledge that distribution of the registered version to others, whether intentional or unintentional, could damage WolfTech Games both financially and professionally. Any unauthorized distribution of your registered version will result in immediate and automatic termination of your license.
3. COPYRIGHT.
The Software is owned by WolfTech Games and is protected by United States copyright laws and international treaties. You must treat the Software like any other copyrighted material. You may not distribute copies of the registered version to others. Except as expressly licensed by WolfTech Games in writing, WolfTech Games reserves the exclusive copyright and all other rights, title and interest to distribute the Software, and to use Trademarks in connection with them. "Trademarks" refers to the name of the Software, the name WolfTech Games, and the WolfTech Games logo, which are trademarks of WolfTech Games. WolfTech Games permits any displayment or uploading of digital footage of the SOFTWARE as long as it doesn't go against the EULA, displays illegal material or displays methods of obtaining the SOFTWARE without the purchase of a registered license.
4. NO WARRANTY.
THE SOFTWARE IS PROVIDED "AS-IS". NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, ARE MADE AS TO IT OR ANY MEDIUM IT MAY BE ON. WolfTech Games WILL PROVIDE NO REMEDY FOR INDIRECT, CONSEQUENTIAL, PUNITIVE OR INCIDENTAL DAMAGES ARISING FROM IT, INCLUDING SUCH FROM NEGLIGENCE, STRICT LIABILITY, OR BREACH OF WARRANTY OR CONTRACT, EVEN AFTER NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.
5. TERM.
The term of this license grant is perpetual. You may terminate this Agreement at any time by destroying all copies of the Software in your possession. Your license to use the Software will automatically terminate if you breach the terms of this Agreement.
6. GENERAL PROVISIONS.
This Agreement is the sole and entire Agreement relating to the subject matter hereof, and supercedes all prior understandings, agreements, and documentation relating to such subject matter. If any provision in this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions will continue in full force without being impaired or invalidated in any way. This Agreement will be governed by the laws of the State of Ontario. With respect to every matter arising under this Agreement, you consent to the exclusive jurisdiction and venue of the state and federal courts sitting in Windsor, Ontario, and to service by certified mail, return receipt requested, or as otherwise permitted by law. This Agreement does not create any agency or partner relationship. Your rights under this Agreement are personal and do not include any right to sublicense the Software. This Agreement may be terminated by WolfTech Games by giving a 30-day advance written notice.
Thank you for using this Software in accordance with the terms of this Agreement.
----LICENSE CONDITIONS----
You agree not to:
a. commercially exploit the SOFTWARE;
b. make a copy of the Software available on a network for use or download by multiple users (torrents... etc);
c. decompile, disassemble, display, perform, reverse engineer, or otherwise modify the Software, in whole or in part;
d. use or copy the Software at a computer gaming center or any other location-based site; provided, that Licensor may offer you a separate license agreement to make the Software available for commercial use;
e. remove or modify any proprietary notices, marks, or labels contained on or within the Software;
f. restrict or inhibit any other user from using and enjoying any online features of the Software;
g. cheat, hack or utilize any unauthorized robot, spider, or other program in connection with any online features of the Software;
h. violate any terms, policies, licenses, or code of conduct for any online features of the Software;
USER CREATED CONTENT: The Software may allow you to create content, including, but not limited to, a gameplay map, hat design, hat model, skin design, item, cosmetic, or video of your game play. In exchange for use of the Software, and to the extent that your contributions through use of the Software give rise to any copyright interest, you hereby grant Licensor an exclusive, perpetual, irrevocable, fully transferable, and sub-licensable worldwide right and license to use your contributions in any way and for any purpose in connection with the Software and related goods and services, including, but not limited to, the rights to reproduce, copy, adapt, modify, perform, display, publish, broadcast, transmit, or otherwise communicate to the public by any means whether now known or unknown and distribute your contributions without any further notice or compensation to you of any kind for the whole duration of protection granted to intellectual property rights by applicable laws and international conventions. You hereby waive and agree never to assert any moral rights of paternity, publication, reputation, or attribution with respect to Licensor’s and other players’ use and enjoyment of such assets in connection with the Software and related goods and services under applicable law. This license grant to Licensor, and terms above regarding any applicable moral rights, will survive any termination of this Agreement.
INTERNET CONNECTION: The Software may require an internet connection to access internet-based features, authenticate the Software, or perform other functions. The Software is mainly based on multiplayer experience, an internet connection will be required to participate in this experience.
----TERMINATION----
WolfTech Games reserves the right to terminate your license at any time. WolfTech Games also reserves the right to prevent your connection to the SOFTWARE servers.
