END USER LICENSE AGREEMENT
PLEASE READ THE TERMS OF THIS AGREEMENT CAREFULLY. THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE SERVICES.
Overview
The United Front Games, Ltd. End User License Agreement (“UFG EULA”) explain the conditions under which you agree to use our applications or services. Here are some key points covered:
- This EULA and any Additional Terms apply when you use an application or online service (each a “Service”) published by United Front Games, Ltd. or its affiliates (collectively “United Front Games” or “UFG”). Any updates to these terms will also apply to you. If you do not agree, or want to end your agreement, you must uninstall the application or discontinue use of the other Services.
- You may only use the Content contained in the Services in connection with your permitted activities on the Services and not in an offline environment or in connection with another application or web site unless we explicitly permit it. (Section 1 and Section 2)
- You have no ownership in the Services or any virtual characters or items used in the Services. You have only a limited license to use them pursuant to this UFG EULA. All or some aspects may be deleted or the operation of any or all Services terminated in our sole discretion, with or without notice to you. (Section 1).
- Except as set forth explicitly in the UFG Privacy Policy, you and UFG do not have a confidential relationship due to your use of the Services or your communications to UFG through or related to the Services. You and UFG do not have a fiduciary or other special relationship.
  You consent to our UFG Privacy Policy practices, including targeted advertising, but may uninstall apps and discontinue use of other Services if you change your mind.
- To expedite resolution and control the cost of any dispute, controversy or claim related to this EULA or any other UFG Terms (“Dispute”), you and UFG agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least 30 days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one person to the other. UFG will send its notice to your billing address (if provided) and email you a copy to the email address you have provided to us. You agree to send your notice to United Front Games Inc. via email to info@unitedfrontgames.com.
- UFG is providing the Services to you on an “as-is” basis, without any warranty of any kind, and UFG’s liability to you in connection with your use of the Services is very limited. Many other limitations and disclaimers relate to your use of the Services. (Section 9 and Section 10)

Welcome to our Services! This UFG EULA governs your use of the Services, regardless of how you access or use it and where you are located. By “Services”, we mean any software or online service or application that posts or links to this UFG EULA (excluding our general websites that may post them solely for your easy reference), and all features, widgets, apps, content, and downloads that are operated by us and that are available through or interact with it, and/or post links to this UFG EULA. By using the Services, you acknowledge and accept the UFG Privacy Policy (The UFG Privacy Policy can be found at http://www.unitedfrontgames.com/privacy) and consent to the collection, storage, sharing, and use of your data in accordance with the UFG Privacy Policy. If you change your mind, you must immediately uninstall our apps and/or discontinue use of the Services. By installing and/or using the Services, you further agree that UFG may change, alter, or modify the settings or configurations on your Device (defined below) in order to allow or optimize your use of the Services.

If You Want to Use The Services
Carefully read the terms under this UFG EULA, as they constitute a written agreement between you and United Front Games which affects your legal rights and obligations. If you are a minor, you may only use the Services upon your parent or guardian’s consent to this agreement. Each time you access and/or use the Services (other than to simply read this UFG EULA), you agree to be bound by and comply with all of the terms of the UFG EULA and any Additional Terms (defined below) that are posted on the Services, or linked to from the Services, at that time. Therefore, if you do not agree to all of the terms under this UFG EULA or any Additional Terms, then you may not use the Services. You must uninstall our apps and discontinue use of the Services in order to end your agreement to these terms.
The business realities associated with operating the Services are such that, without the limitations set forth in this UFG EULA – such as your grants and waivers of rights, your consent to targeted advertising and our UFG Privacy Policy, the limitations on our liability, your indemnity of us, and our arbitration of certain disputes – United Front Games would not be able to make the Services available to you.
In some instances, separate guidelines, rules, or terms of service or sale setting forth additional or different terms and/or conditions will also apply to your use of a particular Service (in each such instance, and collectively, “Additional Terms”). To the extent there is a conflict between the UFG EULA and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state otherwise. Please also review the UFG Privacy Policy, which you accept by using the Services.

1. Service Content, Ownership, Limited License, and Rights of Others.
1. Content. The Services contain a variety of: (i) materials and other items relating to UFG and its products and services, and similar items from our licensors and other third parties, including all layout, information, text, data, files, images, scripts, designs, graphics, button icons, instructions, illustrations, photographs, audio clips, music, sounds, pictures, videos, advertising copy, URLs, technology, software, interactive features, the “look and feel” of the Services, and the compilation, assembly, and arrangement of the materials of the Services and any and all copyrightable material (including source and object code); (ii) trademarks, logos, trade names, service marks, and trade identities of various parties, including those of United Front Games (collectively, “Trademarks”); and (iii) other forms of intellectual property (all of the foregoing, collectively “Content”).
2. Ownership. The Services (including past, present, and future versions) and the Content are owned or controlled by UFG and/or our licensors and certain other third parties. All right, title, and interest in and to the Content available via the Services is the property of UFG and/or our licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, patent, or other intellectual property rights and laws to the fullest extent possible. UFG owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content on the Services.
3. Limited License. Subject to your strict compliance with this UFG EULA and the Additional Terms, UFG grants you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to (i) download (subject to any restrictions), display, view, use, play, and/or print the Content (excluding source and object code in raw form or otherwise, other than as made available to access and use via a standard display technology) on a computer or other Internet-enabled device compatible with the Services (each, a “Device”) for your personal, non-commercial use only, and, for certain Services, (ii) to use certain Content that we may from time to time make available on the Services explicitly for you for use (“United Front Games Licensed Elements”), only for such purposes as may be explicitly stated at the time that the United Front Games Licensed Elements are made available on the Services. However, we and our licensors and certain other third parties, as the case may be, retain ownership of such United Front Games Licensed Elements. The foregoing limited license (i) does not give you any ownership of, or any other intellectual property interest in, any Content, and (ii) may be immediately suspended or terminated for any reason or no reason, in United Front Games’ sole discretion, and without advance notice or liability. In some instances, we may permit you to have greater access to and use of Content and/or United Front Games Licensed Elements, subject to certain Additional Terms.
4. Rights of Others. In using the Services, you must respect the intellectual property and other rights of UFG and others. Your unauthorized use of Content may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability.

2. Services and Content Use Restrictions.
1. Services Use Restrictions. You agree that you will not: (i) use the Services for any political or commercial purpose (including, without limitation, for purposes of advertising, soliciting funds, collecting product prices, and selling products); (ii) use any meta tags or any other “hidden text” utilizing any UFG trademarks or trade names; (iii) engage in any activities through or in connection with the Services that seek to attempt to or do harm any individuals or entities or are unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third party, or are otherwise objectionable to UFG; (iv) reverse engineer, decompile, disassemble, reverse assemble, hack, or modify any Services source or object code or any software or other products, services, or processes accessible through any portion of the Services; (v) engage in any activity that interferes with a user’s access to the Services or the proper operation of the Services, or otherwise causes harm to the Services, UFG, or other users of the Services; (vi) interfere with or circumvent any security feature of the Services or any feature that restricts or enforces limitations on use of or access to the Services, the Content; (vii) create, operate, participate in or use any unauthorized servers intended to emulate the Services; (viii) intercept, mine or otherwise collect information from the Services using unauthorized third-party software; (ix) make any derivative works of applications provided in the Services; (x) impersonate any United Front Games staff; or (xi) otherwise violate this UFG EULA or any Additional Terms.
2. Real-Money Trading (“RMT”). RMT activities are strictly forbidden. If you sell, or attempt to sell, any virtual items obtained or used via the Services, including any account held by you, you may be banned for violation of this UFG EULA. Any solicitation for sales shall be treated as a breach of this agreement and as intentional tortious interference with our contract with our customers.
3. Content Use Restrictions. You also agree that, in using the Content: (i) you will not monitor, gather, copy, or distribute such Content (except as may be a result of standard search engine activity or use of a standard browser) on the Services by using any robot, rover, “bot”, spider, scraper, crawler, spyware, engine, device, software, extraction tool, or any other automatic device, utility, or manual process of any kind; (ii) you will not frame or utilize framing techniques to enclose any such Content (including any images, text, or page layout); (iii) you will keep intact all trademark, copyright, and other intellectual property notices contained in such Content; (iv) you will not use such Content in a manner that suggests an unauthorized association with United Front Games or any of our or our licensors’ products, services, or brands; (v) you will not make any modifications to such Content (other than to the extent of your permitted use of the United Front Games Licensed Elements, if applicable); (vi) you will not modify, reproduce, archive, sell, lease, rent, exchange, create derivative works from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast, retransmit, circulate to any third party or on any third-party application or website, or otherwise use or exploit such Content in any way for any purpose except as specifically permitted by this UFG EULA or any Additional Terms, or with the prior written consent of an officer of UFG or, in the case of Content from a licensor, the owner of the Content; and (vii) you will not insert any code or product to manipulate such Content in any way that adversely affects any user experience.
4. Availability of Services and Content. UFG may immediately suspend or terminate the availability of the Services and Content (and any elements and features of them) for any reason, in UFG’s sole discretion, without advance notice or liability. UFG further has the right to obtain, without notification to you, information from your computer and software, including without limitation, your computer’s random access memory, video card, central processing unit, hard drive(s), and any other storage devices to assist UFG’s efforts in policing users who may develop and/or use “hacks” or “cheats” to profit or to gain advantage over other users. Information obtained under this Section will only be used for the purpose of identifying persons or entities not in compliance or believed by UFG to not be in compliance with this Agreement.
5. Reservation of All Rights Not Granted as to Content and Services. This UFG EULA and any Additional Terms include only narrow, limited grants of rights to Content and to use and access the Services. No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise. All rights not expressly granted to you are reserved by UFG and its licensors and other third parties. Any unauthorized use of any Content or the Services for any purpose is prohibited.

3. Opening and Terminating Accounts.
In order to access or use some (or potentially all) of the features on the Services, you may first have to register through the Services or sign in via the United Front Games Members Website or a third-party tool (such as Facebook), or download our applications through our services or a third-party service such as the Steam Store or another App Store.
The Services’ practices governing any resulting collection and use of your information are disclosed in the UFG Privacy Policy, to which you consent by opening and maintaining an account or using our Services.
If you register for any feature that requires a password and/or username, then you will select your own password at the time of registration (or we may send you an e-mail notification with a randomly generated initial password) and you agree that: (i) You will not use a username (or e-mail address) that is already being used by someone else, may impersonate another person, belongs to another person, violates the intellectual property or other right of any person or entity, or is offensive. We may reject the use of any password, username, or e-mail address for any other reason in our sole discretion; (ii) You will provide accurate, current, and complete registration information about yourself in connection with the registration process and, as permitted, to maintain and update it continuously and promptly to keep it accurate, current, and complete; (iii) You are solely responsible for all activities that occur under your account, password, and username – whether or not you authorized the activity; (iv) You are solely responsible for maintaining the confidentiality of your password and for restricting access to your Device so that others may not access any password-protected portion of the Services using your name, username, or password; (v) You will immediately notify us of any unauthorized use of your account, password, or username, or any other breach of security; and (vi) You will not sell, transfer, or assign your account or any account rights.
We will not be liable for any loss or damage (of any kind and under any legal theory) to you or any third party arising from your inability or failure for any reason to comply with any of the foregoing obligations.
If any information that you provide, or if we have reasonable grounds to suspect that any information that you provide, is false, inaccurate, outdated, incomplete, or violates this UFG EULA, any Additional Terms, or any applicable law, then we may suspend or terminate your account. We also reserve the more general and broad right to terminate your account or suspend or otherwise deny you access to it or its benefits in our sole discretion, for any reason or no reason, and without advance notice or liability.

4. Questions and Customer Service.

You acknowledge that the provision of customer support is at UFG’s sole discretion and that we have no obligation to provide you with customer support of any kind. We may provide you with customer support from time to time, at our sole discretion.

5. Product Specifications; Pricing; Typographical Errors.
We do our best to describe every service offered on the Services as accurately as possible. However, we are human, and therefore we do not warrant that specifications, pricing, or other content on the Services are complete, accurate, reliable, current, or error-free. In the event of any errors relating to pricing or specifications, UFG shall have the right to refuse or cancel any orders in its sole discretion. If we charged your credit card or other account prior to cancellation, we will issue a credit to your account in the amount of the charge.

6. Linked-To Services, Websites; Advertisements; Dealings with Third Parties.
0. Linked Locations; Advertisements.
The Services may contain links, as part of third-party ads on the Services or otherwise, to or from third-party web sites, applications or other locations (“Linked Sites”), including those operated by advertisers, licensors, licensees, and certain other third parties who may have business relationships with UFG. UFG may have no control over the content, operations, policies, terms, or other elements of Linked Sites, and UFG does not assume any obligation to review any Linked Sites. UFG does not endorse, approve, or sponsor any Linked Sites, or any third-party content, advertising, information, materials, products, services, or other items. Furthermore, UFG is not responsible for the quality or delivery of the products or services offered, accessed, obtained by or advertised at such Linked Sites. Finally, UFG will under no circumstances be liable for any direct, indirect, incidental or special loss or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright or other intellectual property rights, caused by the exhibition, distribution or exploitation of any information or content contained within these third-party Linked Sites. Any activities you engage in connection with any of the same are subject to the privacy and other policies, terms and conditions of use, and rules issued by the operator of the Linked Sites. UFG disclaims all liability in connection therewith.
1. Dealings with Third Parties.
Any interactions, correspondence, transactions, and other dealings that you have with any third parties found on or through the Services (including on or via Linked Sites or advertisements) are solely between you and the third party (including issues related to the content of third-party advertisements, payments, delivery of goods, warranties (including product warranties), privacy and data security, and the like). UFG disclaims all liability in connection with therewith.

7. Location-based Features.
If you have enabled GPS or location-based features on your Device related to the Services, you acknowledge that your wireless Device location may be tracked and may be shared with others consistent with the UFG Privacy Policy. Some Services allow for you to disable location-based features or manage preferences related to them. However, you can terminate Device location tracking by us by uninstalling the application or for other Services by discontinuing access to the Services. The location-based services offered in connection with our Services are for individual use only and should not be used or relied on as an emergency locator system, used while driving or operating vehicles, or used in connection with any hazardous environments requiring fail-safe performance, or any other situation in which the failure or inaccuracy of use of the location-based services could lead directly to death, personal injury, or severe physical or property damage. The location-based services are not suited or intended for family-finding purposes, fleet tracking, or any other type of business or enterprise use – other products exist today that may be used specifically for these purposes.

8. Disputes.
Certain portions of this Section 8 are deemed to be a “written agreement to arbitrate”.
0. First: Informal Negotiations.
To expedite resolution and control the cost of any dispute, controversy or claim related to this EULA or any other UFG Terms (“Dispute”), you and UFG agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least 30 days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one person to the other. UFG will send its notice to your billing address (if provided) and email you a copy to the email address you have provided to us. You agree to send your notice to United Front Games Inc. via email to info@unitedfrontgames.com.
1. Second: Formal Dispute Resolution.
If you and UFG are unable to resolve a Dispute through informal negotiations, either you or UFG may elect to have the Dispute finally and exclusively resolved by the courts of the Province of British Columbia.
2. No Class Action Matters.
Disputes will be arbitrated only on an individual basis and will not be consolidated with any other arbitration or other proceeding that involves any claim or controversy of any other party.

9. DISCLAIMER OF REPRESENTATIONS AND WARRANTIES.
YOUR ACCESS TO AND USE OF THE SERVICES IS AT YOUR SOLE RISK.
THE SERVICES ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE”, AND “WITH ALL FAULTS” BASIS. Therefore, to the fullest extent permissible by law, United Front Games, Ltd., and its parents, affiliates, subsidiaries and each of their respective employees, directors, members, managers, shareholders, agents, vendors, licensors, licensees, contractors, customers, successors, and assigns (collectively, “United Front Games Parties”) hereby disclaim and make no representations, warranties, endorsements, or promises, express or implied, as to:
(a) the Services(including the Content);
(b) the functions, features, or any other elements on, or made accessible through, the Services;
(c) any products, services, or instructions offered or referenced at or linked through the Services;
(d) whether the Services or the servers that make the Services available are free from any harmful components (including viruses, Trojan horses, and other technologies that could adversely impact your Device);
(e) whether the information (including any instructions) on the Services is accurate, complete, correct, adequate, useful, timely, or reliable;
(f) whether any defects to the Services will be repaired; and
(g) whether your use of the Services is lawful in any particular jurisdiction.
EXCEPT FOR ANY SPECIFIC WARRANTIES PROVIDED HEREIN OR IN ADDITIONAL TERMS PROVIDED BY A UNITED FRONT GAMES PARTY, UNITED FRONT GAMES PARTIES HEREBY FURTHER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND FREEDOM FROM COMPUTER VIRUS.
Some jurisdictions limit or do not allow the disclaimer of implied or other warranties so the above disclaimers may not apply to the extent such jurisdictions’ laws are applicable.

10. LIMITATIONS OF LIABILITY OF UNITED FRONT GAMES PARTIES.
UNDER NO CIRCUMSTANCES WILL ANY UNITED FRONT GAMES PARTIES BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGES OF ANY KIND, including personal injury or death or for any direct, indirect, economic, exemplary, special, punitive, incidental, or consequential losses or damages that are directly or indirectly related to:
(a) the Services (including the Content);
(b) your use of or inability to use the Services, or the performance of the Services;
(c) any action taken in connection with an investigation by United Front Games Parties or law enforcement authorities regarding your access to or use of the Services;
(d) any action taken in connection with copyright or other intellectual property owners or other rights owners;
(e) any errors or omissions in the Services’ technical operation; or
(f) any damage to any user’s computer, hardware, software, modem, or other equipment or technology, including damage from any security breach or from any virus, bugs, tampering, fraud, error, omission, interruption, defect, delay in operation or transmission, computer line, or network failure or any other technical or other malfunction, including losses or damages in the form of lost profits, loss of goodwill, loss of data, work stoppage, accuracy of results, or equipment failure or malfunction.
The foregoing limitations of liability will apply even if any of the foregoing events or circumstances were foreseeable and even if United Front Games Parties were advised of or should have known of the possibility of such losses or damages, regardless of whether you bring an action based in contract, negligence, strict liability, or tort (including whether caused, in whole or in part, by negligence, acts of god, telecommunications failure, or destruction of the Services).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages of the sort that are described above, so the above limitation or exclusion may not apply to you.
EXCEPT AS MAY BE PROVIDED IN ANY ADDITIONAL TERMS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNITED FRONT GAMES PARTIES' TOTAL LIABILITY TO YOU, FOR ALL POSSIBLE DAMAGES, LOSSES, AND CAUSES OF ACTION IN CONNECTION WITH YOUR ACCESS TO AND USE OF THE SERVICES AND YOUR RIGHTS UNDER THESE UFG END USER LICENSE AGREEMENT, EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE PAID UNITED FRONT GAMES IN CONNECTION WITH THE TRANSACTION(S) THAT UNDERLIE THE CLAIM(S); PROVIDED, HOWEVER, THIS PROVISION WILL NOT APPLY IF A TRIBUNAL WITH APPLICABLE JURISDICTION FINDS SUCH TO BE UNCONSCIONABLE. FOR PURPOSES OF CLARITY, THE PRIOR SENTENCE DOES NOT EXPAND OR LIMIT ANY EXPRESS, WRITTEN PRODUCT WARRANTY THAT IS PROVIDED BY UNITED FRONT GAMES OR A MANUFACTURER OF A PHYSICAL PRODUCT.

11. Waiver of Injunctive or Equitable Relief.
IF YOU CLAIM THAT YOU HAVE INCURRED ANY LOSS, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR USE OF THE SERVICES, THEN THE LOSSES, DAMAGES, AND INJURIES WILL NOT BE IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR TO OTHER EQUITABLE RELIEF OF ANY KIND. THIS MEANS THAT, IN CONNECTION WITH YOUR CLAIM, YOU AGREE THAT YOU WILL NOT SEEK, AND THAT YOU WILL NOT BE PERMITTED TO OBTAIN, ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF ANY WEB SERVICES, CONTENT, PRODUCT, SERVICE, OR OTHER INTELLECTUAL PROPERTY OWNED, LICENSED, USED OR CONTROLLED BY UNITED FRONT GAMES OR A LICENSOR OF UNITED FRONT GAMES. UNDER NO CIRCUMSTANCES WILL YOU BE ENTITLED TO OBTAIN ANY INJUNCTIVE RELIEF OR OTHERWISE ENJOIN, RESTRAIN, OR OTHERWISE INTERFERE WITH THE DISTRIBUTION, OPERATION, DEVELOPMENT, OR PERFORMANCE OF THE SERVICES.

12. General Provisions.
0. Updates to EULA.
UFG reserves the right to modify this UFG EULA and any Additional Terms, at any time without prior notice (“Updated Terms”). You agree that we may notify you of the Updated Terms by posting them on the Services so that they are accessible via a link on the Services, and that your use of the Services after we post the Updated Terms (or engaging in such other conduct as we may reasonably specify) constitutes your agreement to the Updated Terms. Therefore, you should review this UFG EULA and any Additional Terms each time you use the Services. The Updated Terms will be effective as of the time that UFG posts them on the Services, or such later date as may be specified in them.
1. United Front Games’ Consent or Approval.
As to any provision in this UFG EULA or any Additional Terms that grants UFG a right of consent or approval, or permits UFG to exercise a right in its “sole discretion,” UFG may exercise that right in its sole and absolute discretion. No UFG consent or approval may be deemed to have been granted by UFG without being in writing and signed by an authorized employee of United Front Games, Ltd.
2. Applicable Law.
This UFG EULA and any Additional Terms will be governed by and construed in accordance with, and any Dispute and Excluded Dispute will be resolved in accordance with, the laws the Province of British Columbia, without regard to its conflicts of law provisions.
3. Indemnity.
You agree to, and you hereby, defend, indemnify, and hold United Front Games Parties harmless from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys’ fees) that directly or indirectly arise from or are related to any claim, suit, action, demand, or proceeding made or brought against any United Front Games Party, or on account of the investigation, defense, or settlement thereof, arising out of or in connection with, whether occurring heretofore or hereafter: (i) your use of the Services and your activities in connection with the Services; (ii) your breach or anticipatory breach of this UFG EULA or any Additional Terms; (iii) your violation or anticipatory violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities in connection with your use of the Services or your activities in connection with the Services; (iv) information or material transmitted through your Device, even if not submitted by you, that infringes, violates, or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy, or other right of any person or entity; (v) any misrepresentation made by you; and (vi) United Front Games Parties’ use of the information that you submit to us (all of the foregoing, “Claims and Losses”). You will cooperate as fully required by United Front Games Parties in the defense of any Claim and Losses. Notwithstanding the foregoing, United Front Games Parties retain the exclusive right to settle, compromise, and pay any and all Claims and Losses. United Front Games Parties reserve the right to assume the exclusive defense and control of any Claims and Losses. You will not settle any Claims and Losses without, in each instance, the prior written consent of an officer of a United Front Games Party.
4. Operation of Services; Availability of Products and Services; International Issues.
United Front Games, Ltd., controls and operates the Services from its offices in the Canada and makes no representation that the Services are appropriate or available for use beyond Canada. If you use the Services from other locations, you are doing so on your own initiative and are responsible for compliance with applicable local laws regarding your online conduct and acceptable content, if and to the extent local laws apply. The Services may describe products and services that are available only in Canada (or other specific countries) and are not available worldwide. We reserve the right to limit the availability of the Services and/or the provision of any content, program, product, service, or other feature described or available on the Services to any person, entity, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any content, program, product, service, or other feature that we provide. You and we disclaim any application to this UFG EULA of the Convention on Contracts for the International Sale of Goods.
5. Severability; Interpretation.
If any provision of this UFG EULA, or any Additional Terms, is for any reason deemed invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, then that provision will be deemed severable from this UFG EULA or the Additional Terms, and the invalidity of the provision will not affect the validity or enforceability of the remainder of this UFG EULA or the Additional Terms (which will remain in full force and effect). To the extent permitted by applicable law, you agree to waive, and you hereby waive, any applicable statutory and common law that may permit a contract to be construed against its drafter. Wherever the word “including” is used in this UFG EULA or any Additional Terms, the word will be deemed to mean “including, without limitation.”
6. Communications.
When you communicate with us electronically, such as via e-mail or text message, you consent to receive communications from us electronically. Please note that we are not obligated to respond to inquiries that we receive. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
7. Assignment.
UFG may assign its rights and obligations under this UFG EULA and any Additional Terms, in whole or in part, to any party at any time without any notice. This UFG EULA and any Additional Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of an officer of United Front Games, Ltd.
8. No Waiver.
Except as expressly set forth in this UFG EULA or any Additional Terms, (i) no failure or delay by you or UFG in exercising any of rights, powers, or remedies under will operate as a waiver of that or any other right, power, or remedy, and (ii) no waiver or modification of any term of this UFG EULA or any Additional Terms will be effective unless in writing and signed by the party against whom the waiver or modification is sought to be enforced.
9. Entire Agreement.
This UFG EULA, together with the UFG Privacy Policy and all Additional Terms, and any other terms of use relevant to your use of the Services, constitute the entire understanding and agreement between the parties with respect to your use of the Services and supersede any and all prior or contemporaneous oral or written communications, and are intended as a final expression of our agreement. If there is any conflict between this UFG EULA, the Privacy Policy, and any other UFG Terms, UFG shall resolve the conflict in its sole discretion.
