END USER LICENCE AGREEMENT FOR CHRONICLE: RUNESCAPE LEGENDS
PLEASE READ CAREFULLY BEFORE INSTALLING THE SOFTWARE
This end user licence agreement (Licence) is a legal agreement between you (Licensee or you) and Jagex Limited of St John’s Innovation Centre, Cowley Road, Cambridge, CB4 0WA (Jagex, us or we) for the software program, any related documentation and or any updates or patches delivered to you to update or otherwise modify the software program known as “Chronicle: RuneScape Legends” (Software). The terms and conditions of this Licence are without prejudice to any terms and conditions governing your use of any third party proprietary software product including without limitation any STEAM platform software.
We licence use of the Software to you on the basis of this Licence. We do not sell the Software to you and we remain the owners of the Software at all times.

1 GRANT AND SCOPE OF LICENCE
1.1 Subject to you complying with this Licence, Jagex hereby grants to you a non-exclusive, non-transferable, limited, revocable licence to: (a) download, install and use the Software on one or more computers owned by you or under your legitimate control; and (b) use the Software for your non-commercial, personal purposes only.
1.2 All rights not expressly granted hereunder are, to the maximum extent permitted by law, reserved to Jagex and its licensors. Your rights of use under this Licence are strictly conditional upon your observance of the terms contained in this Licence at all times.
1.3 You are solely responsible for obtaining and maintaining, at your own expense, all equipment (such as computers) and internet/wireless access necessary to use the Software and for ensuring such equipment and services are compatible with all requirements of the Software. Please note carefully any device and system specifications made available to you.
2 RESTRICTIONS
2.1 Except as expressly set out in this Licence you undertake:
a. not to, in whole or in part, copy, reproduce, disassemble, decompile, derive source code, reverse-engineer or create derivative works of the Software; except where such copying is incidental to normal use of the Software;
b. not to rent, sell, lease, sub-licence, loan, publish, display, distribute or otherwise transfer to a third party the Software, any copy thereof, in whole or in part (including in-game virtual items);
c. not to play the game for the purpose of acquiring virtual items or advancement in game play on behalf of a third party, or for the advancement of any other user, or for the purpose of selling any virtual assets to a third party, for real-world money, specifically including levelling-up services;
d. not to mine or otherwise collect information from the Software using unauthorised software;
e. not to use (or abuse) any in-game chat and/or message services to distribute advertisements or to otherwise harass players.
f. not to translate, merge, adapt, vary or make alterations to, or modifications of, the whole or any part of the Software, nor permit the Software or any part of it to be combined with, or become incorporated in, any other programs; and
g. not to remove, modify, deface or circumvent any proprietary notices or labels contained on or within the Software;
h. not to export or re-export the Software or any copy or adaptation in violation of any applicable laws or regulations;
i. not to create or operate data, executable programmes or servers that mimic data or functionality in or emulate the Software;
j. not to create or use any cheats, bots, automation software, hacks, mods or any other unauthorised software designed to interact with or modify the Software and its gameplay. In addition, you may not take advantage of game system bugs and exploits during gameplay. You may not use or distribute “auto” software programs, “macro” software programs or other “cheat utility” software programs or applications
k. not to exploit the Software or any of its parts for any commercial purpose.
l. not to install or use the Software on a network server, multi-user arrangement or remote access arrangement for the purposes of distribution to one (1) or more other computer(s) on that network or to effect such distribution or otherwise make a copy of the Software available in any manner or via any media where it could be used by multiple users;
m. not to violate or infringe any third-party rights (including copyright, trade marks, rights of privacy or publicity or any other proprietary or personal rights) or make defamatory or otherwise unlawful user content or material in connection with your use of the Software. You accept that you are personally responsible for your use of the Software and for all of your communication and activity in connection with it;
n. not to misuse the Software by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Software, the server on which the Software is stored or any server, computer or database connected to the Software. You must not attack the Software via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you may commit a criminal offence under applicable legislation.
2.2 Any use of the Software in violation of the Licence, including these restrictions shall be regarded as an infringement of Jagex’s rights in the Software and any use of the Software not expressly authorised by the terms of the Licence is expressly prohibited.
2.3 We shall determine, in our reasonable discretion, whether there has been a breach by you of this Licence. Failure to comply with these provisions constitutes a material breach of this Licence and you agree that such failure may result in our taking any or all of the following actions:
• immediate, temporary or permanent withdrawal of your right to use the Software;
• immediate, temporary or permanent removal of any posting or material uploaded by you about the Software;
• issue of a warning to you;
• legal proceedings against you for reimbursement of all costs and expenses on an indemnity basis (including reasonable administrative and legal costs) resulting from the breach;
• further legal action against you; and/or
• disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
3 INTELLECTUAL PROPERTY RIGHTS
3.1 All title, ownership rights and intellectual property rights in and to the Software and all copies thereof (including without limitation any titles, computer code, themes, objects, characters, storylines, catch phrases, locations, concepts, artwork, landscape designs, animations, sounds, musical compositions, recordings and audio-visual effects) anywhere in the world belong to Jagex.
3.2 All rights in the Software are licensed (not sold) to you, and that you have no rights in, or to, the Software other than the right to use them in accordance with the terms of this Licence.
4 DATA COLLECTION
4.1 We may from time to time during your gameplay collect anonymous, non-personally identifiable information (i.e. information which neither identifies you nor is linked to, associated with or capable of being used to identify, you) about your hardware system including how you are using the Software (including information about your successful installation and removal of the Software). This information may also include your internet protocol (I.P.) address (a numeric number assigned by your internet service provider to identify your computer). This information may be used not only to help you play the Software but also to help us better understand how our customers are using the Software, their behaviour and preferences, so that we can improve our computer games and services in the future.
4.2 We may also collect, store, process, distribute and publicly display certain data concerning your gameplay. This data may include your user name, scores, rankings, results, achievements and any other personal profile information which you may choose to make available for other players to see.
4.3 The information referred to in paragraphs 4.1 and 4.2 above, and any other data and or personal information which may be provided by you to us or which may be collected by us in connection with your installation and use of the Software will be collected, stored, retrieved, used and distributed in accordance with the latest versions of the following Policies which are incorporated into this Licence by reference as available at these links (or the equivalent link as may be available to your localised language version): (a) Terms and Conditions of use available at: http://www.jagex.com/terms/terms.ws; (b) Cancellation Policy available at: http://www.jagex.com/terms/eu.ws; (c) Privacy Policy available at: http://www.jagex.com/privacy/privacy.ws; (d) Data Protection Policy available at: http://www.jagex.com/privacy/dataprotect.ws; and (e) the Cookie Policy available at: http://www.jagex.com/terms/cookies.ws.
4.4 By using the Software you consent to such processing and you warrant the accuracy of all data provided by you.
5 DISCLAIMER OF WARRANTIES
5.1 THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. JAGEX EXPRESSLY DISCLAIMS ANY AND ALL OTHER REPRESENTATIONS, WARRANTIES, CONDITIONS, PERFORMANCE ASSURANCES OR GUARANTEES, OR OTHER TERMS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF CONDITION, QUALITY, SATISFACTION, UNINTERRUPTED USE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY INTELELCTUAL PROPERTY WITH REGARD TO THE SOFTWARE.
5.2 JAGEX DOES NOT WARRANT THAT THE SOFTWARE OR ANY SERVERS REQUIRED TO BE COMMUNICATED WITH TO ENABLE THE OPERATION OF THE SOFTWARE IS OR WILL BE ERROR-FREE OR THAT IT WILL OPERATE WITHOUT INTERRUPTION. THE SOFTWARE MAY NOT INTEROPERATE OR BE COMPATIBLE WITH ANY OTHER SOFTWARE NOR MAY ANY ERRORS IN THE SOFTWARE BE CORRECTED.
5.3 JAGEX FURTHER DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE ON ALL TYPES OF COMPUTER OR HARDWARE. PLEASE REFER TO THE SOFTWARE MINIMUM TECHNICAL SPECIFICATIONS.
5.4 YOU ACKNOWLEDGE AND AGREE THAT THE SOFTWARE IS USED BY YOU AT YOUR SOLE RISK.
6 LIMITATION OF LIABILITY
6.1 SUBJECT TO PARAGRAPH 6.5, JAGEX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, AND OR EXEMPLARY LOSS OR DAMAGE THAT DOES NOT ARISE AS A RESULT OF A BREACH BY JAGEX OF THIS LICENCE AND IS NOT REASONABLY FORESEEABLE AT THE TIME THIS LICENCE IS ENTERED INTO ;
6.2 SUCH LOSS OR DAMAGE INCLUDES: (A) LOSS OF INCOME OR REVENUE; (B) LOSS OF BUSINESS; (C) LOSS OF PROFITS OR CONTRACTS; (D) LOSS OF ANTICIPATED SAVINGS; (E) LOSS OF OPPORTUNITY; AND/OR (F) LOSS OF DATA (INCLUDING DAMAGE TO PLAYER CHARACTERS, VIRTUAL GOODS OR CURRENCY, ACCOUNTS OR STATISTICS, USER CONTENT AND CONTRIBUTIONS), ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE, EVEN IF JAGEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6.3 JAGEX SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY ANY INTERRUPTIONS OF SERVICE, INCLUDING WITHOUT LIMITATION ISP DISRUPTIONS, SOFTWARE OR HARDWARE FAILURES, OR ANY OTHER EVENT WHICH MAY RESULT IN A LOSS OF DATA OR DISRUPTION OF SERVICE, ANY DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL THIRD PARTY MATERIAL THAT MAY INFECT YOUR DEVICE AND/OR RELATED EQUIPMENT, SOFTWARE PROGRAMS, APPLICATIONS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OR DOWNLOADING OF THE SOFTWARE OR TO YOUR DOWNLOADING OF ANY OTHER MATERIAL LINKED TO IT, OR ON ANY ONLINE OR MOBILE SITE OR APPLICATION LINKED TO IT OR AS A RESULT OF THE FAILURE TO ADHERE TO ANY PRECAUTIONS FOR USE, OR WHICH MAY INFECT OR AFFECT ANY SERVERS HOSTING OR OTHERWISE SUPPORTING THE SOFTWARE.
6.4 IN ANY CASE, THE MAXIMUM AGGREGATE LIABILITY OF JAGEX UNDER OR IN RELATION TO THIS LICENCE OR THE USE OR ATTEMPTED USE OF THE SOFTWARE (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR OTHERWISE) IS LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE (INCLUDING ANY IN-GAME ITEMS).
6.5 NOTHING IN THIS LICENCE SHALL LIMIT OR EXCLUDE JAGEX'S LIABILITY TO YOU FOR: (A) DEATH OR PERSONAL INJURY RESULTING FROM OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY ENGLISH LAW.
7 REMEDIES
7.1 As Jagex would be irreparably damaged if the terms of this Licence were not specifically enforced, you agree that we shall be entitled, without bond or other security or proof of damages, to take such action as may be required, including without limitation seeking an injunction and other equitable remedies, in addition to any other remedies available to us under English law.
8 INDEMNITY
8.1 To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Jagex, Jagex’s group companies, our partners, affiliates, contractors, licensors (together with us, the “Jagex Parties”) and their respective officers, directors, employees and agents from any and all claims, damages, demands, losses, suits, judgments, costs, penalties and expenses (including reasonable legal fees) as incurred by them howsoever arising whether wholly or in part resulting directly or indirectly from your acts or omissions in connection with using the Software, including any claim based on facts which if substantiated would constitute a breach by you of the terms of this Licence and/or your violation of any rights of a third party.
9 TERMINATION
9.1 We may at our sole discretion, terminate, suspend or restrict access to the provision of the whole or any part of the Software without notice to you and without any further formality where (by way of example, and without limitation): (a) we reasonably consider that you are misusing the Software or are otherwise acting in breach of any of this Licence; (b) there is a regulatory or statutory change limiting our ability to provide such part of the Software; and/or (c) any event (such as a technical difficulty, capacity problem or communications failure) beyond our reasonable control prevents us from continuing to provide such part of the Software. No such suspension or termination on ground (b) or (c) will affect any rights you have under applicable law.
9.2 Without prejudice to any other rights, Jagex may terminate this Licence immediately without notice if you fail to comply with the terms and conditions of this Licence.
9.3 You may also terminate the Licence any time by uninstalling the Software from your harddrive or other applicable hardware. All provisions of this Licence relating to disclaimers or warranties, limitations of liability, remedies, or damages and Jagex’s proprietary rights, choice of law and jurisdiction, indemnity and the ‘other important terms’ below shall survive termination.
9.4 In the event of termination, all rights licensed to you under this Licence shall cease and you must immediately uninstall, delete and/or destroy all copies of the Software and all of its component parts (including any Software stored on the hard disk of any computer) in your possession, custody or control.
9.5 Termination, howsoever caused, may result in all of your data being permanently deleted. We are not responsible for any such deletion and you are responsible for backing up any of your own data and information.
10 THIRD PARTY SOFTWARE
10.1 The Software may use or include third-party software (“Third Party Software”). A list of the Third Party Software used in the Software is included at Annex A to this Licence, along with any conditions or restrictions to use. In no event will the Software be deemed to be “open-source” or “publicly available” software.
11 GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Except to the extent otherwise required by applicable law (for example, to give effect to your rights as a consumer under the law of the country in which you are resident), this Licence, and any related dispute or claim (contractual or non-contractual), shall be governed by, and interpreted in accordance with, English law and subject to the non-exclusive jurisdiction of the English courts. We reserve the right to bring any action(s) in any other court(s) of competent jurisdiction.
12 FORCE MAJEURE
12.1 We shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under any contract with you which is caused by any event, act, omission or circumstance beyond our reasonable control (“Event Beyond Our Control”). An Event Beyond Our Control includes (but is not limited to) any strike, lock-out or other industrial action (other than by Jagex staff), civil commotion, criminal damage, looting, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, impossibility of the use of railways, shipping aircraft, motor transport or other means of public or private transport, impossibility or impaired use of public or private telecommunications networks (including the world wide web) and the acts, decrees, legislation, regulations or restrictions of any authority (including any Government) (including sanctions and amendments to existing legislation).
12.2 Our performance of any contract with you is deemed to be suspended for the period that the Event Beyond Our Control continues, and we shall have an extension of time for performance for the duration of that period. We shall use our reasonable endeavours to bring the Event Beyond Our Control to a close or to find a solution by which our obligations under the contract may be performed despite the Event Beyond Our Control. If we are prevented from, or delayed in, performance of any contract with you by any Event Beyond Our Control for a continuous period of more than 30 days, either party may terminate such contract with immediate effect on written notice, in which case neither party shall have any liability to the other party (but without affecting any rights and remedies that arose before such termination).
13 OTHER IMPORTANT TERMS
13.1 We may transfer our rights and obligations under this Licence to another organisation, but this will not affect your rights or our obligations under this Licence.
13.2 If we fail to insist that you perform any of your obligations under this Licence, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations.
13.3 Each term of this Licence operates separately and may be subject to severance. If any such term of this Licence is held to be invalid, illegal or unenforceable by a court then the validity, legality and enforceability of the remainder of the Licence shall not be affected and shall continue in full force and effect.
13.4 We may replace this Licence with new versions (each a “New Licence”) over time as the Software and the law evolve. Jagex may change, modify, suspend, or discontinue any aspect of the Software at any time.
13.5 This Licence together with any other terms, agreement, Policy or other document expressly referred to in this Licence, constitutes the entire agreement between Jagex and you with respect to the Licence and use of the Software and supersedes all prior or contemporaneous understandings. Without prejudice to paragraphs 13.3 and 13.4, no amendment or modification of this Licence will be binding unless made in writing and signed by a duly authorised representative of Jagex.
13.6 In addition to the terms of this Licence, any and all uses of the Software are subject to the latest versions of the following Policies which are incorporated into this Licence by reference as available at these links (or the equivalent link as may be available to your localised language version):

You may not use or distribute “auto” software programs, “macro” software programs or other “cheat utility” software programs or applications
k. not to exploit the Software or any of its parts for any commercial purpose.
l. not to install or use the Software on a network server, multi-user arrangement or remote access arrangement for the purposes of distribution to one (1) or more other computer(s) on that network or to effect such distribution or otherwise make a copy of the Software available in any manner or via any media where it could be used by multiple users;
m. not to violate or infringe any third-party rights (including copyright, trade marks, rights of privacy or publicity or any other proprietary or personal rights) or make defamatory or otherwise unlawful user content or material in connection with your use of the Software. You accept that you are personally responsible for your use of the Software and for all of your communication and activity in connection with it;
n. not to misuse the Software by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Software, the server on which the Software is stored or any server, computer or database connected to the Software. 4 DATA COLLECTION
4.1 We may from time to time during your gameplay collect anonymous, non-personally identifiable information (i.e. information which neither identifies you nor is linked to, associated with or capable of being used to identify, you) about your hardware system including how you are using the Software (including information about your successful installation and removal of the Software). This information may also include your internet protocol (I.P.) address (a numeric number assigned by your internet service provider to identify your computer). This information may be used not only to help you play the Software but also to help us better understand how our customers are using the Software, their behaviour and preferences, so that we can improve our computer games and services in the future.
4.2 We may also collect, store, process, distribute and publicly display certain data concerning your gameplay. This data may include your user name, scores, rankings, results, achievements and any other personal profile information which you may choose to make available for other players to see.

7 REMEDIES
7.1 As Jagex would be irreparably damaged if the terms of this Licence were not specifically enforced, you agree that we shall be entitled, without bond or other security or proof of damages, to take such action as may be required, including without limitation seeking an injunction and other equitable remedies, in addition to any other remedies available to us under English law.
8 INDEMNITY
8.1 To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Jagex, Jagex’s group companies, our partners, affiliates, contractors, licensors (together with us, the “Jagex Parties”) and their respective officers, directors, employees and agents from any and all claims, damages, demands, losses, suits, judgments, costs, penalties and expenses (including reasonable legal fees) as incurred by them howsoever arising whether wholly or in part resulting directly or indirectly from your acts or omissions in connection with using the Software, including any claim based on facts which if substantiated would constitute a breach by you of the terms of this Licence and/or your violation of any rights of a third party.
9 TERMINATION
9.1 We may at our sole discretion, terminate, suspend or restrict access to the provision of the whole or any part of the Software without notice to you and without any further formality where (by way of example, and without limitation): (a) we reasonably consider that you are misusing the Software or are otherwise acting in breach of any of this Licence; (b) there is a regulatory or statutory change limiting our ability to provide such part of the Software; and/or (c) any event (such as a technical difficulty, capacity problem or communications failure) beyond our reasonable control prevents us from continuing to provide such part of the Software. No such suspension or termination on ground (b) or (c) will affect any rights you have under applicable law.

9.3 You may also terminate the Licence any time by uninstalling the Software from your harddrive or other applicable hardware. 9.4 In the event of termination, all rights licensed to you under this Licence shall cease and you must immediately uninstall, delete and/or destroy all copies of the Software and all of its component parts (including any Software stored on the hard disk of any computer) in your possession, custody or control.
9.5 Termination, howsoever caused, may result in all of your data being permanently deleted. We are not responsible for any such deletion and you are responsible for backing up any of your own data and information.
10 THIRD PARTY SOFTWARE
10.1 The Software may use or include third-party software (“Third Party Software”). A list of the Third Party Software used in the Software is included at Annex A to this Licence, along with any conditions or restrictions to use. In no event will the Software be deemed to be “open-source” or “publicly available” software.
11 GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Except to the extent otherwise required by applicable law (for example, to give effect to your rights as a consumer under the law of the country in which you are resident), this Licence, and any related dispute or claim (contractual or non-contractual), shall be governed by, and interpreted in accordance with, English law and subject to the non-exclusive jurisdiction of the English courts. 12 FORCE MAJEURE
12.1 We shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under any contract with you which is caused by any event, act, omission or circumstance beyond our reasonable control (“Event Beyond Our Control”). An Event Beyond Our Control includes (but is not limited to) any strike, lock-out or other industrial action (other than by Jagex staff), civil commotion, criminal damage, looting, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, impossibility of the use of railways, shipping aircraft, motor transport or other means of public or private transport, impossibility or impaired use of public or private telecommunications networks (including the world wide web) and the acts, decrees, legislation, regulations or restrictions of any authority (including any Government) (including sanctions and amendments to existing legislation).
12.2 Our performance of any contract with you is deemed to be suspended for the period that the Event Beyond Our Control continues, and we shall have an extension of time for performance for the duration of that period. We shall use our reasonable endeavours to bring the Event Beyond Our Control to a close or to find a solution by which our obligations under the contract may be performed despite the Event Beyond Our Control. If we are prevented from, or delayed in, performance of any contract with you by any Event Beyond Our Control for a continuous period of more than 30 days, either party may terminate such contract with immediate effect on written notice, in which case neither party shall have any liability to the other party (but without affecting any rights and remedies that arose before such termination).
13 OTHER IMPORTANT TERMS
13.1 We may transfer our rights and obligations under this Licence to another organisation, but this will not affect your rights or our obligations under this Licence.
13.2 If we fail to insist that you perform any of your obligations under this Licence, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations.
13.3 Each term of this Licence operates separately and may be subject to severance.
